LEAVE AND LICENSE AGREEMENT

THIS AGREEMENT is made on this 1st day of January 2010 B E T W E E N Mr. Tempor Dolore
Incididunt, by occupation Business residing at Quis Nostrud, Numquam, Et Quasi, Pin Code XXXXXX,
hereinafter called as the Party of the FIRST PART/ LICENSOR(which expression shall unless excluded
by or repugnant to the context be deemed to mean and include his legal heirs, executors, administrators,
representatives and assigns).

AND

Mr. Similique Sunt, by occupation Business residing at ______________ Saepe Eveniet, Voluptates
Repudiandae, Pin Code 4000XX, hereinafter called as the Party of the SECOND PART/ LICENSEE
(which expression shall unless excluded by or repugnant to the context be deemed to mean and include his
legal heirs, executors, administrators, representatives and assigns)

WHEREAS the 1st Party is the owner of a Gala No.2 situated at Teresa Cottage, Bhabola, Vasai
Road (W), Dist. Thane, Maharashtra, Pin Code 401202, which is lying vacant measuring approximately 220
sq. ft.

AND WHEREAS on being noticed the above fact, the 2nd Party/Licensee approached the 1st
Party/Licensor to allow him to use the said Gala for the period of 33 months w.e.f. 01-07-2011. And on
discussion between the both parties, the 1st Party/Licensor agreed to the said proposal and both parties have
agreed to reach into an agreement on the following terms and conditions for avoiding the future litigations.

NOW WITHNESS THIS DEED as follows:-

1. That this agreement is invariably valid for a period of 33 months with effect from 1st January, 2010
(01-01-2010) and to be ended on 30th September 2013 (30-09-2013)

2. That the 2nd Party/Licensee would deposit a sum of Rs. 1,00,000/- (Rupees One Lakh only) to the 1st
Party/Licensor as a Security Deposit which would be refundable to the 2nd Party at the time of
leaving said gala with peaceful vacant possession to the 1st Party/licensor by the 2nd Party/licenses
without any interest.

3. That the monthly rent has been fixed @ Rs. 7750/- (Rupees Seven Thousand Seven Hundred and
Seventy Only) per month payable on the 1st day of each English Calendar month. Any requests for
delayed payments by the 2nd Party/Licensee will not be approved.

4. That the monthly rent will increase by 10% i.e. Rs. 775/- (Rupees Seven Hundred Seventy Five
Only) from 23rd month i.e. 1st November, 2012 (01-11-2012) to sum up to Rs. 8525/- (Rupees Eight
Thousand Five Hundred and Twenty Five Only).

5. That the monthly rent will be paid as bearer cheques provided in advance to the 1st Party/Licensor as
post dated cheques.

6. That if the 2nd Party/Licensee fails to pay the monthly licenses fee for consecutively 2 month then the
1st Party shall have the right to evict the 2nd Party/ licensee from the possession of the said Gala No. 2
and deduct the unpaid monthly licenses fee from the security deposit.

7. If any check offered by Tenant to Landlord in payment of rent or any other amount due under this
Agreement is returned for lack of sufficient funds, a “stop payment” or any other reason, Tenant will
pay Landlord a returned check charge of Rs. 300/- (Three Hundred Only) and the 1st Party shall
have the right to evict the 2nd Party/ licensee from the possession of the said Gala No. 2 and deduct
the unpaid monthly licenses fee from the security deposit.

8. That the 2nd Party/Licensee is not allowed to sublet the said Gala to any other third Party or hand
over of transfer the said Gala to any Party/ parties.

9. That the 2nd Party/Licensee cannot dissolve the agreement for at least 11 months.

10. That if the 2nd Party/Licensee intends to leave the said Gala after 11 months of the said licensed
period then he must serve 2 month’s prior written notice to the 1st Party/Licensor.

11. 2nd Party/Licensee pay electricity charges for consumption of power made use by him to the 1 st
Party/Licensor or the concerned authority without arrears during the period of this rental agreement.

12. That the 2nd Party/Licensee will:

a. keep the premises clean, sanitary and in good condition and, upon termination of the tenancy,
return the premises to 1st Party/Licensor in a condition identical to that which existed when
Tenant took occupancy, except for ordinary wear and tear and any additions or alterations
authorized by 1st Party/Licensor. Any damages to the premises will be compensated by the 2 nd
Party/Licensee.

b. immediately notify 1st Party/Licensor of any defects or dangerous conditions in and about the
premises of which 2nd Party/Licensee becomes aware, and

c. reimburse 1st Party/Licensor, on demand by 1st Party/Licensor, for the cost of any repairs to
the premises damaged by 2nd Party/Licensee or 2nd Party/licensee’s guests or business invitees
through misuse, accident or neglect.

13. That except as provided as authorized by the prior written consent of 1 st Party/Licensor, 2nd
Party/Licensee will not make any major alterations to the premises.

14. That the 2nd Party/Licensee and guests or invitees will not use the premises or adjacent areas in such
a way as to:

a. violate any law or ordinance, including laws prohibiting the use, possession or sale of illegal
drugs

b. commit waste (severe property damage), or

c. create a nuisance by annoying, disturbing, inconveniencing or interfering with the quiet


enjoyment and peace and quiet of any other tenant or nearby resident.

15. That the 1st Party/Licensor or 1st Party/Licensor’s agents may enter the premises without prior notice
in the event of an emergency, to make repairs or improvements or to show the premises to
prospective buyers or tenants. 1st Party/Licensor may also enter the premises to conduct an inspection
to check for safety or maintenance problems.

16. That the 2nd Party/Licensee will notify 1st Party/Licensor in advance if 2nd Party/Licensee will be
away from the premises for three or more consecutive days. During such absence, 1st Party/Licensor
may enter the premises at times reasonably necessary to maintain the property and inspect for needed
repairs.

17. That the both the parties must carry out all the above mentioned terms and conditions and if any
dispute arise between the both parties that would be solved by mutual discussion

18. That the 2nd Party/Licensee must keep good relations with the 1st Party/licensor and with his
neighborhood.

19. That the 2nd Party/Licensee agrees to vacate the premises at the end of the Rental Agreement term
and promptly surrenders to the Landlord.
