Organization.

Section1.02:NonProfitStatus
.ThisOrganizationisandshallbeanonprofitcorporation
underSection501(c)(3)oftheInternalRevenueCodeandtheCaliforniaNonProfit
CorporationAct.

ArticleIIPurpose
ThepurposesforwhichtheCorporationisformedarethosesetforthinitsCertificateof
Incorporation,asfromtimetotimeamended.

Section2.01:PositiveObjectives
.TheobjectivesofthisOrganizationaretopromote
humanestandardsandeducation,helppreventreportcrueltytoanimalsandtoprovide
shelterforanimals.

Section2.02:Prohibitions
.TheOrganizationmaynotgiveorsellanylivinganimaltoany
personorinstitutionforvivisectionorexperimentationgiveorsellanylivinganimalfor
resalepurposesorgiveorsellanylivinganimaltoanyperson,firmorcorporation,public
orprivate,forbreedingpurposes.

ArticleIIIOffices
Section3.01:PrincipalOffice
.TheprincipalofficeoftheOrganizationintheStateof
CaliforniashallbelocatedintheCountyofSacramento.

ArticleIVPublicParticipation
Section4.01:NonVoting
.Anypersoninterestedinfurtheringtheobjectivesofthe
OrganizationmayparticipatebycontributingfinanciallytotheOrganization.Such
participationshallinnoevententitleanypersontovoteonanymatter.Participationshall
notbedeniedunlessitcanbeclearlyestablishedthatitiscontrarytotheobjectivesofthe
Organization.

ArticleVBoardofDirectors

Section5.01:GeneralPowers
.TheaffairsoftheOrganizationshallbemanagedbyits
BoardofDirectors.TheBoardofDirectorsshallhavecontrolofandberesponsibleforthe
managementoftheaffairsandpropertyoftheOrganization.

Section5.02:Number,Tenure,Requirements,andQualifications
.ThenumberofDirectors
shallbefixedfromtimetotimebytheDirectorsbutshallconsistofnolessthanone(1)
normorethansix(6).

ThemembersoftheBoardofDirectorsshall,uponelection,immediatelyenteruponthe
performanceoftheirdutiesandshallcontinueinofficeuntiltheirsuccessorsshallbeduly
electedandqualified.AllmembersoftheBoardofDirectorsmustbeapprovedby
threefourths3/4voteofthememberspresentandvoting.

EachmemberoftheBoardofDirectorsshallattendatallscheduledmeetingsoftheBoard.

Section5.3:Vacancies
.WheneveranyvacancyoccursintheBoardofDirectorsitshallbe
filledwithoutunduedelaybyamajorityvoteoftheremainingmembersoftheBoardof
Directorsataregularmeeting.Vacanciesmaybecreatedandfilledaccordingtospecific
methodsapprovedbytheBoardofDirectors.

Section5.4:Removal
.AnymemberoftheBoardofDirectorsmayberemovedwithor
withoutcause,atanytime,byvoteofthreequarters(3/4)ofthemembersoftheBoardof
DirectorsifintheirjudgmentthebestinterestoftheOrganizationwouldbeservedthereby.
EachmemberoftheBoardofDirectorsmustreceivewrittennoticeoftheproposedremoval
atleastten(10)daysinadvanceoftheproposedaction.Anofficerwhohasbeenremoved
asamemberoftheBoardofDirectorsshallautomaticallyberemovedfromoffice.

ArticleVIOfficers
Section6.01:Officers
.TheofficersoftheOrganizationshallbethePresident,the
VicePresident,theSecretary,andtheTreasurer.

Section6.03:Removal
.AnyofficerelectedorappointedbytheBoardofDirectorsmaybe
removedwithorwithoutcause,atanytime,byvoteofthreequarters(3/4)ofthe
membersoftheBoardofDirectorsifintheirjudgmentthebestinterestsoftheCorporation
wouldbeservedthereby.EachmemberoftheBoardofDirectorsmustreceivewritten
noticeoftheproposedremovalatleastten(10)daysinadvanceoftheproposedaction.An
officerwhohasbeenremovedasanofficershallremainontheBoardofDirectorsunless
anduntiltheprocedureoutlinedinArticleV,Section14,fortheremovalofmembersofthe
BoardofDirectorsisfollowed.

Section6.04:Vacancies
.AvacancyinanyofficemaybefilledbytheBoardofDirectorsfor
theunexpiredportionoftheterm.

Section6.05:President
.ThePresidentshallbetheprincipalexecutiveofficerofthe
Corporationandshallingeneralsuperviseandcontrolallofthebusinessandaffairsofthe
Corporation.ThePresidentshallpresideatallmeetingsoftheBoardofDirectors.The
Presidentmaysign,withtheSecretaryoranyotherproperofficeroftheCorporation
authorizedbytheBoardofDirectors,anydeeds,mortgages,bonds,contractsorother
instrumentswhichtheBoardofDirectorshaveauthorizedtobeexecuted,exceptincases
whenthesigningandexecutionthereofshallbeexpresslydelegatedbytheBoardof
DirectorsorthesebylawsorbystatutetosomeotherofficeroragentoftheCorporation.
ThePresidentshallbeamemberofeachcommitteeandshallappointandremove
chairpersonsofeachcommitteeexceptasotherwiseprovidedinthesebylaws.Ingeneral

thePresidentshallperformalldutiesincidenttotheofficeofPresidentandsuchother
dutiesasmaybeprescribedbytheBoardofDirectors.

Section6.06:VicePresident
.IntheabsenceofthePresidentorineventofthePresidents
inabilityorrefusaltoact,theVicePresidentsinorderoftheirelectionsshallperformthe
dutiesofthePresident,andwhensoacting,shallhaveallthepowersofandbesubjectto
alltherestrictionsuponthePresident.AnyVicePresidentshallperformsuchotherduties
asmaybeassignedbythePresidentorbytheBoardofDirectors.

Section6.07:Treasurer
.IfrequiredbytheBoardofDirectors,theTreasurershallgivea
bondforthefaithfuldischargeofhisorherdutiesinsuchsumandwithsuchsuretyor
suretiesastheBoardofDirectorsshalldetermine.TheTreasurershallhavechargeand
custodyofandberesponsibleforallfundsandsecuritiesoftheCorporationsupervise
receiptsformoneysdueandpayabletotheCorporationfromanysourcewhatsoever,and
supervisethedepositofallsuchmoneysinthenameoftheCorporationinsuchbanks,trust
companiesorotherdepositoriesasshallbeselectedinaccordancewiththeprovisionsof
thebylawsserveasChairoftheFinanceCommitteeandingeneralperformalltheduties
incidenttotheofficeofTreasurerandsuchotherdutiesasmaybeassignedbythe
PresidentorbytheBoardofDirectors.

Section6.08:Secretary
.TheSecretaryshallsupervisethekeepingoftheminutesofthe
meetingoftheBoardofDirectorsinoneormorebooksprovidedforthatpurposeprovide
thatallnoticesaredulygiveninaccordancewiththeprovisionsofthesebylawsoras
requiredbylawsupervisethecustodianofthenonfinancialcorporaterecordsandofthe
sealoftheCorporationandseethatthesealoftheCorporationisaffixedtoalldocuments,
theexecutionofwhichonbehalfoftheCorporationunderitssealisdulyauthorizedin
accordancewiththeprovisionsofthesebylawsandingeneralperformalldutiesincident
totheofficerofSecretaryandsuchotherdutiesasmaybeassignedbythePresidentorby
theBoardofDirectors.
ArticleVIIExecutiveDirector
Section7.01:ExecutiveDirector
.TheBoardofDirectorsshallhireanExecutiveDirector
whoshallserveatthewilloftheBoard.TheExecutiveDirectorshallhaveimmediateand
overallsupervisionoftheoperationsoftheCorporation,andshalldirectthedaytoday
businessoftheCorporation,maintainthepropertiesoftheCorporation,hire,discharge,and
determinethesalariesandothercompensationofallstaffmembersundertheExecutive
Directorssupervision,andperformsuchadditionaldutiesasmaybedirectedbythe
ExecutiveCommitteeortheBoardofDirectors.Noofficer,ExecutiveCommitteemember
ormemberoftheBoardofDirectorsmayindividuallyinstructtheExecutiveDirectororany
otheremployee.TheExecutiveDirectorshallmakesuchreportsattheBoardandExecutive
CommitteemeetingsasshallberequiredbythePresidentortheBoard.TheExecutive
Directorshallbeanadhocmemberofallcommittees.

TheExecutiveDirectormaynotberelatedbybloodormarriage/domesticpartnershipwithin
theseconddegreeofconsanguinityoraffinitytoanymemberoftheBoardofDirectorsor
AdvisoryCouncil.TheExecutiveDirectormaybehiredatanymeetingoftheBoardof
DirectorsbyamajorityvoteandshallserveuntilremovedbytheBoardofDirectorsupon
anaffirmativevoteofthreequarters(3/4)ofthememberspresentatanymeetingofthe
BoardDirectors.Suchremovalmaybewithorwithoutcause.Nothinghereinshallconfer

anycompensationorotherrightsonanyExecutiveDirector,whoshallremainanemployee
terminableatwill,asprovidedinthisSection.
ArticleVIIICommittees
Section8.01:ExecutiveCommittee
.TheExecutiveCommitteeshallconsistoftheelected
officersoftheCorporation,andthePastPresidentoftheBoardofDirectors.IfthePast
Presidentisunabletoserve,theBoardofDirectorsshallelectaDirectortotheExecutive
Committeewhoisnotcurrentlyservingasanofficer.TheExecutiveCommitteeshall
evaluatetheperformanceandrecommendthesalaryoftheExecutiveDirector.The
ExecutiveCommitteeandtheotherdulydesignatedandappointedcommitteesshallhave
andexercisetheauthorityoftheBoardofDirectorsinthemanagementoftheCorporation
provided,however,thatnocommitteeshallhavetheauthorityoftheBoardofDirectorsin
referencetoamending,alteringorrepealingthebylawselecting,appointingorremoving
anymemberofanysuchcommitteeorandDirectororOfficeroftheCorporationamending
thearticlesofincorporationadoptingaplanofmergeroradoptingaplanofconsolidation
withanothercorporationauthorizingthesale,lease,exchangeormortgageofallor
substantiallyallofthepropertyandassetsoftheCorporationauthorizingthevoluntary
dissolutionoftheCorporationofassetsoftheCorporationamending,alteringorrepealing
anyresolutionoftheBoardofDirectors,orthefiringof,andsettingofsalaryofthe
ExecutiveDirector.Thedesignationandappointmentofanysuchcommitteeandthe
delegationtheretoofauthorityshallnotoperatetorelievetheBoardofDirectors,orany
individualDirector,ofanyresponsibilityimposeduponhimorherbylaw.

Section8.02:NominationsCommittee
.ThereshallbeaNominationsCommitteeconsisting
offive(5)membersoftheBoardofDirectors.Onemembershallbedesignatedbythe
President,onemembershallbedesignatedbytheExecutiveCommittee,andthree
membersshallbeselectedbyamajorityvoteofaquorumoftheBoardofDirectorspresent
ataregularlyscheduledmeeting.

NopersonshallbenominatedbytheNominationsCommitteewithoutfirsthavingconsented
tothenomination.TheNominationsCommitteeisresponsibleforinterviewingprospective
Directorsitshallalsoberesponsibleforinterviewingandrecommendingpeopletofill
vacanciesontheBoardduringtheyear.TheNominationsCommitteeshallprepareaslate
ofofficerstobenominatedforofficeandvoteduponattheannualmeetingoftheBoardof
Directors.

TheNominatingCommitteeshallberesponsiblefor(a)establishingandreviewingjob
descriptionsformembersoftheBoardofDirectors(b)determiningthecompetencies
requiredontheBoardofDirectorsandevaluatingthecompositionoftheBoardofDirectors
priortoannualofficerelection(c)interviewingpotentialcandidates,withtheExecutive
Director,andpreparingrecommendationsforpeopletofillvacanciesontheBoard(d)
insuringorientationofnewmembersoftheBoardofDirectors(e)recommending
participationcriteriaformembersoftheBoardofDirectors(f)establishingannual
performancereviewcriteriafortheBoardofDirectors(g)preparingaslateofofficersto
benominatedforofficeandvoteduponattheannualmeetingoftheBoardofDirectorsand
(h)makingrecommendationstotheBoardofDirectorsforapprovalwhennecessary.

Section8.03:FinanceCommittee
.ThereshallbeaFinanceCommittee,consistingofat
leastthree(3)membersoftheBoardofDirectors,includingthePresidentandthe

Treasurer.TheTreasurershallholdthepositionofChairpersonoftheFinanceCommittee.
TheFinanceCommitteeshallberesponsibleforthe(a)preparationandmonitoringofan
annualbudget(b)obtainingandapprovinganannualauditofthebooksoftheCorporation
(c)communicatingwithinvestmentmanagers(d)reviewingtheperformanceofinvestment
managers(e)periodicallyreviewingtheCorporationsinvestmentguidelines(f)general
management,investment,reinvestment,andsaleoftheassetsoftheCorporation(g)
conductingappropriateduediligenceforthepurposeofacceptingordecliningallgifts
offeredtotheCorporation,exceptgiftsofcash,orgoodsorservicesthatwillbeusedinthe
regularbusinessoftheCorporationand(h)makingrecommendationtotheBoardof
Directorsforapprovalwhennecessary.

Section8.04:HumanResourcesCommittee
.ThereshallbeaHumanResourcesCommittee
consistingofatleastthree(3)membersoftheBoardofDirectors,includingthePresident.
TheHumanResourcesCommitteeshallreviewpersonnelandcompensationpolicies.The
HumanResourcesCommitteeshallmakerecommendationstotheBoardofDirectorsfor
approvalwhennecessary.

Section8.05:PlanningandObjectivesCommittee
.ThereshallbeaPlanningandObjectives
Committeeconsistingofatleastthree(3)membersoftheBoardofDirectors,includingthe
President.ThePlanningandObjectivesCommitteeshallberesponsibleforfacilitatingthe
developmentandperiodicevaluationoftheCorporationsstrategicplan.Thiscommittee
shallalsoberesponsibleforstructural,organizationalandlegalfunctionsoftheBoardof
DirectorsandAdvisoryCouncil.ThePlanningandObjectivesCommitteeshallmake
recommendationstotheBoardofDirectorsforapprovalwhennecessary.

Section8.06:DevelopmentCommittee
.ThereshallbeaDevelopmentCommittee
consistingofatleastthree(3)membersoftheBoardofDirectors,includingthePresident.
TheDevelopmentCommitteeshalloverseetheplanningandcoordinationofallfundraising
effortsfortheCorporation.TheDevelopmentCommitteeshallmakerecommendationsto
theBoardofDirectorsforapprovalwhennecessary.

Section8.07:Community/MediaRelationsCommittee
.ThereshallbeaCommunity/Media
RelationsCommitteeconsistingofatleastthree(3)membersoftheBoardofDirectors,
includingthePresident.TheCommunity/MediaRelationsCommitteeshallberesponsiblefor
assistingandsupportingtheCorporationsprojectsandprogramsthroughthepress,
promotions,andcommunityoutreach.TheCommunity/MediaRelationsCommitteeshall
makerecommendationstotheBoardofDirectorsforapprovalwhennecessary.

Section8.08:OtherCommittees
.Othercommitteesnothavingandexercisingtheauthority
oftheBoardofDirectorsinthemanagementoftheCorporationmaybedesignatedbythe
President.Anymembersthereofofacommitteemayberemovedwithorwithoutcauseby
thepersonorpersonsauthorizedtoappointsuchcommitteememberwheneverintheir
judgmentthebestinterestsoftheCorporationshallbeservedbysuchremoval.Evenifthe
memberisremovedfromacommittee,amemberoftheBoardofDirectorsisnotremoved
fromtheBoardofDirectorsunlesstheprocedureoutlinedinSection5.14ofArticleVof
thesebylawsisalsofollowed.

Section8.09:TermofOffice
:Eachmemberofacommitteeshallcontinueassuchuntilhis
orhersuccessorisappointed,unlessthecommitteeshallbesoonerterminated,orunless
suchmemberisremovedfromsuchcommittee,orunlesssuchmembershallceaseto
qualifyasamemberoftheCommittee.

Section8.10:Chairperson
.ThePresidentshallappointonechairpersontoeachcommittee
unlessotherwisespecifiedinthesebylaws.Thechairpersonshallappointothermembers
oftheCommitteeprovided,however,thatnopersonwhoisnotamemberoftheBoardof
DirectorsorAdvisoryCouncilmayserveonanycommitteewithoutthepriorconsentofthe
Board.

Section8.11:Quorum
.UnlessotherwiseprovidedintheresolutionoftheBoardof
Directors,amajorityofthewholecommitteeshallconstituteaquorumandtheactofa
majorityofthemembersofthecommitteepresentatameetingatwhichaquorumis
presentshallbetheactofthecommittee.

Section8.12:Rules
.Eachcommitteemayadoptrulesforitsowngovernmentnot
inconsistentwithlaw,thesebylaws,orwithrulesadoptedbytheBoardofDirectors.

ArticleIXContracts,Checks,DepositsandFunds
Section9.01:Contracts
.TheBoardofDirectorsmayauthorizeanyofficerorofficers,agent
oragentsoftheCorporation,inadditiontotheofficerssoauthorizedbythesebylaws,to
enterintoanycontractorexecuteanddeliveranyinstrumentinthenameofandonbehalf
oftheCorporation,andsuchauthoritymaybegeneralorconfinedtospecificinstances.

Section9.02:Checks,Drafts,etc
.Allchecks,draftsorordersforthepaymentofmoney,
notesorotherevidencesofindebtednessissuedinthenameoftheCorporationandinsuch
mannerasshallbedeterminedbyresolutionoftheBoardofDirectors.Intheabsenceof
suchdeterminationbytheBoard,suchinstrumentsshallbesignedbytheTreasurerand
countersignedbythePresidentoraVicePresidentoftheCorporation.

Section9.03:Deposits
.AllfundsoftheCorporationshallbedepositedtothecreditofthe
Corporationinsuchbanks,trustcompaniesorotherdepositoriesastheBoardofDirectors
mayselect.

Section9.04:Gifts
.TheBoardofDirectorsmayacceptonbehalfoftheCorporationany
contribution,gift,bequestordeviseforthegeneralpurposesorforanyspecialpurposesof
theCorporationafterevaluationandrecommendationoftheFinanceCommittee.

ArticleXBooksandRecords
Section10.01:BooksandRecords
.TheCorporationshallkeepcorrectandcompletebooks
andrecordsofaccountandshallalsokeepminutesoftheproceedingsofitsBoardof
DirectorsandcommitteeshavinganyoftheauthorityoftheBoardofDirectors.Allbooks
andrecordsoftheCorporationmaybeinspectedbyanyDirector,orhisorheragentor
attorneyforanyproperpurposeatanyreasonabletime.TheCorporationmay,atthe
optionoftheBoardofDirectors,conductanannualindependentauditbyanaccountingfirm
selectedbytheBoard.AnannualindependentauditofthebooksoftheCorporationshallbe

madebyanindependentauditorselectedbytheBoardofDirectorsafterconsideringthe
recommendationoftheFinanceCommittee.

.ThefiscalyearoftheCorporationshallbeginonthefirstdayof

.TheCorporationshallhaveacorporateseal.

ArticleXIIIWaiverofNotice
Section13.01:WaiverofNotice
.Wheneveranynoticeisrequiredtobegivenunderthe
provisionsoftheTexasNonProfitCorporationActorundertheprovisionsofthearticlesof
incorporationorthebylawsoftheCorporation,awaiverthereofinwritingsignedbythe
personorpersonsentitledtosuchnotice,whetherbeforeorafterthetimestatedtherein,
shallbedeemedequivalenttothegivingofsuchnotice.

ArticleXIVAmendmentstoByLaws
Section14.01:AmendmentstoByLaws
.Thesebylawsmaybealtered,amendedor
repealedandnewbylawsmaybeadoptedbytwothirds(2/3)ofallDirectors.Noticeof
intentiontoalter,amendorrepealortoadoptnewbylawsshallbegiventoallmembersof
theBoardofDirectorsatleastfourteen(14)dayspriortothemeetingatwhichthevotewill
betaken.

ArticleXVConflictsoforPotentialConflictsofInterest
Section15.01:ConflictsorPotentialConflictsofInterest
.Anyofficer,director,or
employeeoftheCorporationshall,priortoacceptinganyemploymentorcontractingfor
monetarybenefitdirectlyorindirectlyfromtheCorporation,discloseinwritingsuch
potentialconflictofinterest.Noofficer,director,oremployeeshallacceptsuch
employmentuntilafterwrittendisclosure,theyhaveeither,firstresignedasofficer,
directororemployeeorsecondly,followingsuchwrittendisclosure,saidofficer,directoror
employeeshallresignfromallcommitteeshavinganyresponsibilityforsaidareaof
interestandshall,ifadirector,abstainfromalldiscussionsorvotesrelatingtosaidareaof
interest.NothinghereinshallprecludetheemploymentbytheCorporationofitsfullor
parttimeemployeesreasonablynecessarytocarryoutitsdaytodayoperation.

Section16.01:Headings
.Theheadingsinthesebylawshavebeeninsertedfor
conveniencepurposesonly.

Section16.02:Severability
.Ifanyportionofthesebylawsshallbeinoperativeorinvalid,
then,sofarasisreasonableandpossible(a)theremaindertothesebylawsshallbe
consideredvalidandoperativeand(b)effectshallbegiventotheintentmanifestedbythe
portionheldinvalidorinoperative.

ArticleXVIIIIndemnification
Section18.01:Indemnification
.TheCorporationshallindemnifyanyDirectorwhois,was,
oristhreatenedtobemadeanameddefendantinaproceedingfromandagainstanyand

allclaims,causesofaction,liabilities,obligations,losses,damages,injuries,orjudgments
(collectively,claim),includingcourtcostsandreasonableattorneysfeed,arisingfromor
relatingtoactionssuchdirectortookonbehalfoftheCorporation.Further,theCorporation
shalladvancetosuchDirectorthereasonableexpensesthatareincurredbyhimorherin
thedefenseofanyclaim.Notwithstandinganythinghereintothecontrary,theCorporation
shallhavenodutyorobligationtoprovide,andnoDirectorshallbeentitledto,
indemnificationforanyactinvolvingwillfulorcriminalmisconduct.

Section18.02:ProcedureforIndemnification
.AnyDirectorseekingindemnification
hereundershallgivewrittennoticeofClaimwithinthirty(30)businessdaysoftheassertion
thereoforwithinten(10)businessdaysofreceiptofnoticeofthefilingofanylawsuit
baseduponsuchassertion,andshallgivetheCorporationareasonableopportunityof
assumingthedefenseofsuchclaimprovided,however,thatfailureofsuchDirectortogive
suchnoticeshallnotrelievetheCorporationofanyobligationtoindemnifyunlessthe
Corporationisprejudicedthereby,andprovidedsuchDirectorshallhavetherightto
participateinsuchdefenseandnosettlementoradjustmentshallbemadewithouthisor
herconsent,whichconsentwillnotbeunreasonablywithheld.

IftheCorporationfailstocontestingoodfaithanyclaim,suchDirectorshallhavetheright
todefend,settleorpaythesame.SuchDirectorshallcooperatewiththeCorporationin
anysuchdefensewhichtheCorporationelectstoassumeintheeventtheCorporation
makessuchrequesttotheDirectorandsuchrequestisreasonable,providedthe
CorporationwillholdtheDirectorharmlessfromallofhisorheroutofpocketexpenses
incurredinconnectionwithhisorhercooperation.Intheeventofadisagreementasto
whetheranyclaimgivesrisetoindemnificationhereunder,thentheDirectorshallhavethe
righttodefend,settle,orpaythesameprovided,however,thattheCorporationshallhave
therighttoparticipateinsuchdefenseandnosettlementoradjustmentshallbemade
withoutitsconsent,whichconsentshallnotbeunreasonablywithheld.

ArticleXIXDissolution
Section19.01:Dissolution
.IntheeventofthedissolutionoftheCorporationforanyreason
whatsoever,allofthefundsandproperty,whetherrealorpersonal,remainingafter
paymentofdebtsshallgotoacharitableorganizationwithpurposesthesameorsimilarto
thoseoftheCorporation.
