SEXTLEMENT AGREEMENT AND GENERAL RELEASE This is an agreement by and between JESSICA GODIN, a school principal KATONAH. LEWISBORO SCHOOL DISTRICT (hereinafter referred to as “GODIN” or “RELEASOR”) ‘employed by the BOARD OF EDUCATION OF THE KATONAH LEWISBORO SCHOOL DISTRICT, MR. ANDREW SELESNICK (hereinafter referred to as “SUPERINTENDENT” or “RELEASEE”) and the BOARD OF EDUCATION OF THE KATONAH LEWISBORO SCHOOL DISTRICT (hereinafter occasionally referred to as the “BOARD” or “RELEASEE(S)”); and WHEREAS, JESSICA GODIN is a probationary school principal employed by the BOARD; and WHEREAS, the BOARD and GODIN have agreed to end their employment relationship ve 0,2, ee Ms a: ‘WHEREAS, the parties are desirous of resolving their differences and have reached an agreement in principle to fully resolve this dispute in lien of litigation; and WHEREAS, (i) JESSICA GODIN has been represented by and has consulted with counsel of her choice; (fi) has been given a reasonable period within which to consider this Agreement; and (iii) understands that in executing this Agreement she is, inter alia, giving up any and all rights and claims which he has, had or may have had in law or in equity under all federal, state, county or local statutes, laws, rules and regulations pertaining to her employment Hi with the DISTRICT, as well as any and all claims under constitutional or common law tort law, or which were or could have been alleged by her, or otherwise arising on or prior to the date of, execution of this Agreement, and WHEREAS, JESSICA GODIN has had all the terms and conditions of this Agreement clearly explained to her by her representative(s), and now freely consents to enter into this Agreement, such consent not having been induced by fraud, duress or any other undue influence; and WHEREAS, no person not a party to this proceeding has an interest in its outcome, and 1o party to this proceeding is an infant or incompetent person for whom a committee has been appointed, NOW, THEREFORE, in consideration of the said mutual undertakings and promises contained in this Agreement and for other good and valuable consideration, the parties agree and covenant as follows: 1. The above recitations of facts and circumstances set forth in all of the preceding “Whereas” clauses are expressly incorporated herein and form a part of the terms of this Agreement. 2, JESSICA GODIN hereby waives any and all rights afforded to her under applicable New York State Education Law and the Regulations of the New York State Commissioner of Education concerning her employment as a principal up to the date of ‘execution of this Agreement. JESSICA GODIN submits herewith as Appendix “A” her irrevocable resignation from employment effective June 30,2016. JESSICA GODIN shall be 2 permitted to continue to remain on sick leave utilizing all accumulated sick and vacation leave standing to her credit, Upon exhaustion of said leave accounts, she shall continue on paid leave, receiving full salary and benefits until June 30, 2016, the effective date of her resignation. The salary and benefits to be paid during her leave, upon exhaustion of all sick and vacation leave benefits, shall be identically the same salary and benefits she received during her period of active employment, both in amount and requiring the same level of employee contribution to insurance premiums, 3. JESSICA GODIN covenants that she has not filed any action, complaint, Proceeding, charge, grievance or arbitration or any other proceeding, administrative or judicial, against the DISTRICT. JESSICA GODIN hereby covenants and agrees not to file any action, complaint, proceeding, charge, grievance or arbitration nor commence any other proceeding, administrative or judicial, against the DISTRICT in any court of law, admiralty or equity or before any administrative agency or arbitrator seeking damages or other remedies on JESSICA GODIN'S own behalf, with respect to her relationship with the DISTRICT, her employment with the DISTRICT or respecting any matters which were or could have been claimed, or otherwise arising on or prior to the date of execution of this Agreement, except to the extent that any such claim concems an allegation that the DISTRICT has failed to comply with any obligations created by this Agreement. The DISTRICT herewith withdraws all pending actions, complaints, proceedings, charges, grievances or arbitrations or any other proceedings, administrative or judicial, which have been or may have been brought against JESSICA GODIN in any court of Jovi, admiralty or equity or before any administrative agency or arbitrator secking damages or 3 other remedies on the DISTRICT'S own behalf, which were or could have been claimed, or otherwise arising on or prior to the date of execution of this Agreement, except to the extent that any such claim concems an allegation that JESSICA GODIN has failed to comply with any obligations created by this Agreement, 4. Both parties do not admit, and specifically deny any liability, wrongdoing or violation of any law, statute, regulation, agreement or policy, and are entering into this ‘Agreement solely for the purposes of (a) amicably resolving any and ell matters in controversy, disputes, causes of action, claims, contentions and differences of any kind whatsoever between the DISTRICT and JESSICA GODIN, and (b) avoiding the attomeys’ fees and other expenses that will result from continued litigation. No findings of any kind have been made or issued by any mediator, arbitrator, administrative agency or court of law, and JESSICA GODIN acknowledges that she is not the prevailing party in any action which she has filed against the DISTRICT, or in any action or putative action which may have been filed against her. 5. For purposes of this Agreement the word “RELEASES” shall include the BOARD OF EDUCATION OF THE KATONAH LEWISBORO SCHOOL DISTRICT, its current and past members, officers, cmployees, agents, and independent contractors, and all past SUPERINTEDENTS OF SCHOOLS. 6. JESSICA GODIN, for and in consideration of the payments provided by the DISTRICT as set forth herein and for other good and valuable consideration, hereby releases and forever discharges, and by this instrument does release and forever discharge the BOARD OF EDUCATION OF THE KATONAH LEWISBORO SCHOOL DISTRICT and RELEASEES of and from all actions, causes of action, suits, charges, complaints, proceedings, grievances, obligations, costs, losses, damages, injuries, attorcys’ fees, debts, dues, sums of money, ‘accounts, covenants, contracts, controversies, agreements and promises of any form whatsoever (Collectively referred to as “claims”) including, but not limited to, any claims in law, equity, contract, tort or those claims which were or could have been alleged up until the date of ‘execution of this Agreement, except a claim that BOARD OF EDUCATION OF THE KATONAH LEWISBORO SCHOOL DISTRICT and/or RELEASES have failed to comply with any obligations created by this Agreement, Without limiting the generality of the foregoing, JESSICA GODIN agrees that she knowingly and voluntarily waives all rights she has or may have (or that of anyone on his behalf) to commence or prosecute any lawsuit, charge, claim, complaint, or other legal proceeding or action against RELEASEES, whether an individual or class action, with any administrative agency, court or other forum, including, but not limited to claims brought under the Americans with Disabilities Act of 1990, 42 U.S.C. §12101 et seg., Title VII of the Civil Rights Act of 1964, 42 U.S.C. §2000¢ et seq., the Pregnancy Discrimination Act of 1978, 42 U.S.C. §2000e(&), the Civil Rights Act of 1991, Pub. L. No. 102-166, 105 Stat. 1071 (1991), 42 U.S.C. §1981, the Fair Labor Standards Act, 29 U.S.C. §201 ef seg., the National Labor Relations Act, 29 U.S.C. §151 et seq., the Equal Pay Act of 1963, 29 U.S.C. §206(d), the Employee Retirement Income Security Act of 1974, 29 U.S.C. §1001 ef seq., the Rehabilitation Act of 1973, 29 U.S.C. §791 et seg. the Family and Medical Leave Act of 1993, 29 U.S.C. §2601 et seq., the New York State Human Rights Law, N.Y. Executive Law §290 et seq., Title IX, 20 U.S.C. §1681 et seq., the New York 5 Civil Rights Law, N-Y. Civil Rights Law §79-¢ et seq., the New York Equal Pay Law, N.Y. Labor Law §§194-198, the Taylor Law of the State of New York, (Section 200 et. seq. of the Civil Service Law of the State of New York) under any and all other federal, state and local equal ‘employment, fair employment and civil or human rights law (whether statutory, regulatory or decisional), under the statutory, regulatory or common law of any jurisdiction, including, but not limited to, any and all tort claims (eg, assault, battery, false imprisonment, defamation, intentional infliction of emotional distress, negligent infliction of emotional distress, wrongful ‘termination, negligent hiring, supervision and/or retention, conversion, interference with contract, abusive discharge) and under any and all federal, state and local laws relating to employment and/or gender discrimination, pregnancy discrimination, sexual and/or other harassment, retaliation, benefits, or labor or employment standards. 7. IBSSICA GODIN specifically agrees that she knowingly and voluntarily releases and forever discharges, and by this instrument does release and forever discharge the BOARD OF EDUCATION OF THE KATONAH LEWISBORO SCHOOL DISTRICT and RELEASEES of and from all actions, causes of action, suits, charges, complaints, proceedings, grievances, obligations, costs, losses, damages, injuries, attorneys’ fees, debts, dues, sums of money, accounts, covenants, contracts, controversies, agreements and promises of any form whatsoever (Collectively referred to as “claims”), which were or could have been alleged by JESSICA GODIN, her heirs, executors, administrators, successors and assigns up until the date of execution of this Agreement. 8. The KATONAH LEWISBORO CENTRAL SCHOOL DISTRICT, for and in consideration made by JESSICA GODIN, as set forth herein, and other good and valuable ‘consideration, hereby releases and forever discharges, and by this instrument does release and forever discharge JESSICA GODIN of and from all actions, causes of action, suits, charges, complaints, proceedings, grievances, obligations, costs, losses, damages, injuries, attorneys’ fees, debts, dues, sums of money, accounts, covenants, contracts, controversies, agreements and promises of any form whatsoever (collectively referred to as “claims”) including, but not limited to, any claims in law, equity, contract, tort or those claims which were or could have been alleged ‘up until the date of execution of this Agreement, or any claims erising under any and all federal, state, county or local statutes, laws, rules and regulations pertaining to employment, as well as any and all claims under state or federal contractor tort law against JESSICA GODIN, expressly limited to known claims only, and excluding all unknown claims. It is understood and agreed the reference to unknown claims shall include, but shall not be limited to claims in law, equity, contract, tort or those claims which were or could have been alleged up until the date of execution of this Agreement, as well as any and all claims under state or federal contract or tort Jaw, whether known or unknown, unforeseen, unanticipated, unsuspected, which arise from any criminal or illegal act, defalcation, false claim, receipt of monies, or any other act involving the ‘legal or unauthorized receipt of monies or things of value of the KATONAH LEWISBORO CENTRAL SCHOOL DISTRICT by JESSICA GODIN, by her own acts or the acts of others, by any third party through confederation with JESSICA GODIN, or by JESSICA GODIN acting alone or in confederation with others on behalf of a third party. JESSICA GODIN further 7 acknowledges that she has been advised and is aware that under New York law releases and discharges of any claims, rights, demands, liabilities, action, and causes of action which are unknown to the releasing or discharging party at the time of execution of the release and discharge are null and void. JESSICA GODIN hereby expressly waives, surrenders, and agrees to forego any protection from claims of the KATONAH LEWISBORO UNION FREE SCHOOL DISTRICT, the existence of which are unknown, unforeseen, unanticipated, or unsuspected. 9. This Agreement shall not be effective or binding upon JESSICA GODIN and/or the BOARD OF EDUCATION OF THE KATONAH LEWISBORO SCHOOL DISTRICT unless and until itis approved by the BOARD, by formal resolution.. 10. JESSICA GODIN represents and acknowledges that no representation, statement, promise, inducement, threat or suggestion has been made by RELEASES and/or the attomcys for RELEASES, to influence her to sign this Agreement, except such statements as are expressly set forth herein, 11, JESSICA GODIN acknowledges and agrees that she has been given a sufficient time period within which to consider this Agreement, that she has read this Agreement, that he has fully discussed the terms of this Agreement with counsel of her own choosing and that she hhas fully reviewed with counsel the claims and rights which are being released and her obligations under this Agreement. JESSICA GODIN further acknowledges and agrees that, in deciding to execute this Agreement, she has had the opportunity to ask any questions thet she may have of aryone nctuding couse and eter personal advisor of her ovm choosing, tt she has consulted with counsel and personal advisors of her own choosing, and that she has executed this Agreement freely, voluntarily, and of her own will, and with fall and complete ‘understanding of its terms and effects. 12, JESSICA GODIN specifically acknowledges that she understands that this ‘Agreement is a legally binding document and that by signing this Agreement she is prevented from filing, commencing or maintaining any action, complaint, charge, grievance, arbitration or other proceeding against RELEASES, except as expressly permitted by the terms of this, Agreement. She further acknowledges that he understands that she is relinquishing all right, title and interest in her employment with the BOARD which is terminated in all respects as a result of her resignation and this Agreement. 13. The parties acknowledge that this Agreement represents the full, final, and complete resolution of this matter, so that this Agreement supersedes all prior agreements, written or oral, if any, between the parties. This Agreement may not be changed except by an instrument in writing signed by the parties. 14, Except as required by law, including but not limited to the Freedom of Information Law, or legal process, or except pursuant to the direction of the Commissioner of Education or pursuant to an order of a court of competent jurisdiction, the terms of this Agreement, the consideration paid hereunder, the identity of the parties released under this Agreement and the documents and correspondence between the parties and the discussions and negotiations concerning the settlement are deemed confidential, and shall not be disclosed by ‘any party to any individual or entity not a party to this Agreement. All employment inquiries 9 shall be answered in accord with the letter of recommendation attached hereto as Appendix B. All parties agree that neither will directly or indirectly, in any capacity or manner, make, express, transmit, speak, write, verbalize or otherwise communicate in any way (or cause, further, assist, solicit, encourage, support or participate in any of the foregoing), any remark, comment, message, information, declaration, communication or other statement of any kind, whether verbal, in writing, electronically transferred or otherwise, that might reasonably be construed to be derogatory or critical of, or negative towards the other party including but not limited to the RELEASES or any directors, officers, agents or representatives thereof, or to ‘malign, harm, disparage, defame or damage the reputation or good name any of the parties . Notwithstanding the foregoing, nothing in this Section or elsewhere in this Agreement shall prohibit any party from making any statement or disclosure required by law or legal process. 15, Return of personalty. Upon execution of this agreement, JESSICA GODIN shall return all DISTRICT personalty in her possession, including but not limited to the DISTRICT laptop computer with no deletion of any files or email, any school files, school keys, and any ID badge in her possession. During the period of her leave, she shall not be present upon the campuses of the school district except upon the express direction of the SUPERINTENDENT OF SCHOOLS. 16, If any provision of this Agreement is determined to be contrary to law by a court of competent jurisdiction, it is understood and agreed that such provision shall be deemed deleted and the balance of this Agreement without such deleted provision, if otherwise lawful, shall remain in full foree and effect. 10 17. This Agreement shall be governed by and construed and interpreted in accordance with the laws of the State of New York. 18. Upon the closure of one of our elementary schools, she was appointed as John Jay High School Principal, the one high school in our district, where she served =from July 1, 2014 ‘through June 30, 2016. During her time as Principal of Katonah Elementary School, Ms. Godin oversaw a faculty and staff of approximately 65. She along with her assistant principal were responsible for all aspects of staff evaluation es lead evaluators using the Danielson rubric. In addition, Ms. Godin facilitated the elementary math committee as the district transitioned to the Common Core. Ms. Godin also oversaw the schoo!’s implementation of the Response to intervention initiative, and the school’s changing curriculum, and daily operations. During her time as Principal of John Jay High School, a comprehensive, college preparatory high school of approximately 1100 students and approximately 140 faculty and staff, Ms. Godin similarly oversaw all aspects of the daily operations of the school. In her first year at the high school, she supported the development of over 22 new courses, and spent a great deal of time analzying data to identify areas of curriculum that needed improvement. During her time of service, she helped the high school move to a Response to Intervention model as she similarly implemented in the elementary school. She collaborated with consultants, the Counseling Department and high school personnel to launch the successful Senior Experience program for Senior internships. She also worked collaboratively with building and district administrators to develop the school’s annual budget. Ms, Godin is reflective and open to receiving feedback. She is committed to professional learning and collaboration, She has a strong work ethic and is visible at many school functions. ‘At both schools, she made connections with parents in the school community and was well liked by those who came to know her.
