Dear Mr. Membiela:


Water Globe Consulting, LLC (WGC) is pleased to submit this proposal to Sadyt for
exclusive professional services in support of the development and implementation of your 250
million liters per day (MLD) seawater desalination reverse osmosis (SWRO) project in Sohar,
Oman.
Since 2013, my company in general, and me personally, have been involved with the
procurement and implementation of 20 MLD desalination project in Sohar, Oman for Majis
Industrial Services (Majis Plant), which uses the same source water intake lagoon as the
lagoon planned to be used to supply source seawater for your 250 MLD project. As you may
know, currently the Majis Plant is operated by a joint venture of Acciona Agua and your
partner on the 250 MLD project, Sogex.
I currently work under contract with Acciona Agua-Sogex to provide technical advisory
services aimed at addressing various operations challenges at the Majis Plant. In the past, I
have worked for Majis to assist them with the pre-commissioning review of the plant and
addressing the difficulties the plant turnkey contractor, VA WABAG has faced with plant
commissioning and acceptance testing. The construction and commissioning of this plant were
delayed with 16 months over the contractual deadline for the implementation of the project,
which was 24 months (i.e., it took WABAG over 40 months to construct and commission the
plant). This contractor has lost his performance bond and more importantly his reputation over
this project. The main reasons for the significant commissioning delay were the limited
understanding of the rather unique source water quality challenges by the contractor.
Since your plant will use the same source water quality as the Majis plant, and since this water

quality is expected to severely deteriorate in the future (within the timeframe of the construction
of your plant) in my opinion, your team may face similar challenges but the risks consequences
could be in much larger scale. Since I am very well familiar with the source water issues and
potential cost and performance risks, by the virtue of being able to work on the project for over
3 years and to have access to all source water quality and performance data for the existing
Majis plant, I would like to offer my technical support services for your project. I do see the
potential value of Water Globe Consulting, LLC can contribute to the work of your SadytSogex team in the following specific tasks:

Task 1 Workshop with the Sadyt-Sogex Team to Discuss Key Source Water Quality
Issues and Their Impact of Plant Design;

Task 2 Reviews of Initial Project Design Criteria of Main Pretreatment and RO


Facilities to Incorporate Lessons Learned from the Design Deficiencies of the Majis
Plant;

Task 3 Review of Key Design Packages and Equipment Procurement Specifications


such Review Aims to Avoid the Design and Operations Defects, Errors and Omissions
Which Caused Significant Negative Impact on Majis Plant Commissioning and
Ongoing Operations.

Task 4 Facility Pre-commissioning Workshop - to Review Plant Commissioning Plan


and Identify Potential Bottlenecks That can Cause Measurable Delays of Plant Delivery
to Project Completion Deadline and Plant Performance.

Task 5 As Needed Technical Support

We propose to complete the work under the following payment conditions:

Hourly rate
Daily Rate
Weekly Rate

- US$200/hour;
- US$1,500/day;
- US$7,300/week

All air travel to Oman or elsewhere will be completed from the French office of Water Globe
Consulting in Paris in business class at cost (no markup). Sadyt-Sogex will reimburse Water
Globe Consulting for hotel, taxi and other travel related expenses at cost (no markup).
Water Globe Consulting will submit invoices for completed work on a monthly basis. All

payments will be completed by the Sadyt-Sogex team in US$ via wire transfer to bank account
designated by Water Globe Consulting, in the US.
PORJECT TASKS
Task 1 Workshop with the Sadyt-Sogex Team to Discuss Key Source Water Quality
Issues
The purpose of this task is for Water Globe to review the technical specifications and design
source water quality used by the Sadyt-Sogex team for preparation of their project turnkey offer
and to meet in Sadyt-Sogex offices in the Middle East or Spain in a workshop environment in
order to discuss key source quality challenges the project team is likely to face at present and in
the future, and the need to adjust plant pretreatment and SWRO system deign in order to
address current and potential future water quality issues. At the discretion of Sadyt-Sogex, the
scope of work of this task may also include plant site visit and visit of the intake area.
Time for completion 10 days after the receipt the information listed above. Budget 4 days
for Review of Initial Project Technical Specifications and Relevant Components of EPC and
O&M Contracts (US$6,000); 2 days for Workshop (US$3,000); 2 Days for Preparation of
Follow-up Recommendations (US$3,000) and Travel and Hotel At Cost.
Task 2 - Reviews of Initial Project Design Criteria of Main Pretreatment and RO
Facilities
During the development by the Sadyt-Sogex project team of the initial design criteria of the
pretreatment and RO facilities, and decides on the specific type of DAF, filtration and RO
technologies they will use, WGC proposed to complete review of the proposed technologies
and provide comments which would aim to address potential technology deficiencies for the
actual source water quality and suitable design criteria, proven to work reliably at other plants
using similar source water in the Arabian Gulf, including Majis.
Time for completion 5 days after the receipt the information listed above. Budget 3 days for
Review of Initial Project Design Criteria of Main Pretreatment and RO Facilities (US$4,500);
Task 3 Review of Key Design Packages and Equipment Procurement Specifications
After the Sadyt-Sogex project team advances the project design and prepares key equipment
procurement specifications, the advanced design package will be forwarded to WGC for
review, which aims to incorporate lessons learned from the 20 MLD Majis plant design and
operations. At the request of the Sadyt-Sogex team, we could meet in your offices in the
Middle East or in Spain to discuss WGC comments and recommendations.

Time for completion 10 days after the receipt the design packages. Budget one week for
Deign Package Review and Preparation of Comments and Recommendations for Design
Enhancements as Needed (US$7,300). If Sadyt-Sogex requests a follow up meeting to review
WGC comments additional 3 days for Deign Review Workshop (US$4,500) would be
included in the WGC fees; 2. Additional Travel and Hotel Expenses At Cost.
Task 4 Facility Pre-commissioning Workshop
This task will involve the review the Project Commissioning Plan by WGC in order to identify
potential bottlenecks that can cause measurable delays of plant delivery within the target project
completion schedule. After the review of the Commissioning Plant, Nikolay Voutchkov will
visit the Plant site and complete inspection walk-through with the project team and a 2-day Precommissioning Workshop which will aim to avoid the design and operations defects, errors and
omissions which caused significant negative impact on Majis plant commissioning and ongoing
operations.
Budget 4 Days of Commissioning Plant Review (US$6,000); 3 days for Follow up Plant
Walk-through and Pre-commissioning Workshop (US$4,500). Travel to the Plant site and
Hotel at Cost.
Task 5 Ass Needed Professional Services
Water Globe Consulting will work with the Sadyt-Sogex technical team towards the successful
completion of the project and could complete various tasks, which encompass activities that are
not included in any of the tasks listed above but may be of benefit to the team under specific
circumstances. Such tasks could include but not be limited to:
Review of Plant O&M manual or selected standard operating procedures of critical
importance.
Assistance with plant troubleshooting in case of unusual source water quality conditions
such as red tide events; oil spills; waste discharges, or other unforeseen challenges.
Advice and assistance with the selection and procurement of chemicals, RO membranes
or other equipment/instrumentation.
Critical evaluation of existing operations practices, staffing plan, O&M Plan, Standard
Operating Procedures (SOPs) and other operations activities and recommendation of
alternative practices which will improve upon plant operation and reliability;
Assessment of existing plant sampling, testing and routine performance monitoring
practices and procedures and development of suggestions for potential enhancements;
Chemical dosing optimization;
Staff training;
Any other advisory services required for improvement of plant operation; availability;

reliability and reduction cost of water production.


Time of Completion/Frequency as needed.
Deliverables as agreed for the specific task/scope.
