1) Subscribers - Your total subscriber count is 2180; includes the radios listed in the table 1792;
control stations - 6; mobiles - 83; portables - 299; that are also listed in the table. Thanks. { didn't read
this correctly. That makes a difference.
2) Infrastructure Inventory - our coverage communication area is 850 square miles with the 6 sites,
travel time and on-site time to list and identify all infrastructure information to complete a "Suitability
Assessment". The 67 hours is the minimum time required to complete this task. OK.
3) Site Reconfiguration - This is the required amount necessary to complete the 8 sito reconfiguration.
have had approved 131 hours for a2 site system. This is well within acceptable levels for the task.
4) Retune/Reprogram/Replace - the time of 123 hours allows for 3 minutes and 23 seconds of time to
make the determination. Since your system subscribers will equira the 806 NPSPAC review a
‘complete written inventory must be made for those radios being replaced. This average time per unit
has been accepted in other approved plans, some at a greater per unit rate, This is the minimum time
required to complete the task.
5) Planning Support -the 208 hours has been accepted as the time requited to perform the task by
Sprint/Nextel in other approved contracts for a Smattzone system; some with fewer than 8 sites plus @
master site. This is the minimum fime required to complete the task. My review of these hours is
based upon Motorola's "NEV" equation for determining hours for PA. This quote was obviously done
prior to the new program.

to comply with the Federal Communication Commission's Rebanding Report & Order. ‘The ECC mandates that Hinds County
move their 300MHz System frequencies as part of an overall effort by the FCC to reduce interference in the 800MH» band,
Motorola will work closely with Hinds County to ensure that we have a complete understanding of your eucrent operational
needs and how they need to be considered while reconfiguring your operational, mission critical communication system, We
will provide a complete evaluation of your system which will include the impact of the necessary changes tothe aewly assigned
frequencies. These considerations will be incorporated into our preparation of the estimate to reband the 8OOMHEz radio system
Sino the reconfiguration of your system will be performed while your system is om the ait, itis critical dar the proper
evaluation and planning be completed. During the work required to estimate the design of the rebanding effort we will capture
all necessary data to ensure successful rebanding. As a result, the final output of this effort will include our design to reband
your SO0MHz system. This design will provide a complete system description and impact analysis, a detailed cut over plan, and
any unique requirements that ave to be considered and accommodated. However, the first step in this tolal effort is to
accurately evaluate your requirements.

Motorola, Inc. (“Motorola”) and Hinds County, MS (“Licensee or “Custamer”), whose main address is 300 North:

(*Agrecment”,purscart to which Licensee will purchase and Motorola wil sel the Reconfiguration Planning Phase

A. On August 6, 2004, the FCC issued Report and Order FCC 04-168 that modified its rules goveming the
‘800 MHz band to minimize harmful interference to public safety communications systems. On December 22, 2004,
the FCC issued a Supplemental Order and Order on Reconsideration FCC 04-294. The August 6 end December 22,
2004 orders, and any supplemental orders the FCC issues, are collectively referred to asthe “Order.”
B. Pursuant to the Order, certain licensees of 800 MHz channels used in public safety or other systems must
telinquish their existing channels and relocate their systems fo other licensed channels (“Replacement Channels’).
Also pursuant fo the Order, Nextel must relinquish some of its existing charmels and must provide and pay
relocation funds (Relocation Funds") to enable affected licensees to relocate their systems onto Replacement
(Channels andl reconfigure their systems so that they are “Comparable Facilities” (as defincd below),

Section 1 DEFINITIONS
{In addition to the defined terms above, capitalized terms in this Agreement have the following meanings:
1.1. “Comparable Facilities” means the Licensee's Systom (including the subscriber radio equipment) have the
same operational capabilities that existed before relocation, specifically (1) equivalent channel capacity: (2)
equivalent signaling capacity, boud rate, and access time; (3) coextensive geographical coverage; and (4) equivalent
operating costs
1.2, “Confidential Information” means any information that is disclosed in written, graphic, verbal, ot machine-
recognizable form, and is marked, designated, labeled or identified atthe time of disclosure as being confidential or
its equivalent; or if the information is in verbal form, it is identified as confidential or proprietary at the time of
disclosure and is confirmed in writing within thirty (30) cays of the disclosure. Confidential [nformation does not
include any information that: is or becomes publicly known through no wrangful or negligent act of the receiving,
Party; is already known to the receiving Party without restriction when it is disclosed; i, or subsequently becomes,
rightfully and without breach of this Agreement, of any other agreement between the Parties or of any applicable
protective or similar order, in the receiving Party's possession without any obligation restricting disclosure; is
independently developed by the receiving Party without breach of this Agreement; ot is explicitly approved for
release by written authorization of the disclosing Party.
