    CINEMATOGRAPHERAGREEMENT

    THISAGREEMENTbetweenOnLocationFilms&FootageLLCof7178S.W.47 Street,Miami,Florida33155(hereinafterreferredtoasOLF)and ____________________________________,whoresidesat ______________________________________________________________________ (hereinafterreferredtoastheCINEMATOGRAPHER). Whereas,OLFandtheCINEMATOGRAPHERagreeasfollows: 1.TheCINEMATOGRAPHERshallprovidefootageforsaletothecustomersofOLF; grantpermissiontoOLFtosell/licensesaidfootagetothirdparties;and CINEMATOGRAPHERherebyrepresentsandwarrantstobethecopyrightownerofthe providedfootage. 2.CINEMATOGRAPERagreestoindemnifyandholdharmlessOLFagainstanyclaim arisingoutofviolationsofcopyright,privacyinterests,orpropertyrightsrelatingtoany footagesuppliedbytheCINEMATOGRAPHER. 3.AsandforcompensationbetweenOLFandtheCINEMATOGRAPHER,itisagreed thatOLFshallpaytotheCINEMATOGRAPHERaroyaltyoffifty(50%)percentofthe receiptsofanyoftheCINEMATOGRAPHERsfilmfootageactuallysoldbyOLF; provideastatementoftransactionsrelatedtotheCINEMATOGRAPHERsfootagefor thepreviousmonth;andmakepaymentofdueroyaltiesbythe15thdayofthefollowing monthafterpaymentisreceivedbyOLF. 4.OLFisherebygrantedfullauthorityanddiscretiontowardsthepreparation, organization,andmarketingofthefootagesuppliedbytheCINEMATOGRAPHERand shallretainpossessionofsaidmaterialduringthetermofthisAgreement,whichshallbe foranindefinitetermandmaybeterminatedbyeitherpartyuponprovidingthirty(30) dayswrittennoticetotheotherparty.TheCINEMATOGRAPHERshallmaintain completeownershipofthefootageasthiscontractdoesnotconstitutetransferof ownershipofprovidedfootageasaresultofthegrantingoftheaforementionedauthority overthefootage. 5.ThisAgreementsetsforththeentireagreementbetweenCINEMATOGRAPHERand OLF,andthereisnopromise,representationorinducementexceptassetforthherein madebyOLFtotheCINEMATOGRAPHER. 6.Eachpartyheretoandwithregardsolelytomattersarisingoutof,orinconnection with,thisAgreementherebydesignatesthelawsoftheStateofFlorida,bothsubstantive andprocedural,withoutreferencetotheconflictsofthelawprovisionsthereof,asthelaw applicablehereto.Allclaimsordisputesbetweenthepartiesinthisagreementshallbe submitted to arbitration in accordance with the Commercial Rules of the American ArbitrationAssociation. 7.Thisagreementshallnotbeconstruedtocreateapartnership,jointventure,employer employeerelationship,orprincipalagentrelationshipbetweentheparties.
