Sub Fee Agreement

On this EFFECTIVE DATE of April 4th, 2012, Frank P. Russo, known as BUYER'S
REPRESENTATIVE agrees to enter into the following agreement with ___Dave Bitran, Melinda
Bernini, Enoch Purnell, Sandy Dunkley and Gerald C. Johnson_____ known as the
CONSULTANTS/ INTERMEDARIES.
(1) PROPERTY: See Attached Master Fee Agreement, which is hereby incorporated by reference
and made a part hereof. All Assets identified on the attached Master Fee Agreement shall
hereinafter be referred to as the Desired Assets.
(2) TERM/CANCELLATION: This Agreement is entered into on the EFFECTIVE Date. This
Agreement has a term of twelve (12) months from the EFFECTIVE Date. Except as otherwise set
forth herein, this Agreement may be canceled only by the mutual consent of the parties in writing.
(3) COMPENSATION OF CONSULTANTS: The buyers representative will split his 2%
commission (paid to him per the attached Master Fee Agreement) evenly with all consultants. The
Fees are due and payable to Consultants upon the closing of the purchase of each of the Desired
Assets (as per the Master Fee Agreement).
(4) NON-DISCRIMINATION: It is agreed by all parties to this Agreement, that as required by
law, discrimination because of religion, race, color, national origin, age, sex, disability, familial
status, martial status, height or weight by said parties in respect to the purchase of the Desired
Assets is prohibited.
(5) ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the
parties, and any prior agreements, whether oral or written, have been merged and integrated into
this Agreement. This Agreement may only be modified in writing.
(6) BINDING EFFECT, GOVERNING LAW. This Agreement shall be binding upon and inure
to the benefit of each of the parties hereto and their respective legal representatives, successors and
assigns. This Agreement shall be governed in all respects, including validity, performance,
interpretation and effect. by the laws of the State of California.
(7) RECEIPT: All parties have read the Agreement and acknowledges receipt of a completed
copy of this Agreement.
