SETTLEMENT AGREEMENT & RELEASE This Settlement Agreement and Release (the "Agreement"), effective this of September, 2012,

is made by and on behalf of National Photo Group, LLC and (hereinafter referred to collectively as the "Parties"). WHEREAS, this Agreement relates to the photographic images described as " that are owned by National Photo Group, LLC and included in Exhibit A, and which is registered with the U.S. Copyright Office as VA0001806514 , and which have been displayed at the "URL of Use" and "Related URLs" as specified in Exhibit A herewith (hereinafter referred to as the "Image Use"); and WHEREAS, a claim has been made by National Photo Group, LLC against Use displayed at the web site and regarding the Image

WHEREAS, the Parties desire to settle and compromise certain of their disputes by entering into this Agreement, and hereby state that they are vested with the authority to settle this matter; therefore, Subject to i) the terms of this Agreement and ii) the permanent removal and deletion of Image Use from celebritychatta.com, and upon payment of $ to Copyright Defense League, LLC ("CDL"), be it known that National Photo Group, LLC (hereinafter referred to as "Releasor"), for consideration received from (hereinafter referred to as "Releasee"), does hereby release, satisfy and forever discharge the said Releasee, of and from all manner of claims and demands whatsoever, which said Releasor and its successors and assigns ever had, now have, or hereafter may have, against said Releasee, from the beginning of time to the date of this Agreement, arising from the Image Use only. This Agreement i) does not pertain to any other infringements or uses, past, present or future, ii) only pertains to the Image Use as specified herein, iii) does not authorize, assign or transfer any rights of any kind to the Releasee (such as model release or right of publicity or property release) beyond that which is related to copyright and granted herein for the Image Use, iv) constitutes the settlement of disputed claims arising from the Image Use only, and v) does not and shall not constitute an admission of liability by either of the Parties, nor a valuation of the images or Image Use, and shall not be used by any Party or any other person or entity in any litigation or proceeding for that purpose. As it relates to this Agreement, i) the settlement amount and the names National Photo Group, LLC and Copyright Defense League, LLC are confidential information that will not be disclosed to non-participants in this Agreement by either of the Parties, ii) each of the Parties will bear their own attorney's fees that are related to this Agreement, and iii) digital signatures are binding upon this Agreement. Wherefore, the Parties have executed this Agreement as of the date set forth above.
