Attachment to General Electric Capital Corporation Second Amended Proof of Claim (Becker Group Lease) ATTACHMENT TO GENERAL ELECTRIC CAPITAL CORPORATION SECOND AMENDED PROOF OF CLAIM 1. On or about May 7, 1993, Becker Group, Inc. (Debtor), as Lessee, executed a Master Lease Agreement (as amended, the Becker Group Lease) with General Electric Capital Corporation (GECC), as Lessor (attached hereto as Exhibit A). 2. On May 17, 2005 (the Petition Date), the Debtor filed a voluntary petition under Chapter 11 of Title 11 of the United States Bankruptcy Code (the Bankruptcy Code). 3. As of the Petition Date, Debtor was indebted to GECC in an amount of not less than $113,393.53 under all schedules of the Becker Group Lease (the Pre-petition Claim). In addition to the Pre-petition Claim, Debtor was further indebted to GECC for (i) all accrued but unpaid interest at the applicable rate of interest set forth in the Becker Group Lease, plus (ii) unpaid attorneys fees and expenses, plus (iii) other costs and expenses and other amounts indemnifiable, reimbursable, or otherwise chargeable under the Becker Group Lease. 3. On December 23, 2005, GECC timely filed a Proof of Claim against the Debtor asserting the Pre-petition Claim. 4. On September 22, 2006, the Debtor filed the Notice of Rejection of Certain Executory Contracts Filed September 22, 2006 (the Rejection Date), which notified GE that the Debtor was rejecting schedules 5, 7, 16 and 19 of the Becker Group Lease as of September 22, 2006. On October 5, 2006, the Court entered the Order Authorizing the Debtors to Reject Certain Executory Contracts. 5. On January 11, 2007, GECC timely filed a First Amended Proof of Claim against the Debtor, asserting an administrative claim of not less than $228,501.00, representing payments that the Debtor failed to make since the Petition Date and prior to the Rejection Date pursuant to all schedules of the Becker Group Lease (the Administrative Claim), and a claim for damages incurred as a result of the rejection of certain schedules of the Becker Group Lease as follows: for Schedule 5, $645,882.02; for Schedule 7, $815,570.45; for Schedule 16, $51,429.20; for Schedule 19, $56,526.52, for a total amount of rejection damages incurred by GECC of not less than $1,569,408.19 (the Rejection Damages Claim). 6. On July 17, 2007, the Debtor filed the Notice of Rejection of Certain Executory Contracts Filed July 17, 2007 (the Second Rejection Date), which notified GE that the Debtor was rejecting schedules 6, 8, 9, 10, and 15 of the Becker Group Lease as of July 17, 2007. On August 3, 2007, the Court entered the Order Authorizing the Debtors to Reject Certain Executory Contracts Included in the Notice of Rejection of Certain Executory Contracts Filed July 17, 2007.

On July 18, 2007, the Court entered an order confirming the First Amended Joint Plan of Collins & Aikman Corporation and Its Debtor Subsidiaries, which rejected any remaining schedules of the Becker Lease. 8. Pursuant to section 12(a) of the Becker Group Lease, among other things, the Debtors failure to make payments required under the Becker Group Lease is an Event of Default. Pursuant to sections 12(b) and (c) of the Becker Group Lease, GECCs remedies for the Event of Default include, among other things, requiring the Debtor to (a) at the Debtors cost and expense, test, repair, deinstall and return the equipment to GECC, (b) pay the Stipulated Loss Value of the equipment, (c) pay all rental and other sums due as of the Rejection Date, (d) pay 20% of the sum of the rent unpaid as of the applicable rejection date plus the Stipulated Loss Value, as reasonable attorneys fees and (e) pay all costs, charges and expenses incurred by GECC in taking, removing, holding, repairing, selling, leasing or otherwise disposing of the equipment. Thus, GECC has incurred damages as a result of the rejection of the Becker Group Lease as follows: (i) $16,823.24 for Schedule 8, (ii) $368,695.84 for Schedule 9, (iii) $156,097.93 for Schedule 10, (iv) $16,141.06 for Schedule 15, and (v) $2,446.00 for Schedule 17. The total amount of rejection damages incurred by GECC is not less than $560,204.07 (the Updated Rejection Damages Claim). 9. In addition, since the Petition Date the Debtor has failed to make payments pursuant to all schedules of the Becker Group Lease in a total amount of not less than $264,775.48 (the Updated Adminstrative Claim). 10. THIS PROOF OF CLAIM IS FILED AS A PROOF OF CLAIM UNDER A TRUE LEASE, and as a precautionary proof of secured claim in the event the Becker Group Lease is re-characterized as a secured transaction. In that event, GECC claims a senior, fully perfected lien and security interest in the equipment and other assets subject to and described in the Becker Group Lease and reserves all its rights and remedies under applicable law with respect thereto. Nothing in this Proof of Claim nor the filing thereof shall constitute an agreement or admission that the Becker Group Lease is not a true lease or that Debtor has any interest in the equipment and property subject to the Becker Group Lease except as lessee. 11. In addition to the Proof of Claim, GECC may have various additional administrative priority claims against the Debtor. The inclusion of all or any portion of a claim in this Proof of Claim is without prejudice to GECCs right to assert, all or any portion of such claim as an administrative priority claim. 12. GECC specifically reserves the right (i) to amend, update and/or supplement this Proof of Claim at any time, either before or after any bar date established by the Bankruptcy Court, and in any respect, (ii) to file additional proofs of claim for additional claims which may be based on the same or additional documents, (iii) to file a request for payment of additional administrative expenses in accordance with Sections 503 and 507 of the Bankruptcy Code including, without limitation, for expenses included in the total amount of this Proof of Claim, and/or (iv) to assert a right of setoff pursuant to Section 553 of the Bankruptcy Code or right of recoupment with respect to any claims described herein.
