CODE OF PRACTICE FOR SALES AND ENGINEERING PROCESS PLANTS AND EQUIPMENT

GEA Process Engineering A/S (hereinafter called GEA Niro) has adopted this Code of Practice for the project execution involving sale, design, engineering, installation, testing and commissioning. Every effort will be made to ensure that the employees are aware of and comply with the content of this Code of Practice. This Code of Practice covers the range of engineering services and support that is provided to the customers during the design, manufacture, supply, installation, commissioning and after sales service on process plants and equipment. EU DIRECTIVES AND HARMONISED STANDARD GEA Niro will ensure that the plants and equipment offered within the European Economic Area [EEA] and Mutual Recognition Agreements [MRA] Countries will be CE marked in compliance with the essential requirements of European Directives.

HYGIENE GEA Niro equipment will comply with the European hygiene standard EN 1672-2 on food machinery to ensure that good hygiene practice and protection against external sources of contamination and ease of cleaning and disinfection can be maintained. GEA Niro will undertake a risk assessment of equipment at the design stage to ensure that food safety risk is minimised or where possible eliminated. Where required, GEA Niro will offer its services to the customer for jointly performing Hazard Analysis and Critical Control Points [HACCP] on site, as required by Hygiene of Foodstuffs Directive and CODEX Alimantarious. Equipment, articles and materials that come in contact with food will satisfy laws and regulations relating to Materials in Contact with Food. ENVIRONMENT

GEA Niro recognises the requirement to undertake process and equipment design that reflect current legislation on Environment and Sustainable Development. It undertakes to keep the employees acquainted of current legislation and will advice on such issues.

GEA Niro also recognises that the process of continual environmental improvement depends on the involvement and commitment of all our business partners. Therefore, we expect our suppliers to take an active role in our policy by adhering to Environmental Code of Conduct. Waste Management To achieve a high level of environmental protection by its customer, GEA Niro will provide specific instructions on the following subjects: Packaging and Packaging Waste Disposal and Recycling Waste electrical and electronic equipment Restrictions on hazardous substances in electrical and electronic equipment Integrated Pollution Prevention and Control [IPPC] For permitting the industrial installations, EU has set common rules in the IPPC Directive. All new installations when covered under this directive will be required to obtain Permit from the environmental protection agencies in the EEA/MRA Countries. As the Permit is based on the concept of Best Available Technique [BAT], GEA Niro will provide where required, the estimated emission data on new process plants and equipment. IPPC Directive will also be valid on old installations in the EEA Countries from 2007. Where required, GEA Niro will offer its customers comprehensive advice on compliance issues.

PROCESS PLANTS AND EQUIPMENT GEA Niro will ensure that their sales and engineering staff are trained and familiar with the plants and equipment offered to ensure suitability for its intended use. Furthermore, they will be able to provide advice on the correct specification, installation and use of plant and equipment. GEA Niro will ensure that their employees and contractors are adequately trained and qualified and that they exercise their responsibilities with appropriate skill, care and professionalism. INSTRUCTION HANDBOOKS GEA Niro will make relevant Instruction Handbooks on supplied plants and equipment available. Copies will be held for a period of minimum 20 years.

INSTALLATION Where GEA Niro is responsible for the installation of their process plant, they will ensure that the plant supplied is installed complying with good engineering practice. Where the customers have made GEA Niro aware of the local health and safety at work requirements currently in force, these will be met. Where process plant is to be installed by a third party, it is prerequisite for the validity of warranty and/or plant performance guarantee, that the installation is executed under the supervision of GEA Niro specialists in the various fields as required.

In either of the above mentioned cases, GEA Niro will provide relevant technical information to ensure that the process plant is installed to current standards and regulations. GEA Niro Code of Practice for Contractors and sub-contractors will be applied to conform to these requirements. COMMISSIONING AND PERFORMANCE TEST When the safe and stable operation of the process plant and system has been established and demonstrated by the operation on product, a performance test will be executed, when required in the contract. Such performance test shall be witnessed by both parties. The test shall demonstrate performance and capacity of the plant as prescribed in the contract.

AFTER SALES SUPPORT GEA Niro will offer its customers comprehensive advice on maintenance requirements in relation to the workload, advice on operator training, and support for all its plants and equipment, whether the support is supplied directly or via GEA PE-Segment Companies. Service and Maintenance Where necessary, GEA Niro will either directly or via GEA PE-Segment Companies, offer comprehensive after sales support for their plants and equipment covering routine maintenance repairs and further operator training. Spare Parts GEA Niro will ensure that the replacement parts can be made available or at least replaced by similar parts for the anticipated working life of the equipment supplied. GUARANTEES GEA Niro will ensure that guarantees offered conform at least to the minimum legal requirements. During this period GEA Niro will stand by the contractual features of their plants and equipment.

EXPORTING TO THIRD COUNTRIES Where GEA Niro is made aware of local environmental, health and safety requirements by a potential customer, it will offer relevant advice regarding the suitability of the plants and equipment for its intended use.
