Agreement Between Rotary Club Of Khartoum And Water & Environment Sanitation (WES) Project Contract Title: Rehabilitation

of the water yard in Magarif Village, Wad El Hilao

This contract agreement is made and entered this day 1\4\2006 into action between Khartoum Rotary Club (KRC) referred to as the contractee and Water and Environmental Sanitation Project Kassala State (WES), referred to as the Contractor Contract object Rehabilitation of a water yard in Magarif Village, Wad El Hilao Scope of work The contractor agrees to carry out the activities described in this contract according to the detailed project description in Annex 1. Activity implementation will take place according to the contract starting and ending dates unless otherwise extended or terminated in accordance with the terms of the contract and any of its attachments. The contractor will closely adhere to the technical specifications in Annex 1. All required technical documents and letters of agreement will be provided prior to implementation Cost and Terms of Payment The total amount to be paid under this contract of Agreement will be 8,400,000 Sudanese Dinars. The payment will be made in two equal installments. 60% of the total amount, equivalent to 5,040,000 SD (five million forty thousand Sudanese Dinars) will be paid at the beginning of the work. The remaining 40%, equivalent to 3,360,000 SD (three million three hundred & sixty thousand Sudanese Dinars) will be paid after the completion of 75% of the work. Payment will be made directly to WES Project Manager, Kassala State, EL Tadamon Islamic Bank, Kassala, account no. 2767).

Monitoring and Evaluation WES staff will monitor activity progress and quality of work and or services and will send a final progress report to Khartoum Rotary Club no later than one month after the end of the contract. Safety and security provisions Rotary Club of Khartoum is not liable under this agreement for any illness, injury, or accident incurred by any person(s) while engaged in the fulfillment of the contracted activities. Final provisions Each party shall be bound by all terms of this Contract and all its annexes; This Contract and annexes shall supersede all prior contracts between the signing parties to date. This Contract and all annexes constitute the sole and entire agreement between the parties. No change, alteration, or modification will be effective unless a written addendum, is signed by both parties; In the case of dispute, Khartoum Rotary Club and WES will attempt to settle the issues between themselves. Should this not be possible, the dispute shall be resolved through a competent legal court, according to Sudanese law. Khartoum Rotary Club and the Contractor agree to abide by the terms of this Contract and all its Annexes by signing below and initialing each page of the Contract. Annex 1. This contract agreement is made and entered this day 1\4\2006 into action between Khartoum Rotary Club (KRC) referred to as the contractee and Water and Environmental Sanitation Project Kassala State (WES), referred to as the Contractor. Contract object Drilling of four complete productive bore holes with hand pumps India mark (11) in El Amara Village Geophysical survey and selection of the bore holes sites. Water quality examination. Scope of work The contractor agrees to carry out the activities described in this contract according to the detailed project description in Annex 1. Activity implementation will take place according to the contract starting and ending dates unless otherwise extended or terminated in accordance with the terms of the contract and any of its attachments. The contractor will closely adhere to the technical specifications in Annex 1. Payments will be made in two equal installments. The first installment, equivalent to I,800,000 SD (one million eight hundred thousand Sudanese Dinars) will be paid at the beginning of the work. The remaining 50%, equivalent to I, 800,000SD (one million eight

hundred thousand Sudanese Dinars), will be paid after the completion of work and submission of a technical report. Payment will be made directly to WES Project Manager, Kassala State, EL Tadamon Islamic Bank, Kassala, Account No. 2767). Annex 1. Drilling of 4 bore holes: Budget Items Drilling of 4 bore hole Installation of casing and development of the 4 wells Water quality test for 4 wells Provision and installation of India Mark 2 hand pumps for 4 wells Construction of platform and drainage system for 4 wells Geophysical survey for sitting Transportation of supplies to Kassala Total TECHNICAL SPECIFICATIONS 1. Drill 4.5-inch diameter water wells to a depth of at least 100 feet to ensure all year availability of water. 2. Design and construct the drilled wells to ensure successful output of fresh water as per contract. 3. Carry out water quality test on all the successfully completed wells, and ensure the water is safe for human consumption. 4. Construct aprons and drainage gutters around constructed wells. 5. Install (India Mark ll) pumps on completed wells. 6. Provide training to the community in the correct operation and maintenance of the pumps to ensure sustainability. 7. Oversee community management of the water points to ensure long-term usage of the water pumps. 8.
