LICENSE AGREEMENT

THIS AGREEMENT OF MUTUAL UNDERSTANDING executed on this day of 9th May of 2013 between: (1) Mrs. ______________________ W/o Mr. Amit Yadav resident of ________________________Delhi( on the first part and herein after called first party or party number one ) AND

(2) Mr. ______________________ S/o Sh. _____________________ resident of ___________________________( on the other part and herein after called second party or party number two)

WHEREAS both the parties to this agreement have come together and decided to share the drug license in order to facilitate the second party to carry on the business of trading in medicines and medical products under the name and style of M/s _________________________. AND WHEREAS the parties to this agreement are desirous that the terms and Conditions agreed between them upon which the license shall be used and business shall henceforth be carried on be reduced into writing. NOW THEREFORE, THIS LICENSE AGREEMENT WITNESSETH AS UNDER: 1. That the license agreement comes into force with effect from 9th May, 2013 2. That the business be carried on under the name and style of M/S _________________. However, the parties are at liberty to adopt such other trade name or names as they may consider fit. 3. That the business of shall be that of trading in medicines and medical products. 4. That the present its place of business will be at_________________________________________. However, the party to this deed is at liberty to shift the place of business to such place or places, as they may consider necessary with mutual consent. 5. That the first party is partner in this business solely for the purpose of sharing drug license. 6. That the first party will neither introduce any capital in business nor will share any profit or loss of the business. 7. That the first party is the sole owner of drug license and has given license for carrying on business of trading in medicines and medical items which are not prohibited from being sold in India and if second party is caught selling any illegal product then the sole responsibility will be of second party, first party and its license has nothing to do with it and the license stands withdrawn from that day. 8. That the first party has the right to withdraw the drug license at any time without giving any notice to the second party and the second party is bound to return the same within 24 hours of withdrawal of license. 9. That the first party has given its license on sharing basis so the second party will pay Rs.___________ per month to first party. The license stands withdrawn if payment is not made for two consecutive months. 10. That the second party will use drug license for carrying on its own business and will not let out or sub let or sub lease or reissue or re-share to any other party 11. That the parties to this deed shall be honest and faithful to each other and always act in the manner conducive to the best interest of the partnership.

12. That in the event of any dispute or difference arising between the partners with regard to interpretation of the terms of this Deed, the matter shall be referred to an arbitrator, who shall be mutually appointed and whose decision shall be binding on all the parties. 13. That the terms and conditions of the agreement can be varied/altered/additions or deletions made thereto with the mutual consent of the parties. IN WITNESS WHEREOF the parties to this agreement have set their hands in the presence of the persons whose names, signatures, and addresses appear hereunder.
