4-H SCIENCE ADVISORY TEAM MEMBER AGREEMENT

MADE this ___ day of _________, 2012 (the Effective Date) by and between Mary Arnold (Member) and National 4-H Council, having offices at 7100 Connecticut Avenue, Chevy Chase, Maryland 20815 (Council). WHEREAS, Member has agreed to participate as a member of a Council sponsored development team and as such to furnish the services described in the attachment hereto (the Scope of Work) in support of and/or with respect to the Council project known as the National 4-H Science VIRTUAL ACADEMY LEADERSHIP TEAM (VALT) (the Project). NOW, THEREFORE, in consideration of the mutual promises, covenants, undertakings and agreements set forth below, which the parties acknowledge constitute good and valuable consideration, Council and Member agree as follows: 1. Member Authority: Member is acting [CHECK ONE BLANK] ___ in his/her individual capacity ___ as an employee of ____________________________ and that Member has the right and authority to enter into this Agreement individually or on behalf of such employer and to make on behalf of Member or such employer the representations and assignment of rights hereinafter set forth; unless Member is acting as an employee or agent of the United States Government, in which case Member does not grant the rights set forth in Paragraphs 3 and 4 hereof. Work Is Independent Creation: Member hereby represents and warrants that (a) the Work created by Member and contributed to the Project is the independent creation of Member or Member had prior permission to use the Work, and (b) that the Work does not infringe any copyright, violate any property rights, or contain any unlawful matter. Pre-existing Material: If Member wishes to incorporate into his/her Work any pre-existing work of a third party (whether or not modified), Member shall furnish to Council either (i) evidence that such third party has granted to Member and Council such rights as are required for use by Member and Council as contemplated in the Project or (ii) adequate contact information so that Council may solicit permission from such third party. In no event shall Member use or include in Work to be furnished hereunder any pre-existing work of a third party unless and until such rights have been granted to Council. To the extent that Member will incorporate any existing work owned by Council, or portion thereof, in original or modified form, Council hereby grants permission for such incorporation and/or modification. Work Made For Hire: Member affirms and agrees that all works, research, reports, programs, recommendations, products, services, things and creative work by Member hereunder in connection with the Project, for purposes of property ownership and all related matters, constitute a work made for hire in which all authorship and ownership rights vest in Council. To the extent that the Work, in whole or in part, is ever determined not to be a work made for hire, Member hereby wishes to confirm his/her intent to transfer all intellectual property rights in the Work to Council. Accordingly, Member, for good and valuable consideration, receipt of which is acknowledged, with respect to any Work not deemed to be a work made for hire, hereby assigns to Council, any and all of Members worldwide right, title and interest in and to the Work, as more particularly described in Paragraph 5 below. Rights Conferred: The rights granted or assigned by Member include, but are not limited to, all of the rights in the Work of every kind, nature and description, without limitation, (a) the copyrights, and the right to secure copyright thereon anywhere throughout the world in the name of Council or otherwise; (b) any and all display and publication rights therein, in whatever form; (c) the right to publish, reproduce and /or adapt the whole or any part of the Work on any electronic, magnetic, optical or any other medium now known or to be developed in the future,

including but not limited to the Internet or World Wide Web; (d) the right to broadcast and to communicate to the public the whole or any part of the Work in any form and by any means such as videos, wireless communications, internet, television (including high definition, satellite, cable paid television or any other mode or type whatsoever) or any other means now known or to be developed in the future; (e) the right to any further economic exploitation of the Work or any part thereof or any right to therein by any means, including by license; (f) the right to make derivative works of the Work; (g) any and all subsidiary rights therein; (h) the right to all income, royalties, damages, claims and payments now or hereafter due or payable with respect to the Work; and (i) the right to all causes of action, either in law or in equity for past, present, or future infringement based on the copyrights. 6. Right to Use: Member and Council intend that each will benefit from the Work. Accordingly, Council hereby grants a perpetual, worldwide, non-exclusive, royalty free license to Member and, if applicable, to Members employer, to use the Work in any manner for non-commercial educational purposes. Execution of Necessary Papers: Member shall execute all papers and perform such other proper acts as Council may deem necessary to secure for Council or its designee the rights herein assigned. Payment Terms: As consideration for its contributions hereunder, Council will pay directly to Member the sum of Two Thousand Dollars ($2,000.00) upon completion of the Project.

Attachment Scope of Work Members of the Virtual Academy Leadership Team (VALT) shall provide the following services during the period beginning on the Effective Date and continuing until June 30, 2013: 1. Participate in an initial meeting to begin planning the 2013 4-H Science Academy 2. Provide leadership in the development of the 2013 Noyce Virtual Science Academy that is tentatively scheduled for spring of 2013. This pre-event leadership will include assisting in: a. developing and implementing a needs assessment for the academy to identify stakeholder professional development needs b. developing a schedule and format for the academy including content and speakers/presenters c. developing topics for the sessions and identifying the resources to deliver content in a high quality approach d. Guiding and facilitating state liaisons to organize local learning experiences for groups of educators in order to enhance and support learning. (examples include: regional, statewide, multi-county or county events) e. utilizing the regional liaison structure to identify additional regional staff support 3. Collaborate with the regional science liaisons during monthly/bi-monthly calls to further the progress of this Team and the academy 4. Participate in monthly calls/Adobe Connect sessions to develop the academy 5. Provide event leadership, which can include: a. Introduction of the training sessions and the presenters/speakers b. Managing and providing leadership at local learning experiences c. Administering evaluation (as requested by Council) 6. Participate in a final Lessons Learned processing session after completion of the academy 7. Compile evaluations and submit (as requested by Council)
