Wellsville Parent-Teacher Organization Bylaws Last Amended September 10, 2013

I.

Name and History

This organization was formed in June 2001 for the Wellsville Elementary School (PEP, K-5) and is called Wellsville Parent-Teacher Organization (WPTO). II. Purpose

The purpose is to enhance each childs education in the Elementary School by: Improving communication, understanding and cooperation between the school, teachers and parents. Assist developing recognition programs between educators and the general public to secure the highest advantages in physical, mental and social education. Membership

Members shall consist of anyone wanting to be involved with the school and their childrens education. There are no dues. Requirements to become a member of the PTO will be involvement through general help, daily volunteering or attending meetings. IV. Relationship with School Administration WPTO shall be organized conforming to current school policies, recognizing all legal responsibility that has been delegated to the Board of Education and State/local education authorities. WPTO Board members will seek participation and cooperation from the Elementary Principal or designated representative for items requiring school involvement. School administrative personnel will seek participation and cooperation from the WPTO Board requiring PTO involvement. Contracts requiring both the WPTO Board and school administration personnel approval may not be entered into without each others approval. Executive Officers and Duties

President - The duties of the President include the following: Preside at all meetings

Set dates for meetings Coordinate the works of Officers Sign WPTO Checks, specifically for reimbursement to Treasurer or as otherwise required. Be the contact person for any student projects Have the authority to enter into contracts on behalf of the organization, with Board approval.

Vice President The duties of the Vice President include the following: Perform the duties of the President in the absence or inability to perform his/her duties. Serve as PTO representative to the Site Council Maintain social media communication.

Secretary The duties of the Secretary shall include the following: Coordinate and plan the agenda for all meetings Record the minutes and attendance of the meetings Keep any necessary correspondence up-to-date Accept nominations and compile the ballot for PTO elections

Treasurer The duties of the Treasurer shall include the following: Keep financial records according to established format and proper book keeping procedures Be responsible for safeguarding the funds of the organization Make disbursements as authorized by the Executive Board Sign WPTO checks, as needed. Present a financial statement at meetings and at other times when requested by the Executive Board. Election and Appointments The WPTO Executive Board shall be elected annually each March in the following manner:

Odd numbered years President and Secretary shall be elected to office for a two year term. Even numbered years the Vice President and Treasurer shall be elected to office for a two year term.

The Secretary shall publish and send home with students a notification listing the WPTO positions with a description of each. The first notification shall be sent home in February. Any person seeking a position or wishing to nominate another person for a position may submit their name to the Secretary. Nominations will be closed one week prior to the March Meeting. In the event of two or more persons nominated for the same office, all names shall be placed on another ballot and chosen by majority vote. Approval/confirmation of the nominated Board as a whole will be by majority vote of the members and current Board members present at the March meeting. Elected positions will assume responsibilities for their positions on June 1 of that year. All subsequent appointments after the election shall be approved by a vote of the Executive Board at the next general WPTO meeting. A Board members responsibilities may be revoked for cause by a majority vote of the Executive Board in an Executive Session. Board members shall not serve more than two consecutive terms in the same office.

Meetings and Procedures The WPTO board meetings shall meet every other month August April. The WPTO general meeting shall meet every other month September May on predetermined days/times. All WPTO members present at the meeting are eligible to vote. The WPTO President or Board shall have the authority to convene executive sessions for the purpose of determining WPTO decisions, when necessary. A simple majority is required. Outside companies, groups, and persons seeking business promotions and/or sales, shall not be permitted to conduct business during WPTO functions without the specific approval of the WPTO Board. When approval is granted, all initial proceeds will be payable to the WPTO. There will be no direct sales from the above groups or individuals.

Persons wanting to make a presentation or add to the agenda during a general meeting may request them through the WPTO President or Elementary Principal. It will be placed on the agenda for the next general meeting. Committees The WPTO Board may create special committees made up of parents, teachers or staff, as it deems necessary to carry on the work of this organization. The chairpersons of each special committee shall work closely with the WPTO Board and no work shall be undertaken without consent of the WPTO Board. Amendments These bylaws may be amended at any WPTO board meeting by a two-thirds vote of the members present, provided a notice of the amendment has been proposed at a previous meeting. The bylaws may then be amended at the next general meeting of this organization by a majority vote of the members present and voting. This requirement for a revised set of bylaws shall be the same as in the case of an amendment.
