This is a brief terms of association of our services and fees to act as your exclusive marketing agent for the above project to provide the following services:-

PRE SALES SERVICES:

1) Conceiving the project architects brief keeping the project status and market needs in mind and assisting in designing and executing the Publicity Material and Product Campaign. 2) Assisting in tying up with Banks for distribution of Application Forms, Project Information Brochures and General Terms and Conditions if applicable 3) Assisting in the Banks recollection of all such forms and scrutinizing them for entry/ eligibility criteria 4) Assisting in tying up with Housing Finance Institutions for procurement of project approvals. 5) Arranging lead generation programmes, as well as presentations and road shows and public relation campaigns. 6) Making proactive sales call and keeping regular follow-ups with potential customers.

7) Organizing site visits and product demonstrations. 8) Individual visits to interested clients and investors in their offices and homes as the need be 9) Indulging real estate investors into the project. 10) Maintaining & managing sub broker networks. 11) Road shows at prominent locations.

POST SALES SERVICES 1) Receipt of booking amount & application form. 2) Coordinating Agreement/Allotment process after clearance of Application cheque. 3) All post launch activities will be handled by using a Software Package which has been specially created for this kind of a Sales and Customer oriented function. 4) Issue of demand letter for future installment. 5) Follow-up with customers for recovery of all installment payments that fall due. 6) Sending quarterly newsletter of the project to existing and prospective customers.

DELIVERABLES FROM EXCLUSIVE MARKETING AGENT AND PROJECT DEVELOPER:

1. DELIVERABLES FROM THE SELLING AGENT

The broad obligations of the Selling Agent, to be met at their cost shall be as follows: a) Performing the acts, deeds and things mentioned in the clauses above, i.e., Pre Sales & Post Sales support. b) All Publicity Material And Campaign in any form whatsoever shall be approved by the Developer and thereafter used/ issued/ disseminated by the Marketing Consultant c) Our full time team will be seating at your site/ office for 6 days in a week, 1 day will be weekly off day for our sales personnel except Saturdays, Sundays & Government Holidays.

d) Snag audits of each project will be done by us before possession and reports generated for a smoother hand over and higher levels of customer satisfaction.

2. DELIVERABLES FROM THE PROJECT DEVELOPER

For the purpose of implementation of the Agreement, the Developer (<Enter developer company name> in this case) shall have the following broad obligations:

a. The Developer shall in due course provide to the Selling Agent the following documents: i.One set legible photocopies of title deed of the land ii.Title Report from a Solicitor about the non-encumbrance of the property along with relevant search papers. iii.One set of legible photocopies of the building plan as sanctioned. iv.Draft of proposed Application / Booking Form, allotment Letter with General Terms & Conditions. v.Approval of letter from Financial Institutions. vi.Promoters Act Registration Certificate. (if applicable) vii.Any other Legal Papers which is needed for the purpose of sales.

b. The Developer shall provide the following inputs to aid the designing of Publicity Material & Campaign:

i. One set of profile of the Developer and its associates with details and photographs of earlier projects, if any, ii.One set of profile of the Architect and details of the work done by them. iii.One set of Presentation / Selling Drawings.

c. The entire cost of advertisement and the cost of brochure will be borne by you. Estimated cost of the above will be approximately 2% of the total project value or more upon marketing requirement of the turnover.

d. Furnished Sales office to be provided.

e. We will be your exclusive marketing agent for residential/car-park/commercial or any other spaces for selling your entire project. You will construct the Project as per the specifications & amenities mentioned in the sales brochures & agreements / allotments thus ensuring that the Project proceeds in a timely manner.

f. List of leads who have enquired about the Said Complex, if any.

g. The Developer for the purpose of selling the space will allow the Selling agent to entertain all brokers at their terms if necessary and found to be needed by the <ENTER DEVELOPER COMPANY NAME>. The Selling Agent will entertain only those brokers who are professionally dealing in this line. h. To provide an air conditioned marketing office at the site with full facilities, such as computer system with 2 high speed broadband connection, water vending machine, Pantry and proper toilet arrangements along with all the required materials, drawing-sketch, stationery, Building model etc.

i. Our name should be displayed as the Marketing Agent in all paper advertisements, brochures, Leaflets, hoarding or any other publicity materials. (Depends on the <ENTER DEVELOPER COMPANY NAME> norms and policies)

j. Progress of work should be time bound as per schedule and construction should be as per the specification and amenities printed on the brochure.

k. All site related expenses for telephone, electricity bills or any other related expense will be borne by Developer. l. For any outstation campaign all expenses such as conveyance expenses, hotel expenses etc. of the participants from our side will be borne by you. m. Nomination of any unit will be allowed after mutual consent. n. You should participate in Local, Domestic & International exhibition depending on the marketing requirement of the Project. o. You should consult with us at every point of time before taking decision on Project planning and promotion of marketing for the best possible result of the Project. p. All local problems will be sorted out by you. q. One senior person will be there from your side for our single point of coordination regarding pre sales, post sales & signature all the related documents.

3. MARKETING FEES: 1) You shall pay <X %> commission to us on entire sales including flats sold directly by the developer, if any. You shall pay us brokerage on Pro-rata collection basis every three months; we shall not charge any brokerage from buyers side. Over and above we will charge service Tax as applicable.

2) We are entitled to get the same brokerage at the time of refunding the money on cancellation by the buyers whose agreements or allotments have been done.
