SPECIAL POWER OF ATTORNEY KNOW ALL MEN BY THESE PRESENTS: I, CRISTINA DELA CRUZ, Filipino, of legal age, single

and with residence and postal address at 888 G. Tuazon St., Sampaloc, Manila, do hereby NAME, CONSTITUTE and APPOINT my sister LUZVIMINDA DELA CRUZ, likewise Filipino, of legal age, single and with residence and postal address at 999 G. Tuazon St., Sampaloc, Manila (whose signature appears herein below and which signature I now hereby attest to be true, genuine and authentic), to be my true and lawful Attorney-in-Fact, for me and in my name, place and stead, to do and perform, on my behalf and for my account, the following acts and deeds: 1. To apply for/negotiate/borrow/obtain loans and/or credit facilities, from time to time, whether in my name and for my sole account or with said Attorney-in-Fact as my co-borrower which my Attorney-in-Fact shall, in his sole discretion, consider fit and proper, the exercise of which discretion is hereby expressly authorized, confirmed and ratified, from the BANK OF THE PHILIPPINE ISLANDS/BPI FAMILY BANK, INC./BPI DIRECT SAVINGS BANK, INC./BPI INTERNATIONAL FINANCE LTD./BPI LEASING CORPORATION/BPI CAPITAL CORPORATION ( each of the foregoing is hereinafter referred to as the CREDITOR), under terms and conditions acceptable to the CREDITOR and in such sum/s of money which the CREDITOR may approve provided the aggregate amount of such borrowing(s), pursuant to this Special Power of Attorney, shall not at any time exceed the principal sum of ONE MILLION PESOS, PHILIPPINE CURRENY (Php1,000,000.00); 2. To negotiate, enter into, sign, execute, receive and/or deliver to the CREDITOR, SINGLY, the loan application, letter/s advice, facility letter/s, promissory note/s and all such other documents or instruments evidencing my indebtedness for the monies so borrowed, or to be hereafter borrowed with interest thereon and said Attorney-in-Fact is likewise irrevocably authorized and empowered to sign, execute and deliver, SINGLY, any renewals, extensions, amendment, supplements, conversions, restructuring and/or modifications of the aforesaid loans and/or credit facilities; 3. To constitute and deliver, as security/collateral for repayment of aforesaid loans and/or credit facilities including any renewals, extensions, amendments, supplements, conversions, restructuring and/or modifications thereto, a first, preferred and continuing real estate mortgage in favour of the CREDITOR, its successors and assigns, on my real estate property together with all improvements thereon, located at Unit 1, X Building, 111 Recto Ave., Manila and evidenced by Condominium Certificate of Title No. 111-2013013942 of the Registry of Deed for Manila, the purchase of which real property together with all the improvements thereon, shall be financed by the aforesaid loan to be extended by CREDITOR in my favour (in case the purchase thereof is to be financed by the above-indicated loan and/or credit facility) and all such other appropriate security/collateral documents and/or credit agreements which are necessary or required for the purpose of giving effect to the authorities herein granted including the power to constitute CREDITOR as her Attorney-in-Fact for the purpose of performing all acts necessary or incidental for the enforcement of the security lien herein constituted in favor of said CREDITOR. The real estate property is more particularly described herein below: TOWER 1 UNIT NO. 1 (Ground Floor) CCT NO. 111-2013013942 AREA 75.5 square meters

4. To grant, assign, transfer, convey or deliver to the CREDITOR my deposits/placements which are maintained with the CREDITOR or with any member of the Bank of the Philippine Islands (BPI) Unibank including their subsidiaries or affiliates as security for any note(s), credit/loan, obligations or indebtedness of any third person, arty or entity with said CREDITOR and pursuant thereto, to sign, execute and deliver to said CREDITOR, SINGLY, any and all grants, transfers, documents or instruments that may be required or are necessary to implement the authorities herein granted;

Effective upon full settlement of the loans and/or credit facilities and all such other obligations which are likewise secured by the foregoing real property together with all the improvements thereon, with the CREDITOR, to receive, acknowledge and sign, SINGLY receipts of documents, release or other discharges, instruments, notices or correspondences relative to above-mentioned borrowing transactions as my Attorney-in-Fact shall deem fit and proper and in connection therewith, to claim, pick-up and receive all loan/credit documents to which the full loan settlement pertains including but not limited to the security documents, such as but not limited to, the Original Owners Duplicate Copy of the aforesaid CCT and the corresponding Original Deed of Cancellation of Mortgage, and all such other security arrangements and/or original documents of ownership delivered by my Attorney-in-Fact pursuant to and by virtue of this irrevocable Special Power of Attorney (collectively, the Security Documents), it being agreed that, unless otherwise authorized in writing, the CREDITOR is hereby irrevocably authorized to deliver and turn over the Security Documents to me or to my Attorney-in-Fact and such delivery and receipt of the Security Documents by me or by my Attorney-in-Fact are hereby expressly authorized, confirmed and ratified. For this purpose, I hereby agree to indemnify and hold CREDITOR free and harmless from any and all liabilities, claims, damages, costs and suits of whatever kind and nature arising from or in connection with the implementation of this irrevocable Special Power of Attorney; 6. This Special Power of Attorney is a special agency created to enable said Attorney-inFact to exercise the special powers and authorities herein granted, it being understood and agreed that creation of this agency is one of the requirements and essential consideration of the CREDITOR for the granting of the loan and/or credit facilities to me. This Special Power of Attorney shall not be revoked nor cancelled without the prior written consent of the CREDITOR. HEREBY GIVING AND GRANTING unto my said Attorney-in-Fact full power and authority to do and perform any and every act and thing whatsoever requisite, necessary or proper to be done in and about the premises as I might or could do if personally present and acting in person; and HEREBY RATIFYING AND CONFIRMING all that my said Attorney-in-Fact shall lawfully do and cause to be done under and by virtue of these presents. It was acknowledged to me that the execution of this document is the free and voluntary act and deed of said persons. The foregoing document is an irrevocable SPECIAL POWER OF ATTORNEY which consists of three (3) pages including the page whereon this Acknowledgement is written.
