Annex A MAIN AUDITORIUM HOUSE RULES

1.

USE OF VENUE In Good Order. The USER acknowledges that it has inspected the venue and that it finds the same to be in good order and condition. Purpose. The USER shall use the venue exclusively for _______________________ Should the USER intend to use the venue for any other purpose the USER must obtain the prior written consent of !"#T$R% &"'( (dministration within fourteen )*+, working days prior to the date booked otherwise !"#T$R% &"'( shall compel the USER to stop the unauthori-ed activity. Restrictions in Use of Stage . Should the USER put any e.uipment on the venue stage this e.uipment must have rubber padding so as not to scratch the stage. Restricted Hours of Stage. The USER shall use the venue only during the hours arranged by !"#T$R% &"'(. The USER shall be allowed two )/, hours total prior to the time booked to set up and two )/, hours after the time booked to remove e.uipment props and all other materials from the venue. The lights and sound system as well as the air conditioning units of the venue shall be turned on only one )*, hour prior to the time booked at no additional charge to the USER. Should the USER re.uire additional time to setup this should be prearranged with the (dministration of !"#T$R% &"'(. Use Subject to Victory Lipa Supervision . The USER0s use of the venue shall be sub1ect to !ictory &ipa0s supervision at all times.

CARE OF VENUE The USER shall keep the venue in good and sanitary condition free from noxious odors or any other nuisance as defined in (rticle 23+ of the #ivil #ode. Should the USER its employees visitors or contractors damage the venue or lose or damage any furniture e.uipment or property !"#T$R% &"'( shall cause the same to be repaired and4or replaced at the expense of the USER which amount shall be reimbursed by the USER within seven )5, working days from receipt of written demand.

USERS PROPERTY & EQUIPMENT The USER shall submit to !"#T$R% &"'( a comprehensive list of the e.uipment props and other materials that will be brought to !ictory &ipa 6ain (uditoriun not later than seven )5, working days prior to the date booked. This list shall be sub1ect to the prior written approval of !"#T$R% &"'(. Should !"#T$R% &"'( have any .uestions regarding any items on the list the USER may be re.uired to show and4or explain the use of said items to !"#T$R% &"'(. $nly items appearing on the approved list and labeled as belonging to the USER shall be allowed to be brought into and out of the !"#T$R% &"'(. 7here the USER has other suppliers )caterers sound and lights system decorators etc., the USER shall provide !"#T$R% &"'( with a complete list of the e.uipment to be brought in by said suppliers not later than seven )5, working days prior to the date booked sub1ect to !"#T$R% &"'(0s prior written approval. $nly items approved by !"#T$R% &"'( and labeled as belonging to the USER0s suppliers shall be allowed to be brought into and out of the 8uilding of !"#T$R% &"'(. "ngress and egress of e.uipment props and all other materials by the USER and4or its suppliers from the 8uilding of !"#T$R% &"'( shall be limited to twenty9four )/+, hours prior to the time booked and twenty9 four )/+, hours after the time booked. :atepass must also be secured prior to ingress and egress of e.uipment. The USER shall be solely responsible for the care of all e.uipment props and other materials that it or its suppliers brings into the 8uilding of !"#T$R% &"'(. Unless directly caused by the fault and4or negligence of

!"#T$R% &"'( !"#T$R% &"'( shall ;$T be responsible for any loss or damage to said e.uipment props and other materials belonging to the USER and4or its suppliers. ;either shall !"#T$R% &"'( be responsible for any loss or damage to any property belonging to the USER its employees visitors and contractors. . A!ANDONED PROPERTY & EQUIPMENT "n case the USER leaves any e.uipment and4or materials beyond the twenty9four )/+, hour period for removing the same specified in Section < above the USER authori-es !"#T$R% &"'( its authori-ed agents employees and4or representatives to possess and inventory whatever e.uipment or personal property is found in the venue and4or the 8uilding of !"#T$R% &"'( and to transfer the same for safekeeping to an open air stack area for temporary storage charging a storage fee of =ive >undred 'esos )'?@@.@@, per day and other incidental expenses to the account of the USER. The USER agrees that in case it fails to claim such e.uipment or personal property within thirty )<@, days from written notice thereof the USER authori-es !"#T$R% &"'( to dispose of the same at public auction through a ;otary 'ublic and the proceeds of said date shall be turned over to the USER less reasonable expenses incurred for the sale storage fees and any indebtedness owing to !"#T$R% &"'(. ". PERSONNEL & CONTRACTORS VIC OR! LIP"#s Personne$. $nly the utility personnel of !"#T$R% &"'( are allowed to handle the venue0s e.uipment. (ny lighting design and4or music cueing must be cleared with !"#T$R% &"'( no later than seven )5, working days before the date booked. The USER must provide !"#T$R% &"'( with a technical script at least two )/, hours prior to the time booked. Personne$ %ea$s. USER must provided meals for all !"#T$R% &"'( utility personnel who will be assisting the client with regards to technical re.uirement setup and cleaning. #. MULTIMEDIA EQUIPMENT Should the USER re.uire the use of multi9media e.uipment in the venue the USER shall submit a re.uest in writing at least fourteen )*+, working days before the date bookedA otherwise !"#T$R% &"'( shall ;$T be re.uired to provide said multi9media e.uipment. PROHI!ITIONS The USER its employees visitors and contractors are prohibited from doing any of the following actsB )i, The use of the venue for any unlawful or criminal purpose and any other purpose contrary to public policy including but not limited to gambling or such other purpose that will impair the purpose of this (greementA The possession or use of any flammable toxic harmful obnoxious smelling poisonous or noxious substance or material in the venue and the 8uilding of !"#T$R% &"'(. Smoking is likewise prohibited in the venue and the E!ER% ;(T"$; 8uildingA The possession or use of any item or contraband the possession use distribution or sale of which is prohibited by law including but not limited to prohibited drugs firearms ammunition explosives pornographic materials and the like. The making of any alteration partition or change in the electrical or lighting systems and fixturesA )v, The assignment or any transfer of the USER0s right to use the venue on the date booked directly or indirectly in any manner whatsoever in whole or in partA without the prior written consent of !"#T$R% &"'(A The bringing keeping depositing storing or otherwise introducing into the venue or of the 8uilding of !"#T$R% &"'( of any obnoxious flammable or explosive goods or materials or any article which may expose the venue or the 8uilding of !"#T$R% &"'( to risk or ha-ard or any other article

which !"#T$R% &"'( may prohibit in writingA nor shall the USER carry on or permit upon the venue any activity trade or occupation or suffer to be done any other thing which may expose the venue or 8uilding of !"#T$R% &"'( to fire or thereby increase the fire ha-ard or render any increase or extra premium payable against fire earth.uake and the like or which may make void or voidable the whole or part of any such insurance policyA and )vii, %. The possession or consumption of any alcoholic or beverage in the venue and the 8uilding of !"#T$R% &"'(.

VCITORY LIPA RULES & RE&ULATIONS The USER shall abide by the rules and regulations on the use of the venue or 8uilding of !"#T$R% &"'( promulgated or which may hereafter be promulgated by !"#T$R% &"'(. COMMON AREAS The use by the USER of the venue shall include 1ointly with other customers visitors contractors employees and personnel of !"#T$R% &"'( the use of the common areas closest to the venue. E;&" may prescribe from time to time reasonable rules and regulations for the use of toilets and other facilities in and around the venue. !"#T$R% &"'( shall ;$T be liable to the USER for the operation of the electrical systems generator sets air9conditioning system chillers plumbing fire alarm sprinkler mechanical systems sanitary and other similar facilities outside of the venueA or the provision of light heat and water to the common areas of the 8uilding of !"#T$R% &"'(. The USER0s privilege to use common areas is not exclusive. The privilege given to the USER its employees agents visitors and contractors to use these areas is not an integral part of this >ouse Rules and may therefore be restricted or regulated by !"#T$R% &"'(. Such use shall be sub1ect to the following restrictions and regulations which may be modified or increased from time to time by !"#T$R% &"'(B )i, )ii, )iii, !"#T$R% &"'( may relocate the common entrances to or exits from the venue. The USER shall not obstruct any common areaA !"#T$R% &"'( may perform maintenance or repair work on common areas and no compensation or claim shall be allowed against !"#T$R% &"'( by reason of inconvenience annoyance or in1ury to its activities as a result thereofA !"#T$R% &"'( shall ;$T be liable or responsible for any article delivered to or left in the !"#T$R% 8uilding by the USER its employees visitors and contractorsA !"#T$R% &"'( shall ;$T be liable or responsible for any loss or damage that may be suffered by the USER its employees visitors and contractors by reason of theft robbery or other crimesA !"#T$R% &"'( shall ;$T be liable or responsible for any damage done or arising from the bursting of pipes such as gas or water or from the leaking of any cistern tank washstand water closet roof waste pipe drainage or downspout or from any calamity or any act of :od on the venue or from the negligence of the USER its employees visitors contractors or any other third personA and !"#T$R% &"'( shall ;$T be liable or responsible for any in1ury that may be caused to the USER its employees visitors contractors or any other third person while within the areas surrounding the !enue unless caused by the fault or negligence of !"#T$R% &"'(. The USER shall indemnify and hold !"#T$R% &"'( harmless from and against any and all liabilities penalties damages expenses and 1udgments by reason of any in1ury to person or properly arising out of the use occupation and control of the venue by the USER at any time during the term of this >ouse Rules. The USER shall promptly notify !"#T$R% of any claim asserted against !"#T$R% &"'( on account of any such in1ury or claimed in1ury to person or property and shall promptly deliver to !"#T$R% &"'( the original or a true copy of any summons or other processes pleading or notice issued in any suit or other proceeding to assert or enforce any such liability. 11. !INDIN& Except as otherwise provided this (greement shall inure to the benefit of and be binding upon the parties and their respective successors and assigns. ENTIRE A&REEMENT The >ouse Rules contained herein constitute the entire agreement between the parties relating to the sub1ect matter hereof and shall supersede all previous communications oral or written between the parties with respect to the sub1ect matter hereof. AMENDMENT This (greement may be amended only by the written agreement of the parties through their duly authori-ed officers or representatives. ALL RI&HTS CUMULATIVE ;o right or remedy conferred upon or reserved to any party is exclusive of any other right or remedy herein or by law or e.uity provided or permittedA but each shall be cumulative of any other right or remedy provided in this (greement. NO )AIVER ;o waiver by any party of any of its rights under this (greement shall be deemed to have been made unless the same is in writing and signed by said party. &OVERNIN& LA) This (greement shall be governed by and construed for all purposes in accordance with 'hilippines laws.
