EXECUTIVE SUMMARY
What happens to the innocent ordinary man when the quest for power and control by their
leaders end up on the battle field?

The Movie
“When two elephants are at war, it is the grass that suffers”, so the saying goes. In
“UNBREAKABLE NATION” we’ll find out how different things could have been, and how
difficult it is to change the here-and-now, let alone the future. Nigeria will be 50 years old by
2010, we have every reason to celebrate the peace and unity we have enjoyed after the civil
war. After seeing this picture, we may never want to relive the experience.

The Audience
The picture will not only serve as a means of entertainment but a mirror of our past, showing
how human lives were squandered in the name of power, control and freedom. The film is an
entertaining lesson in history with a strong sense of humour so the audience will be able to
accept the historical facts. Humour is a great bridge for communication.

Like all truly great epic tales, the appeal of “UNBREAKABLE NATION” is universal. Like Nigeria,
there are so many other countries that have gone through this episode, fighting their way to
liberty through war. Some war victims, who have experienced first hand the disruptions and
depredation of war, may never nurse the idea of another one.

Nollywood films have become very popular amongst African-Americans and those from the
Caribbean Islands. The film also has elements of British colonialist and this will add the
Caucasian movie lovers to our audience. Across the Americas, there are over six million movie
goers with at least some native heritage- and they are a natural audience for “UNBREAKABLE
NATION”.

All over Africa, there’s been a growing demand for Nigerian made films. A lot of who have
become great fans of some popular Nollywood stars. Genevieve was recently hosted by Americas
leading Talk Show host, Oprah Winfrey as one of the most famous African Talent.

The Deal
a. Total budget for the production of “UNBREAKABLE NATION” is $10,000,000.00
b. From all profits, the investors will be paid back first with 25% returns on the value of their
investment
c. All payments to investors will be done 90 days after the release of the film on cinema.
d. All investors will enjoy unending cash flow as long as the picture is exploited.
e. Monies paid back to investors and producers will come from the universal exploitation of
picture; theatrical release, DVDs, broadcast license/pay-per-view and movie sound track (if
considered).
f. Any investor who puts in more than $1million will receive screen credit in the movie and
attend premier screenings and after parties wherever they are held.

1.Company Background
Motion Man Picture Studios is an independent film production company based in the United
Kingdom which is in the process of being created as a corporation, incorporated under the laws
of Nigeria for the purpose of producing high quality feature length motion picture with the
working title “UNBREAKABLE NATION”.

The company intends to move the film from the process of development into pre-production and
production, through post-production and into distribution.

Since the Company was formed by a team of industry professionals from a variety of production
background, it has the potential to create a highly successful motion picture. The advantages to
these are clear:

1.1.1 Mission: Our mission is to start making good quality Nollywood movies
for distribution on worldwide cinema screens with perfection and generate
massive profits: leading our stars to international awards.

1.1.2 Development: A good script is vital as the basis for a successful film.
The script for the film is film based on true life events that led to the bloody
three-year Nigerian civil war after independence from Great Britain from
1967 -70. This script combines familiarity and innovation in telling the story.

1.1.3 Release: Since the film caters for a broad based audience, it is
intended for an initial cinema release in the first quarter, which will then
translate into additional revenue streams in other media such as DVD, Video
and Television broadcast. This means the film will have a greater chance to
earn more money in the foreign market place.

1.1.4 Experience: Because the creative team behind the project has
extensive experience within the industry, the company plans to utilize the
contacts and resources available to it to produce the film at a much lower
cost than what a similar film project would cost inside the studio system. By
having independent status, the Company can reap the benefits available to
independent productions such as discount on film stock, camera packages
and film processing rates, while still allowing us to maintain the highest
production value. Like 3rd Lens is offering to provide……….. This means that
the investor will benefit from a film that has the appearance of costing more
than it actually does. Distributors will be more willing to negotiate a more
favorable distribution fee. Odeon Cinemas in the U.K is willing to distribute
our film at 25% of all ticket sales on the condition that we feature at least one
or two Hollywood Star(s) and if the film is shot on 35mm film camera.

2 Management and Organization


The company is being managed by a team of four individuals with long years experience in the
field of film production and a project management . We also outsource some services from
experts when the need arises.

MANAGEMENT
i. Anna Carrington - Cinematographer
First studied Cinematography at Surrey Institute of Art and
Design, specializing in Cinematography. She was selected by
Women in Film and Television to be mentored by Henry Braham
BSC during the production of blockbuster ‘The Golden Compass’.
She gained her first credit as Director of Photography on the
feature length documentary - Welcome Aboard Toxic Airlines.
She also worked as the Camera Operator on British movies like -
31 North 62 East and Too Close To the Truth, a 2009
cinematic release.

At the end of 2008 she was the Director of Photography on feature


film “Ambleton Delight “which premiered at The Ritz Cinema in
Worthing on April 25th 2009. In May 2009 Ambleton Delight won "The Best UK Feature" award at
The End of the Pier International Film Festival and she won "Best Director of Photography 2009".

ii. Sunny Ache -


Researcher/Writer/Assistant Director and
Chief Executive Officer
Having been born and raised in Nigeria, he started his career in his
home country.

He ultimately decided to go abroad to seek advanced knowledge and


pursue a career in film/TV. He spent years training and subsequently
developing television programmes and films in the UK and US.
Furthermore, he has written numerous books, three of which were published and released in the
US and UK between 2006 and 2008. He also significantly invested in studying creative writing at
The Writer’s Bureau, Manchester, England as well as film directing at the Hollywood Film Institute
between 2007 and 2008.

At this point in his career, having acquired all the Hollywood knowledge and skills, his primary goal
is to make quality Nollywood (Nigerian) films for worldwide cinema viewing.

iii. Jennifer Belander - Producer/Cast Director

Born in Buffalo, New York, she attended the Buffalo Academy


of Visual and Performing Arts (BAVPA). Jennifer had become
appeared in a series of productions written and produced by
actor Jerry Lyden and Nancy Nicholson.

She performed roles in northern California, Arizona and Texas


before and also wrote great film scripts, including a play
accepted for production at a well-established Cambridge
venue ,in the UK.
She also did more film work, appearing in projects including
Interference, Are You Ready for Love, and in the European
version of the Tules Luper Suitcases project part 3. In 2006,
she produced and directed a film titled "By Blood and By Water". She has 24 years
experience in the film industry,

iv. Solomon Agamah - Project Management Adviser

v. George Calil - Producer

He’s a British born actor and Film producer known


for his notable role in Steven Spielberg’s Band of
Brothers where he portrayed Sergeant James H.
"Mo" Alley, Jr. And in the remake of the 1960 film
Spartacus in which he played the role of Pompey
the Great. He has starred and produced other high quality British films for
cinema and won a Sundance award in 2005.

vi. Ojali Ausa - Project Manager

A graduate of Geography from the Ahmadu Bello


University Zaria and a member of the Nigerian Institute
of Management. Having carved a niche for herself in
the Real Estate sector, she has a long history in
corporate affairs and social events management. She’s
a keen business woman, passionate about details with
a high sense of integrity. Her expertise will do much to
keep the project on time and on the budget.

This is her first time as a Project Manager of a full-


length motion picture. The entire business plan for

1.3 Strategic Alliance and Key Associates

The Company’s main Technical Crew; Sunny Ache, Jennifer Belander, Anna Carrington and
George Calil have worked with high profile actors, directors and production crew over the years,
including Director Steven Spielberg……………………………………………………. The Company will
strategically leverage on the experience of these people with respect to their involvement in the
film to help ensure the success of the project.

2.The Film Project


2.1 Synopsis Of Script/Treatment
On February 18, 1956, three years after British explorers discovered oil in the deep southern
part of Nigeria, HRH Queen Elizabeth II and her husband Prince Philip, the Duke of Edinburgh,
visited the empire during a royal tour that brought unity among the divided Northern and
Eastern politicians. By order of the Queen of England and through her message delivered and
read in person by HRH Princess Alexandra of Kent, independence was granted to Nigeria on
October 1, 1960. A Northern Nigerian prime minister was appointed. However, once the
British rulers departed and Nigeria ceased to be a UK colony, relationships within the country
began to deteriorate.
On January 15, 1966, a group of military officers—mostly eastern Ibos—overthrew the
government and assassinated the prime minister. Six months later, on July 29, 1966,
northerners staged a counter-coup, during which the eastern military head of states was
humiliated and assassinated in the jungle in the same manner as his predecessor.

The actions from both sides culminated in bloody ethnic and religious clashes between the
Northern Hausas and Eastern Ibos. The Northerners gained the upper hand, massacring more
than 30,000 Easterners in September and October of 1966. The following year, the
Northerners staged another massacre, forcing every Ibo living in the north to return to the
east. Unable to resolve the conflicts or provide the Ibos security outside their region, the east
voted to secede from Nigeria on May 26, 1967. Four days later, on May 30, Colonel Emeka
Ojukwu—the eastern region’s military governor—announced the Republic of Biafra, citing the
easterners killed in the post-coup violence.
However, the bloodshed did not end there. The disagreements led to a war that lasted three
years and took the lives of over 1 million Biafrans.

Dr. Roberts and Anne Franklin - a missionary American couple running a hospital in the east
was caught up in the horrors of war. Facing starvation, their food supply to the east was cut
off by the Nigerians throughout the war until the Biafran army finally surrendered to save
themselves from starvation. The damages appear irreparable.

Reason Behind the Research: Almost 50 years after gaining independence, ethnic and
religious clashes still occur in Nigeria and other parts of Africa. Chief among these clashes is the
Nigerian-Biafran war—a largely avoidable conflict that took the lives of close to 2 million
Nigerians 40 years ago. Memories of the results of such hatred among tribes still remain in the
minds of many Nigerians who witnessed the war. Yet this generation of survivors is dying off,
being replaced by new generations who are unaware of the potential consequences of their
action as they bring the nation to the brink of another phase of war due to the Niger Delta
violence related to oil fund disputes.
Although many movies have depicted the civil wars in various nations, from the Scottish and Irish
revolution against the English, through American civil war, to Somalia and Rwanda genocides -
and most of all, hundreds of movies telling different stories of WW1 and WW2. No movie has
been made of Nigeria’s conflicts in order to draw the attention of cinema lovers to the screen
and enlighten them about the repercussions of hatred. His research, combined with his ongoing
communications with living veterans, victims of the war, and former military officers close to the
assassinated president during the January 15 and July 29, 1966, coups motivated him to put all

the facts together and write this screenplay for a true story action movie in which all 120 million
Nigerians and every citizen in the western world would be interested as it tells a genuine story
among genuine people in vivid detail.

3.The Industry
The business of motion picture industry can be broadly divided into two major segments:
Production and Distribution.

 Production involves the development, financing and making of motion pictures.


 Distribution involves the marketing, licensing, promotions, physical reproduction,
delivery and exhibition of completed films.

“Blood Diamond” was produced by a Nigerian, Sam Kargbo, now a Senior Special Assistant
to The F.C.T Minister. It featured 2 famous Hollywood Stars (Leonardo DiCaprio and Djimon
Hounsou) with an official maximum budget of $40 million earning a worldwide gross of $171
million. The story revealed how Charles Taylor was involved in war crimes leading to the
looting of diamonds and civil clashes in Sierra Leone. “The Last King of Scotland”, a story
about the Dictator Ruler, Idi Amin of Uganda was made with a total budget of $10million. In
the first week of release, about $17million was realized and a total of $48 million was cashed
in by the end of the first quarter. “Hotel Rwanda” was made with $17 million and earned
almost $34 million.

These great African stories were all promoted and distributed by companies like Clear
channels advertising agency and Odeon cinemas – the same companies we are dealing with.

These great African stories are tracked annually by research organizations and international
communities. ”UNBREAKABLE NATION” is one of those stories, longing to be told in motion
picture to sensitize people on the need to tolerate each other in order to live together in
peace and harmony.
THE LAST KING OF SCOTLAND HOTEL RWANDA
BLOOD DIAMOND
The American Film Institute ranked Hotel Rwanda as #90 on its list of the 100 most inspirational
movies of all time. Film critic Richard Roeper said that it was one of the most inspirational films
that he had ever seen and named the film the best of 2004. Roger Ebert gave the film four-stars
and ranked Hotel Rwanda as the ninth best movie of 2004. Ebert's website provides a summary
of additional reviews of the film.

3. Promotional and Distribution Strategy.


3.1 The Market: In the 2008 top 20 film distributed in UK alone during that year, grossed
$800 million and more than that in the USA. The entertainment industry constitutes 40% of
America’s gross domestic earnings.
The overall Canadian industry [film and TV] is worth $2 billion annually. $1.3 billion is
indigenous while $700 million is from outside the country. Canadian films garner 4-6% of
Canadian box office revenues and about 100,000 Canadians are employed directly by the
industry. They spend about $440 million a year at the box office and video rentals account
for an extra $1.4 billion [FACTS ON THE CANADIAN FILM & TELEVISION INDUSTRY].

3.2 Distribution Strategy: the motion picture industry is highly competitive with
much of a film’s success being directly related to the skills of the distributor’s marketing
strategy. To maximize the Company’s bargaining power, the distribution negotiation began
just before we embarked on this project. As recommended by Odeon Cinemas, we must
feature at least one or two Hollywood star(s) and invest at least $ 2million into
advertisements to generate the hype that would result to generating massive profits. The
more people get to know about the film the higher the chances of getting a larger audience.

3.3 Promotional Schedule: UNBREAKABLE NATION like every other film e.g. The
Last King of Scotland and Blood Diamond – would be advertised by UK/US based advertising
agents, Clear Channels and CBS on every city and village bus stops, train stations, subways,
billboards and the interior of buses and trains. Cable networks will advertise 60 seconds
promos on every movie channels and 10 minutes documentary of the making on Movie
review programs. Clips will also be loaded to play automatically on 5 most popular websites
including Yahoo and MySpace.

The film will be premiered and released on cinema only for 3 months in the UK then US
and Nigeria. This will ensure everyone who sees it pays and profit made before piracy
comes in when released on DVD and cable rights sold.

3.Investment Opportunity
We already have a fully packaged project supported by an interactive website
[www.unbreakablenation.ning.com], still under development), video documentary, press
conference and other marketing materials to attract the attention of potential investors,
production companies or studios. This package has already exhausted a proposed $100,000.00
budget, a completed shooting script and a list of the technical crew and cast attached to the
project.

5.1 Funds Sought [BUDGET]


The Company is seeking $10,000,000.00 (Ten Million Dollars) in capital to fund the
production of the film over a period of 9 weeks. The company proposes to secure all of its
funds from Government organizations, venture capitalists and private investors.
This is the maximum budget covering total costs for high level Hollywood
cinematic facilities and crew rental from UK & US for 40 days including two
famous Hollywood actors, two famous British actors and two most famous
Nigerian actors. It also includes maximum 4 weeks maximum campaign in the UK,
US and Nigeria before it hits cinema screens. Roles to be played by film stars are
highlighted and underlined. This total budget will guarantee total ticket sales and
profit on the attached cash projection.

5.2 Benefits for the investor


The Company proposes a $10,000,000.00 (Ten million Dollars) budget to produce market
and distribute the film. Investors will be entitled to more than just 25% returns on the value
of their investment.
Any investor who puts in more than $1million will receive screen credit in the movie and
attend premier screenings and after parties wherever they are held. Additionally, any
investor that wants to promote a business or company as a “co-sponsor” will be able to do
so, which will provide the business with an opportunity for national/international advertising.

5.3 Income Projection


Using a conservative, selective revenue projection and assumption of general industry
distribution agreements as provided by Odeon Cinema, the Company projects gross
revenues of approximately $41,000,000.00 (Forty one million dollars) with a net
producer/investor income of $37,000,000.00 (Thirty seven million dollars).

be determined when the funds have been fully realized.
Risk Statements
 Investment in the film industry is highly speculative and inherently risky. There can be no
assurance of the economic success of any motion picture since the revenues derived from
the production and distribution of a motion picture depends primarily upon its acceptance
by the public, which cannot be predicted. Therefore, we aim to mitigate the risk to our
financiers by conducting very thorough and detailed development, pre-production and a
strong marketing/distribution strategy. That is why we are seeking to employ A-list talents
and a reputable production crew in the industry to maximize the potential for a greater
return of profits.

 Each potential investor specifically understands and agrees that any estimates,
projections, revenue models, forecasts or assumption are by definition uncertain
and thus possibly unreliable. Any party considering a transaction with the company
agrees to look solely to its own due diligence. In this regard, a limited liability
agreement will be formed between the production company (“managing member”)
and the investor(s) (“limited member(s)”). Gross revenues paid to the LLC will be
allocated in the following manner. 80% (Eighty Percent) of all distribution profits
received by the LLC will be placed into a mutually agreed Bank Trust Account and
paid out to the investors until such time as his or her initial amount of investment
(Principal) has been recouped. Thereafter, the investors would share in the
predetermined profit of 25%.

Ending Considerations
 The first vehicle set up in the campaign for awareness and request for investors was to
create an interactive website to provide intensive internet marketing. This website has
been used for two important factors, first to build a consumer database through search
engines, portal pages, links, blogs, chats and email. Second, we have optimized the
website to receive top placement on all the search engines. (Google, Yahoo, MSN etc.).
The company has also produced a 10 minutes video documentary on the mission of the
company to take Nollywood from video to cinema.
 We have also organized a press conference with 16 media companies, the foreign crew
and other stakeholders in attendance to sensitize the general public on our call for
investors as well as our mission.

 We have a well packaged, brilliant and mind blowing film, the most important aspect in
terms of large audience is the fact that they would want to see this film and spread the
word, “SAY NO TO WAR”.
 There has been a speculation by some political analysts that Nigeria will break up by the
year 2015. We are going to leverage our campaign on these speculations to gain more
awareness in the midst of the controversy.

INVESTOR FINANCING AGREEMENT [draft copy]

WHEREAS Motion Man Picture Studios has acquired the rights to a screenplay entitled
“UNBREAKABLE NATION”, written by SUNNY ACHE, which the Production Company will produce
as a feature length motion picture (the “Project”);
AND WHEREAS the Investor has expressed an interest in investing up to USD $ or NGN
N___________________ in
the Project in return for a share in the equity of the Project;
NOW THEREFORE THIS AGREEMENT WITNESSES that in consideration of the mutual covenants
and agreements contained in this Agreement, the parties hereby agree as follows:
1. Production of Project
The Project shall be produced by the Production Company in accordance with a Production Agreement
dated effective __________ [insert date], a copy of which is attached hereto and marked Exhibit “A” (the
“Production Agreement”). The Production Company hereby warrants and represents that:
(a) no deferments (other than those set out in the Production Agreement) have in the past or will in
the future be granted to any person or party which may in any way affect the interests of the
Investor described below;
(b) no gross participation in profits have in the past or will in the future be granted to any person or
party which may in any way affect the interests of the Investor described below; and
(c) the Production Company shall not modify, amend or terminate the Production Agreement
without first obtaining the Investor’s prior written consent to do so.
2. Distribution of Project
The Production Company shall use its best efforts to cause the Project to be exploited in all markets and
media, so as to maximize the monetary return to be derived by the Project. To that end, the Production
Company shall endeavor to arrange for third parties to distribute and/or exploit the Project on such
commercially reasonable terms as the Production Company might be able to obtain. The Production
Company shall be entitled to reimbursement, out of the proceeds of distribution, of any reasonable direct
out-of-pocket third party costs or charges it might incur in connection therewith. The Production
Company shall receive no consideration whatsoever for the services it shall render in connection with this
paragraph. Further, the Production Company shall have no obligation to distribute or exploit the Project
itself if it is unable to arrange for third parties to do so.
3. Contribution of Investor
The Investor’s monetary contribution to the Project shall total ____________________ (_______), in lawful
money of __________ [country] (the “Investment Amount”). The Investor shall deliver the Investment
Amount in certified funds payable to the Production Company’s designated Escrow Account, however,

AND WHEREAS, Finder is willing to render services to facilitate the introduction of Investors and/or
lenders to Produce, upon the terms and conditions contained in this Agreement.
NOW, THEREFORE, in consideration of the premises and covenants hereinafter set forth and for other
good valuable consideration, receipt of which is hereby acknowledged, the parties agree as follows:
1. Services of Finder
Services: Finder shall use its best efforts to introduce Producer to parties interested in Financing,
Investing in or Lending Money with respect to the development of the Picture. As used herein, the term “
Investor[s]” shall mean individuals and/or companies [and their respective associates, employees,
officers, directors, investors, affiliates etc] that invest in ventures including, but not limited to motion
pictures and shall include any information disclosed by Finder to Produce relating to any such person or
company.
Limitation of Services: Finder’s services shall be limited to the identification of prospective Investors who
may choose to invest through an Investor Financing Agreement [for single investor] or a joint venture
[between the investor’s company and the Producer], and the introduction of such prospective Investors[s]
to produce and/or any investor[s], nor otherwise provide any other information or advice to Producer
and/or any Investors except as specifically set forth herein. Finder’s statements to any prospective
Investor shall be limited to those statements that Producer specifically authorizes Finder in writing to
make.
Monthly Reports: Within __ days of the end of each month during the term of the Agreement, Finder shall
report to Producer detailing its solicitation activities on behalf of Producer. The monthly report shall
include:
a. The date of each contact or submission made on behalf of the Producer;
b. The name of the company or person solicited and results of that communication
In the event Producer enters into an agreement with any of the potential Investors introduced to Producer
by Finder within 6 months after the expiration of this Agreement, the Finder shall be entitled to be paid
the Finder’s Fee [hereinafter described].
1. Terms of Agreement
The term [“Term”] of this Agreement shall be 6 months commencing upon execution and delivery of this
Agreement by both parties. If, at the end of the end of the Term, Finder/or Producer’s legal counsel is
actively engaged in negotiations with a potential Investor on behalf of Producer, this Agreement shall
continue in effect for sole purpose of concluding said negotiations.

PROCEDURE FOR APPLICATION


I. The application form is a prerequisite for investment in the Project. Any intending investor

is required to purchase and complete the form at a non refundable fee of

N10,000.00[draft should be made payable to Motion Man Picture Studios Ltd].

II. Intending Investor shall be issued a receipt in exchange for purchase of the application

form.

III. A copy of the Investor Financing Agreement shall be issued after negotiations have been

concluded.

IV. Signing of the agreement shall be in company of one or two witnesses from the part of

Investor and the Management of Motion Man Picture Studios.

V. An investment certificate shall be issued upon commitment of funds, goods or services by

the investor.
