A. General
THANK YOU for your interest in the PASS: the Plug and Switch System (Hybrid Switchgear)
PASS, from ABB, is part of ABBs Innovative Substation Solutions family of products and builds upon
our many years of experience as the worlds leading manufacturer of gas-insulated switchgear (GIS).
The operational experience acquired with several years of supplying GIS switch bays worldwide has
been integrated into the PASS design and ensures that PASS will provide excellent reliability and
availability. PASS has several unique design features:
Integration of several functions in one compact high voltage switching module:
Circuit Breaker, Disconnectors, Earth switches and Ring Type CTs
All the functionalities (except the CTs ring type) are sealed in a single SF6 gas insulated housing.
Combination of disconnector and earthing switch in one common housing (one component) with
one common drive.
Reduction of needed space for switchgear bays through gas insulated components.
Use of mature ABB standard products, i.e. LTB circuit breaker chamber, three pole operating
mechanism, which are well known from worldwide and installed in many AIS switchgear bays.
Bushings made of composite silicon rubber with availability of cable ends
Bus bars stay air insulated.
Simplified on-site assembly of PASS modules since pre-tested, pre-fabricated and pre-wired also
for its control cubicle.
PASS is available for the Single Bus Bar (SBB), for the Double Bus Bar (DBB) and for the Double

1. Scope of Supply and Pri ces
1.1 Descri ption
The scope of supply offered refers to PASS M0S 245 kV modules, in the following quantities and con-
figuration:

2. Commercial terms and Conditi on
2.1 Definitions
In these Conditions of supply
SELLER ABB Limited, INDIA is called the Seller.
BUYER The order issuing agency for buying the equipment/services against this offer
will be called the Buyer.
2.2 Validity
Unless otherwise specified, the offer will be valid for a period of 60 days from the issue date of the
offer and thereafter it will be subject to Sellers confirmation / revision.
2.3 Price Conditions
The Indian Rupees is the currency offered and shall be the contract and payment currency.
Unless otherwise mentioned the prices quoted are Ex-works basis.
The prices are exclusive of all taxes and duties, which will be extra, at the rates prevailing at the
time of supply.
Modvat benefits, as applicable, have been considered in the prices quoted.
The prices include routine tests (as per applicable IEC) according to ABB QAP standard but do
not include type or any other special tests. Certificates of performed type tests for these or equiva-
lent equipment can be provided.
The prices quoted are firm and valid only for the scope of supply and services, as well as the com-
mercial conditions and the terms of delivery as detailed in this offer. Any future need of change arising
from late request or from not quoted specification will be evaluated and any economical/delivery time
impact duly communicated. A written acceptance will be requested before proceeding with implemen-
tation of any change.
Prices quoted do not include any items not mentioned in Scope of Supply, such as but not limited to:
connection cables between LCC and other panels
Wiring circuit regarding S/S interlocking system (it is included just the interlocking system of
the PASS module itself.
Costs for on-site assembly and commissioning
Costs for freight beyond point of delivery declared in this offer.
Costs for erection insurance
Costs for transport insurance beyond point of delivery declared in this offer.
Third party liability insurance
Commissions and fees to representatives
Personal and travelling costs for Purchasers representatives participating in factory tests /
inspections
Obtaining permits of any kind
Substation engineering and studies
Earthworks

2.4 Excise Duty
The prices are exclusive of Central Excise Duty, which will be charged extra at the rate prevailing at
the time of supply. In case the supplies are to be made to a project having deemed export status ex-
cise duty will be refunded by the Seller, if provided in the Govt. policy, after realisation of the same
from the concerned Govt. authority.
2.5 Sales Tax
The prices quoted in the Price Schedule are exclusive of state/central sales tax, which will be charged
extra at the rate prevailing at the time of supply. However, concessional rate of sales tax will be
charged, as applicable, against relevant sales tax declaration form to be furnished by the Buyer along
with payment. Sales tax will also be applicable on Excise duty component.
2.6 Works Contract Tax
Works contract tax, if leviable, will have to be borne and paid by the Buyer.
2.7 Statutory Variation
The Prices quoted are based on the present rates of various Government Taxes, duties as applicable
on the HV equipment. Should there be any statutory variation in these rates later on, the same will be
adjusted extra to Buyers account.
2.8 Freight and Insurance
The freight and Insurance after Ex-works, Vadodara shall be arranged by the Buyer.
If required, Seller can undertake the responsibility of dispatching the equipment by road through their
standard transporter up to site as per pre-agreed rates and terms. Any type of civil work for transpor-
tation purposes, whatsoever, is excluded from Sellers scope.
Any requirement of transport through waterways is excluded from Sellers scope unless specifically
confirmed and quoted in the offer.
In case the Insurance for transit risks is covered by Seller, at the quoted extra charges, under Sellers
open policy, Buyer will have to inform about transit pilferage/damage along with open delivery certifi-
cate, where applicable, within 15 days from the date of receipt of materials, to enable the Seller to
lodge their claim with the underwriters. In case of delay in reporting of transit damages/pilferages the
Insurance underwriters may not accept Sellers claim and Seller will have no option but to make good
such loss on chargeable basis. However, no deduction in Sellers bills is acceptable on this account.
The defective/damaged parts will be repaired or replaced as considered appropriate by the Seller,
within a reasonable time frame.
2.9 Packing and Forwarding
Offered equipment will be dispatched suitably crated/packed as per Sellers factory standard. The
fitting/assembling of loose parts/accessories at site is not in Sellers scope unless otherwise specified
in the enclosed offer.
2.10 Terms of Payment
Unless otherwise mentioned in the enclosed offer following Payment Terms will be applicable.

20% interest free advance of the contract amount along with the order.
80% Together with full excise duty & sales tax, freight & insurance as well as testing charges, if
any, through an irrevocable, confirmed and divisible Letter of Credit (L/C) by a first class In-
dian Bank to be established in Sellers favour on their bank. The L/C shall be opened buy the
Buyer within 15 days of issue of detailed Purchase order. The validity of the letter of credit
shall exceed last dispatch by at least 2 months, allowing partial dispatch & the value of L/C
shall be enhanced at the time of dispatch to take care of price escalation testing charges,
statuary variation, freight and insurance etc.
The 80% of the total contract price shall be claimed at site against presentation of dispatch docu-
ments, as listed below or, if dispatch should be delayed for reasons beyond our control, against our
notification of ready for dispatch:
(a) Invoice
(b) LR - Where transportation is in Sellers Scope
(c) Sellers routine test Reports
All the opening and operating charges of L/C shall be to Buyers account.
2.11 Deli very
The delivery period shall be 5 months on Ex-Works basis & subject to force majeure conditions men-
tioned herein. Delivery period will be reckoned from the date of receipt of technically and commercial-
ly clear purchase order containing agreed terms, approved drawings and the necessary advance if
required as per the agreed payment terms. Date of successful completion of agreed tests at Sellers
works shall be deemed as the date of delivery for contractual purposes.
These delivery terms could be modified during negotiation taking into account Buyers actual need
and the load of the Seller's factory.
2.12 Alti tude
Altitude of Site has been considered less than 1000mt & equipments quoted accordingly.
2.13 Force Majure
The Seller shall have no liability for any failure to perform or delay in performance of its obligations
under the contract caused by "force majeure" event including without limitation:
I. Natural phenomena such as weather conditions, floods, droughts, earthquake and
epidemics etc.
II. Act of any Government Authority, domestic or foreign such as war, declared or undeclared
quarantines, embargoes, licensing control or production, distribution restrictions etc.
III. Accidents and disruption on account of fires, explosions, sabotage etc.
IV. Transportation delay due to Force Majeure or accidents.
V. Strikes, and lock-outs at Seller's suppliers / Seller's works.
VI. Non availability of suitable Railway Wagon/Road Trailer for the purpose of transportation.

VII. Non fulfilment of any contractual obligation by the Buyer.
In case of any of the force majeure event the time for delivery shall be automatically extended by a
reasonable period.
2.14 Storage
If the Buyer does not take delivery of goods within thirty (30) days of notification that they are ready
for delivery the Seller shall be entitled on behalf of the Buyer to put the goods into storage at the Buy-
er expenses.
2.15 Warranty
The equipment to be supplied in accordance with the technical part of the Tender shall be warrantied
for a period of 12 (twelve) months from the date of commissioning, but in no case whatsoever longer
than for a period of 18 (eighteen) months from the date of dispatch.
Seller's contractual guarantee shall cover design, materials and manufacturing deficiencies for the
equipment sold. The Seller shall correct said deficiencies in the manner it seems appropriate. How-
ever, the Seller shall not be required to fulfil any warranty obligation in the following cases:
. Efficiencies attributable to design, materials, or manufacturing techniques imposed by the
Buyer and for which the Seller has expressed reservations,
. Servicing of the equipment specified in the Contract by the Buyer or by third parties under
conditions not previously approved in writing by the Seller,
. Damages or degradation caused by error or negligence of the equipment user, or by a force
majeure event or unforeseeable circumstances,
. Failure to comply with the Seller's instructions,
. Routine maintenance or replacement of parts required by normal equipment wear or by
equipment exposure to inclement weather.
The Seller may not under any circumstances be required to bear expenses other than those attributa-
ble pursuant to this warranty clause. In particular, the Seller shall not be liable for payment of expens-
es incurred by the Buyer or by third parties during immobilisation of equipment due to the perfor-
mance of work pursuant to the warranty.
The undertaking and obligations of the Seller under this warranty clause are in place of and exclude
all other warranty and conditions, whether oral, written, statutory, express or implied. Implied warranty
or conditions of fitness and merchantability shall not apply.
In the very unlucky case during warranty period, if repair work is needed then nominated point of re-
pair is ABB factory. In and out charges from site to ABB factory are not covered by warranty commit-
ment. The Purchaser will have to look after the costs and arrangements for taking the faulty PASS to
ABB factory. After the completion of the repair ABB will make the PASS ready for pick up by the Pur-
chaser at the ABB factory. Should ABB reckon that the warranty repair can be performed in some
other workshop, closer to the Purchaser than the ABB; ABB will have the option to organize the repair
in such alternative point of repair.
2.16 Tests
Routine tests as per relevant IEC as applicable will be conducted on the equipment before dispatch at
Seller's works. Type test/ special test, if agreed, will be carried out on first unit of each rating only. For
major bought out items, suppliers test certificates shall be furnished, wherever available.

In case the Buyer desires to depute inspector at Sellers works, at his own cost, to witness the tests at
final stage, Seller will give 15 days notice for this purpose.
Any delay in deputing inspectors, shall entitle Seller to claim full payment for the equipment against
submission of test reports and the Seller shall keep the equipment at his works as Buyers property at
Buyers expense. Any requirement of inspection, other than at final stages, has to be mutually dis-
cussed and agreed prior to placement of order.
2.18 Limitation of Liabilities & Exclusi on of consequential losses
Whether arising in contract, tort (including negligence whether active or passive), warranty, strict lia-
bility or otherwise, the liability of the Supplier, its agents, employees, subcontractors and suppliers
with respect to any and all claims arising out of the performance or nonperformance of obligations
under the contract, whether arising in contract, tort (including negligence whether active or passive,
warranty, strict liability or otherwise, shall not exceed in the aggregate the payment received and shall
in no event include damages for loss of profit, loss of revenues, loss of power, loss of use, costs of
capital, downtime costs, delays and claims of customers of purchaser or costs of replacement of
power or loss of anticipated savings, increased costs of operation or for any special, indirect or con-
sequential damage, loss of any nature whatsoever whether arising in contract, tort (including negli-
gence whether active or passive), warranty, strict liability or otherwise.
No such claim shall be asserted against the Supplier, its agents, employees, subcontractors or sup-
pliers, unless the injury, loss or damage giving rise to the claim is sustained prior to the expiration of
the period of warranty specified in the Contract and no suit or action thereon shall be instituted.
This LIMITATION OF LIABILITY Article shall prevail over any conflicting or inconsistent provisions
contained in any of the documents comprising the Contract, except to the extent such conflicting or
inconsistent provisions further restrict the Supplier's liability.
2.19 Language
English shall be the language of the Tender and the Contract and will prevail over any translation, if
any.
2.20 Law Appli cable, Arbitration
The Contract shall be governed by Indian Contract Act.
If at any time any question, dispute or difference whatsoever shall arise between the Buyer and the
Seller upon or in relation to or in connection with the contract either of party may forthwith give to the
other notice in writing of the existence of such question, dispute or difference and the same shall be
referred to the adjudication of two arbitrators, one to be nominated by the Buyer and the other by
Seller, or in the case of said arbitrators not agreeing then to the adjudication of an umpire to be ap-
pointed by the arbitrators in writing. Before proceeding, the reference and the award of the arbitrators,
or in the event of their not agreeing, of the umpire, appointed by them, shall be final and binding on
both of the parties and the provision of the Indian Arbitration Act, 1996 and of the rules thereunder
and any statutory modification thereof shall be deemed to apply to and be incorporated in the con-
tract. This order shall be speaking order and absolutely binding on both seller and buyer. The award
amount shall promptly, with in the period of 30days, be paid as per the award.
The arbitration shall take place in Vadodara, India, in the English Language.
2.21 Variation in Quantity

Any Variation i.e. increase or decrease, in the ordered quantity of equipments and components will
not be binding on the Seller unless mutually agreed between the Buyer and the Seller.
2.22 Transfer of Title
Title (legal and beneficial ownership) in the goods shall pass to the Buyer upon loading on board the
transportation vehicle at the Seller's works, unless otherwise provided in the agreement with the Sell-
er.
The Buyer agrees not to transform, capitalise, pledge or resell the equipment sold until the price
thereof has been fully paid, except in case of prior express permission granted by the Seller.
2.23 Confi dential Treatment and Secrecy
Seller shall retain the ownership of it's studies, drawings, models and any documents issued/ com-
municated to Buyer, or of which Buyer may have had knowledge in fulfilment of this contract. Such
information and documents may be used only by the Buyer exclusively for execution of the contract.
These documents and information shall be treated as confidential and shall not be distributed, pub-
lished or generally communicated to any third parties without prior express permission in writing by
the Seller.
2.24 Passing of Benefi t and Risk
Risk associated with the equipment shall be transferred upon delivery as per agreed terms. The Buy-
er shall provide the insurance required for the coverage of said risks immediately upon thereof. If dis-
patch is delayed at the request of the Buyer or due to reasons beyond Seller's control, the supplies
shall be stored and insured for the account and at the risk of the Buyer.
2.25 Compensation due to Buyers default
The Seller shall be suitably compensated for any delay or default not attributable to him during the
execution of contract. Such compensation shall include but not limited to Price escalation claims. In-
crease in Freight, Storage & Port handling charges & re-fixation of contractual delivery etc.
2.26 Suspension and Termination
Suspension
If the Buyer fails to make any payment when due or perform on time any of its other obligations under
the contract:
The Seller shall be entitled to suspend performance of the contract until the failure is rem-
edied;
The time for performance of the contract by the Seller shall be extended accordingly ;
Any cost (including financial cost and storage) thereby incurred by the Seller shall be paid
by the Buyer.
If performance of the contract is for any reason suspended and such suspension continues for more
than 3 months the Seller shall be entitled at any time during that continued suspension by not less
than 30 days' written notice to terminate the contract forthwith, in which event the provisions of the
termination clause below shall apply.

In case of termination of the contract in whole or in part under any sub-clause of these Conditions of
Supply the Buyer shall pay to the Seller without prejudice to any other remedy the Seller may have:
The outstanding balance of the contract value of the goods and services which have been
duly delivered or performed;
The cost incurred by the Seller up to the date of termination in performing work on goods
and services which are not then in a deliverable status, plus a reasonable sum to compen-
sate the loss of profit.
2.27 Bankruptcy
If the Buyer becomes bankrupt or insolvent or makes any agreement with its creditors compounding
debts or if, being a limited company, any proceedings are begun in respect of it applying for the ap-
pointment of a liquidator, administrator, receiver or similar official for it or all or any substantial part of
its assets or seeking an order or relief against it as debtor or under any law relating to insolvency,
readjustment of debt, reorganisation, administration or liquidation, the Seller may at any time by writ-
ten notice terminate the contract forthwith, in which event the provisions of the termination clause
above shall apply.
2.28 Acceptance
The acceptance of the equipment by the Buyer shall be deemed complete on successful testing of the
same at the plant of the Sellers or its agents suppliers or subcontractors, before dispatch to the site.
2.29 Coming into Force
The coming into force of the agreement is subject to receipt of technically and commercially clear pur-
chase order/signed contract and Advance payment (if applicable) or whichever is received later.
2.30 Channels for Communicati on
The Buyer is requested to direct his communication at the following address, in addition to Seller's
branch office / local office(if any).

2.31 General
These "Standard Conditions of supply" will be supplementary to any other terms and conditions men-
tioned in the enclosed offer. In case of any contradiction, the relevant terms and condition of the en-
closed offer will prevail.
Both the parties are under obligation to maintain secrecy of the documents, data, information, IP right
etc. supplied by either of the parties.
