Master Fee Agreement

On this EFFECTIVE DATE of ____________, ____, ABC Sales International, LLC, its
associates, agents and _____________________________________ thereafter be known as the
BUYER agrees to enter into the following agreement
(1) PURPOSE! Client has em"lo#ed the ser$ices of Cons%ltant to assist Client in "%rchasing

cons%lting with Client regarding the desirabilit# of "artic%lar Assets and the a$ailabilit# of
financing( formatting ac)%isition and e*it strategies( and negotiating "%rchase agreements Client
acknowledges that Cons%ltant is not acting as an attorne#, ta* ad$isor, s%r$e#or, a""raiser,
en$ironmental e*"ert or str%ct%ral or mechanical engineer, and that Client sho%ld contact
"rofessionals on these matters
(2) PROPERY! +ee Attached E*hibit A, which is hereb# incor"orated b# reference and made a
"art hereof All Assets identified on the attached E*hibit A shall hereinafter be referred to as the

2otwithstanding an#thing set forth herein to the contrar#, if the closing of the "%rchase of one or
more of the Desired Assets is not cons%mmated as a res%lt of a breach or defa%lt b# the Client of
this Agreement, the "%rchase agreement, or an# other related agreement, obligation, or
"erformance, the Fee shall become immediatel# d%e and "a#able b# Client to Cons%ltant

(9) :ISCLOSURE OF CO%SULA%8S ROLE! Cons%ltant shall inform all "ros"ecti$e
sellers /and their agents1 of the Desired Assets that Cons%ltant is acting on in behalf of Client In
the e$ent Cons%ltant has "re$io%sl# worked with a seller of a "artic%lar "iece of "ro"ert# as a
s%b3agent, Cons%ltant will "reser$e the confidentialit# of an# information obtained d%ring that
"rior agenc# relationshi" and will not %se s%ch confidential information to the detriment of the
seller Client acknowledges and agrees that the "reser$ation of this confidential information shall
not constit%te a breach of an# fid%ciar# d%t# owed b# Cons%ltant to Client
(;) CO%FLIC OF I%ERES! Client acknowledges that Cons%ltant ma# re"resent other
clients desiro%s of "%rchasing the Desired Assets Client acknowledges and agrees that
Cons%ltant ma# show more than one client the same Desired Asset, and ma# "re"are offers on
the same Desired Asset for more than one client Cons%ltant shall "reser$e an# confidential
information disclosed b# an# Client, and shall not disclose the e*istence of, or the terms of, an#
offer "re"ared on behalf of one client to another client In the e$ent Cons%ltant works for two
com"eting clients in connection with the ac)%isition of an# s"ecific Desired Asset, Cons%ltant
will be working e)%all# for both Clients and witho%t the f%ll range of fid%ciar# d%ties owed b# a
b%#ers agent to a b%#er In this sit%ation, the com"eting clients are gi$ing %" their rights to
%ndi$ided lo#alt# and will be owed onl# limited d%ties of disclos%re, obedience and
confidentialit#
(<) COS OF SER#ICES OR PRO:UCS OBAI%E: FROM OUSI:E SOURCES)
Cons%ltant will not obtain or order "rod%cts or ser$ices from o%tside so%rces /eg s%r$e#s, soil
tests, title re"orts, ins"ections1 witho%t the "rior consent of Client Client agrees to "a# for all
costs for "rod%cts or ser$ices so a""ro$ed and obtained
(1=) I%:EM%IFICAIO% OF CO%SULA%) Client agrees to indemnif# Cons%ltant and to
hold Cons%ltant harmless from and against an# and all costs /incl%ding, b%t not limited to, co%rt
costs and reasonable attorne# fees1, losses, liabilities, or damages arising o%t of, or in connection
with, Cons%ltants "erformance and obligations %nder this Agreement( "ro$ided, howe$er, this
"ro$ision shall not a""l# to the wanton miscond%ct or gross negligence of Cons%ltant in
"erforming its obligations here%nder

(11) %O%>:ISCRIMI%AIO%) It is agreed b# Cons%ltant and Client, "arties to this
Agreement, that as re)%ired b# law, discrimination beca%se of religion, race, color, national
origin, age, se*, disabilit#, familial stat%s, martial stat%s, height or weight b# said "arties in
res"ect to the "%rchase of the Desired Assets is "rohibited
(12) :ISCLAIMER) Cons%ltant is not g%aranteeing the s%itabilit# of an# Desired Asset for the
Clients "%r"oses Client is not rel#ing on Cons%ltant to determine the en$ironmental or other
"h#sical condition of the Desired Assets Cons%ltant shall not be liable for the inacc%rac# of an#
information or data "ro$ided b# third "arties in connection with the Desired Assets
(1!) E%IRE A$REEME%) This Agreement constit%tes the entire agreement between the
"arties, and an# "rior agreements, whether oral or written, ha$e been merged and integrated into
this Agreement This Agreement ma# onl# be modified in writing

in%re to the benefit of each of the "arties hereto and their res"ecti$e legal re"resentati$es,
