toLivelinesUKLTD.LiveLinesUKLtdcanterminatethisagreementatanytimeiftheregulationsstipulatedinhandbook
version3.2havebeenbrokenbytheOperator.
5.COPYRIGHT
AllandanyrightsofCopyright,Design,Patent,TrademarksoranyotherIntellectualPropertyRightsoranyVoiceRecordings,
TextChatmessagesorwebcamimagescreatedbytheOperatorareherebyasbeneficialownerassignedtoLivelinesUKLTD
freeofcharge.
6.CONFIDENTIALITYBothLivelinesUKLTDandtheOperatorhaveadutytokeepconfidentialallinformationgivenorgainedin
confidence.TheOperatoragreesnottoeitherduringtheappointmentorafteritsterminationdisclosestoanyoneany
confidentialinformationconcerningtheaffairsofLivelinesUKLTDandwillonlydiscloseinformationconcerningtheOperator
torecognizedAuthorities.
7.TAXIATIONLivelinesUKLTDshallhavenoliabilityforanyTAXorsimilarPaymentsinrespectofthesumspaidbyLivelinesUK
LTDtotheOperator.TheSupplierwillkeepLivelinesUKLTDindemnifiedagainstanyclaimforTaxationorNationalInsurance
Contributions(includingInterestandPenalties)oranysimilarTaxesorLeviesarisingbyreasonofthepaymentsmadeby
LivelinesUKLTDtotheOperator.
8.PhonePayPlusThesupplierwarrantsthattheyhavereadtherelevanthandbookversion3.2includingtheextractsfromthe
currentCodeofPractice,andallrequirementsoftheCodeofPracticeareunderstood.TheOperatorshallcomplywithall
requirementsoftheCodeofPracticeatalltimes.FullandcompletecopiesofthePhonePayPluscodeareavailableupon
requestorathttp://www.phonepayplus.org.ukTheOperatoragreesthatnocallswillbeprolongedandcallsmustbe
terminatedstraightawayiftheybelievethecallerisanobviousminor(under18yearsold).FailureinadheringtotheCodewill
resultintheOperatorbeingpaidatthelowerrateof7pperminutefortheirtalktime.Failuretoadheretotheregulationsmay
alsoresultinthiscontractbeingterminatedandtheOperatorceasingtosupplyservicestoLiveLinesUKLtd.
9.AGEtheOperatorwarrantsthatatthetimeofenteringintothisAgreementwithLivelinesUKLTDthattheyareovertheage
ofeighteen.
10.INDEMNITYTheOperatorshallindemnifyLivelinesUKLTD,againstanyclaims,Demands,ExpensesorLiabilitieswhich
LivelinesUKLTDmayincurarisingoutoftheServicesperformedbytheOperator.
11.LAWThisAgreementshallbeconstructedinaccordancewiththeLawsofEnglandandtheHighCourtsofJusticeinLondon
shallbetheSoleCourtsofCompetentJurisdiction.
