PROPOSAL FOR ADDITIONAL THREE (3) STATION DIALYSIS UNIT AT

BONTOC GENERAL HOSPITAL

I.

RESPONSIBILITIES OF BONTOC GENERAL HOSPITAL

(FIRST PARTY)

a. Manage and operate dialysis unit;

b. Provide an adequate room suitable for an initial installation of five (5) units dialysis machines
without any charge to the SECOND PARTY;
c. Provide the dialysis center with the necessary and sufficient water supply and electricity
without any cost to the SECOND PARTY;
d. Connect the dialysis unit to a generator capable of handling several machines in case of
brownouts;
e. Provide all applicable utilities such as television cable, medical waste, laundry etc. Without
any cost to SECOND PARTY;
f. Provide the dialysis center with the required comfort room, furniture and fixtures;
g. Provide the dialysis center with air-conditioning unit, refrigerator, weighing scale and
television set without any cost to the SECOND PARTY;
h. Facilitate all the necessary requirements needed for the issuance of licenses,

permits and clearances for the operation of the dialysis center.

i. Provide all the staff needed for the operation of the dialysis center such as

nephrologists, visiting doctors, nurses, technicians and administrative personnel

without any cost to SAHPC;
j. Permit the SECOND PARTY to exclusively handle and supply all the consumables

needed to operate the dialysis unit; these include and are not limited to the
following:

Shall have full price control of all charges applicable to the services
and products availed in the dialysis unit;

Issue Purchase Orders (POs) for all dialysis supplies and consumables
on a quarterly basis or as needed to SAHPC;

m.

All supplies, consumables and goods delivered must be paid on day of

delivery (COD).

Assist in getting the necessary requirements for the issuance of

licenses and permits, which may include and are not limited to
architectural, engineering and design work. All of the above works are
in full compliance of the designs, specifications and standards of the
Department of Health and AAMI for hemodialysis centers;
Assist the FIRST PARTY in all related construction and operational
permits;
Install Three (3) units BBraun Avitum Germany dialysis machines with
its regular maintenance and may increase the units, if and when
needed and as agreed by both parties, at no cost to the FIRST PARTY;
Provide Three (3) units dialysis chairs and Three (3) units 3000VA
Automated Voltage Regulator to complete the stations for the use of
patients;
Provide training of technician for the operation and basic
troubleshooting of the dialysis machines and reverse osmosis water
system;
Provide training for the proper cleaning and disinfection of the dialysis
room, dialyzers, and dialysis machines;
Train nurses with the use of dialysis machines and other consumables;
Must exclusively supply all hemodialysis supplies and consumables to
be used in the unit; these include and are not limited to the following:

May provide, only upon request, prescription drugs and other related
products not included in the proposal and will be subject to different
agreement.
Must deliver the goods within fourteen (14) business days of firm
purchase order;
To collect payments for good delivered to the FIRST PARTY on the day
of delivery.

III. FINANCIAL COMPONENT

The SECOND PARTY will charge the FIRST PARTY the amount of
THREE THOUSAND FIVE HUNDRED PESOS (P 3,500.00) for every
dialysis supplies package delivered net of VAT and taxes based on the
attached dialysis treatment package (See Annex A).
Please see Annex B and Annex C for the charges applicable for the
dialyzers, and all the other dialysis supplies and consumables;
No other discounts and charges may be applied to the SECOND
PARTY.

IV. MARKETING COMPONENT

Although the FIRST PARTY has the full control of pricing, the SECOND PARTY
through its extensive operating experience shall extend its services and help with
pricing, marketing etc. as the FIRST PARTY permits.

V. SECURITY CLAUSE
Only authorized personnel by the SECOND PARTY shall render service to
the machines. The FIRST PARTY shall be responsible in case of damage to
the machine due to customers negligence, abuse or alteration of the
machine or due to any service performed there upon by unauthorized
personnel.
Breakdown of the machines other than because of normal wearing out due
to operations shall be for the account of the FIRST PARTY. This includes
breakdown due to poor pest control, vermin, natural calamities such as
flood, earthquake, fire etc.
Loss of the instrument for any reason whatsoever, including theft, shall be for the
account of FIRST PARTY. The machines shall be deemed sold to the FIRST PARTY
and the FIRST PARTY shall be liable to pay SECOND PARTY the cost of machines:
FIVE MILLION PESOS (Php 5,000,000.00).

VI. CONTRACT PERIOD

All terms and conditions in this agreement shall commence from the date of signing
hereof and shall remain valid for a period of six (6) years from the first day of the
dialysis operations. It is renewable at the end of the contract period and can be
prematurely terminated upon mutual agreement or upon failure of either party to
perform its duties and responsibilities as indicated above.

VII. DISENGAGEMENT FEE

In case of breach of the terms and conditions agreed upon this contract, the
aggrieved party shall be afforded the rights accorded under the provisions of the
law. If for any instance the FIRST PARTY decides to unilaterally terminate the
contract without due reason, the SECOND PARTY deemed as the aggrieved party
is entitled to receive Three Million Pesos (P 3,000,000.00) herein referred to as
Disengagement Fee.
Any legal action therefrom shall be brought before the proper courts of
Pampanga and the prevailing party shall be entitled to all costs in
connection with such action, including a reasonable attorneys fees.

VIII.

Finally, the parties hereto shall act in utmost good faith and fidelity in
the exercise of their rights and obligations herein covenanted and shall
mutually lend to one another maximum cooperation and assistance to
the end that the objective of this contract may be achieved
economically, expeditiously and harmoniously.
