KNOW ALL MEN BY THESE PRESENTS:
The undersigned incorporators, all of legal age and majority of whom are residents of the
Philippines, have this day voluntarily agreed to form a stock corporation under the laws of the
Republic of the Philippines.
AND WE HEREBY CERTIFY:
FIRST:

That the name of said corporation shall be:

SAKURA RURAL BANK, INC.;

SECOND:

That the purpose or purposes for which such corporation is incorporated are:
PRIMARY PURPOSE

1. To carry and engage in the business of extending rural credits to small farmers and tenants
and to deserving rural industries or enterprises;
SECONDARY PURPOSE
1. To engage in the business of rural banking and allied undertakings as defined and
authorized under Republic Act No. 7353, Republic Act No. 8791, as amended, and other existing
laws;
2. To have and exercise all authority and powers, to do and perform all acts, and to transact
all business which may legally be had or done by rural banks organized under and in accordance
with Republic Act No. 7353 (Rural Bank Act of 1992) as it exist or may be ammended and to do all
other things incident thereto and necessary and proper in connection with said purposes within such
territory, as may be determined by the Monetary Board of the Bangko Sentral ng Pilipinas.
THIRD:
That the principal office of the corporation is located at Malaybalay City
Province of Bukidnon, Philippines;
FOURTH: That the term for which said corporation is to exist is fifty (50) years from and
after the date of incorporation;

SEVENTH:
That the authorized capital stock of the corporation is THIRTY
MILLION (P30,000,000.00) PESOS in lawful money of the Philippines, divided into the following:

1. Two Million (2,000,000) shares of common stock with the par value of P10.00 per share;
and
2. One Million (1,000,000) shares of preferred stock with a par value of P10.00 per share.
a. Only common stocks are entitled to voting rights.
b. Government preferred stocks shall be non-voting. They are preferred only as to assets
upon liquidation and entitled to dividends without preference from the date of issuance at
the rate provided under section 8 of R.A. No. 7353, as follows:

Preferred shares of stock held by the Land Bank of the Philippines may be retired on manner
provided for in Section 8 of R.A. No. 7353.
When all preferred stock of the bank have been sold to private shareholders, the Article of
Incorporation of the bank shall be amended to reflect the conversion of the preferred shares into
common shares of stock.
No retirement or purchase by the bank of its share subscribed by private shareholders shall be
made unless an equal amount of preferred shares is retired or purchased so long as the government
holds preferred shares in the bank.
EIGHT:
That at least twenty-five percent (25%) of the authorized capital stock above

TENTH:
That RAUL C. VENTINILLA has been elected by the subscribers as
Treasurer of the Corporation to act as such until his/her successor is duly elected and qualified in
accordance with the by-laws and that as such Treasurer, he/she has been authorized to receive for
and in the name and for the benefit of the corporation, all subscriptions paid by the subscribers.
ELEVENTH: That no transfer of stock or interest which will reduce the ownership of
Filipino Citizens to less than the required percentage of the capital stock as provided by existing
laws shall be allowed or permitted to be recorded in the proper books of the corporation and this
restriction shall be indicated in all the stock certificates issued by the corporation.

Bank, as Treasurer and have been authorized to receive for and in the name of the Bank all payments
to the subscriptions to the authorized capital stock:
That for Three Million (3,000,000) shares of stock, consisting of One Million (1,000,000)
Preferred and Two Million (2,000,000) Common Shares, Fifteen Million Pesos (P15,000,000.00) in
cash has been paid, and said payment was actually received by me for the benefit and to the credit of
the Bank;
That at least 25% of the authorized capital stock of the corporation has been subscribed and
at least 25% of the total subscription has been paid; and
That one hundred percent (100%) of the banks capital stock is owned by citizens of the
Philippines and that all the members of the incorporating Board of Directors are citizens of the
Philippines.
