KNOW ALL MEN BY THESE PRESENTS:

This Deed of Donation, made, executed and executed into this ____ day of

Eaters International, PO Box 515429, Dallas Texas 75251, manufacturer of Oil
Spill Eaters International (OSEI) II Bioremediation Product for Oil Spill Clean-up
in the Philippines with office address, Rojo Apartment, Lirio St., Taculing.,
Bacolod City, Negros Occidental, represented by the owner, Bill Cutler, and
hereinafter referred to as DONOR,

AND -

The PHILIPPINE COAST GUARD, a government agency created by virtue

of Republic Act No. 9993, and with principal office at Headquarters Philippine
Coast Guard, 139 25th Street, Port Area Manila 1018, hereinafter referred to as
DONEE,
Collective referred herein as PARTIES.

WITNESSETH THAT -

WHEREAS, under Republic Act No. 9993, the Philippine Coast Guard is
tasked and mandated to render humanitarian service, conduct disaster relief
and response operations, search and rescue operations, oil spill response and

WHEREAS, the DONOR agrees to donate two (2) drums of

Bioremediation product to the DONEE, in order to use in cases of an accidental

recovery and provide other maritime services to the public;

oil spill in any part of the country.

WHEREAS, the DONOR affirms that this donation is not made with
interest to defraud its creditors and that it has sufficient assets, funds and
property reserved for its obligations;
WHEREAS, the PARTIES agree that said product will be very useful in
combating oil spill and is safe to the countrys marine environment.
WHEREAS, the PARTIES agree that the Bioremediation Product for Oil
Spill Clean-up may also be utilized for attending needs in nearby localities,
regions and provinces in times of natural calamities and disaster;

WHEREAS, the DONEE is authorized to accept donations from the

private sector under existing and applicable Philippine laws;
NOW THEREFORE, for and in consideration of the foregoing premises,
the DONOR hereby voluntarily conveys, by way of donation, unto the DONEE
the Bioremediation Product for Oil Spill Clean-up, described as follows:

That the DONOR irrevocably give, deliver, transfer and assign to DONEE
all rights, and interest in the OSE II for the abovementioned purposes and
DONOR understands that the Bioremediation product shall become the
property of the DONEE which shall have the sole legal right to determine its
disposition. The costs incurred in relation, but not limited, to donating
accepting, transferring or managing the OSE II shall be borne by the DONEE;
That the PARTIES agree that this Donation shall be irrevocable once this
Deed of Donation is signed and the Bioremediation Product for Oil Spill Cleanup shall not be returned to the DONOR.
