MATERIALS RELEASE

For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, I, the undersigned,
hereby grant to Public Access Haircut, Inc. and its affiliated companies, successors, assignees and licensees (collectively
"Licensee"), the irrevocable, non-exclusive right and license, without additional compensation to me, to (a) use the materials
described below (collectively, the "Materials"), on film, tape or otherwise (the "Footage"), and (b) exhibit, display, transmit,
exploit, edit, project, promote and distribute (collectively, "Exhibit") all or any portion of the Footage, either alone or in
combination with any other footage or materials, as incorporated in the television program currently entitled The Chris
Gethard Show (Program), in any and all format, manner and media, now or hereafter known, throughout the universe, in
perpetuity, for any and all purposes, without restriction, limitation or condition. However, Licensee will have no obligation to
use the Footage (or any portion thereof).
I represent and warrant that I am the sole owner of the Materials; that I have the full right to enter into this agreement and to
grant Licensee the rights granted herein; that no other person or entity has any interest in the Materials; that the consent of
no other person or entity is required for Licensees use of the Materials as contemplated hereunder; and that the Footage,
and any use thereof in connection with the distribution, exhibition and exploitation of any production or program, or any
advertising or publicity relating thereto, will not in any way infringe or violate the right whatsoever of any person or entity.
All rights of every kind in and to the Footage and Program will be the exclusive property of Licensee and its successors,
assignees and licensees. However, this release shall in no way effect your separate and continued copyright ownership of
the Materials. Further, I understand and acknowledge that I shall not have any right of action against Licensee or any other
person or entity arising out of any use of the Materials as permitted herein, whether or not such use is, or may be claimed to
be, defamatory, untrue, or censurable in nature, and I hereby waive any and all rights of a similar nature in connection with
the exploitation of the Materials.
I hereby (i) expressly release, discharge and waive all claims (including, but not limited to claims, actions or suits for
invasion of my rights of privacy, rights of publicity, defamation or rights in the nature of droit moral), demands, losses and
liabilities of any nature which may arise from, and (ii) covenant not to make any claims against the Licensee as a result of,
any and all loss or injury caused by or occurring as a result of, the exploitation of the rights granted hereunder. In addition, I
agree to indemnify Licensee from and against any loss or damage, including reasonable attorneys fees and disbursements,
caused by or arising out of any breach or alleged breach of any representation of agreement made by me herein.
The foregoing permission and release is given for Licensees benefit and for the benefit of each of its successors, licensees
and assigns, and any persons, firms or corporations which, through Licensee, shall have the right to Exhibit the Footage as
set forth herein.
