Companies Linked to Irisl


The Islamic Republic of Iran Shipping Lines (Irisl) has been stashing away its vessels in a vast, interlocking web of shell companies to circumvent
American sanctions. Irisl has also changed the names and flags of many of its 123 ships in order to obscure their true ownership. Below are 66 companies
with direct ties to Irisl.

The Cyprus company is the registered owner of a ship called the Acena (aka the Iran
Kermanshah), which used to be operated and managed by Irisl. To operate and manage
the vessel, Acena now uses two companies linked to Irisl Sapid Shipping and Soroush
Sarzamin Asatir SSA. Sapid is located in Irisl's Tehran headquarters building, while
Soroush is located in the same Tehran building as the Irisl Maritime Training Institute.
One of the addresses listed for Acena is Esteshamlyeh Square, Neyestani 7, Pasdaran,
Tehran, home to the "Irisl Club," a fairly large closed-off compound of gardens,
reception halls and restaurants for Irisl company use. Cyprus corporate records show
that Irisl is Acena's sole shareholder. The directors of Acena are Mohammad Hadi
Pajand, who works for Irisl in London, according to a phone call to the company, and
Ahmad Sarkandi, an Irisl official who among other things was accused by the Commerce
Department of attempting to facilitate the illegal re-exportation of a powerboat for use
by the Iranian Navy and forming shell companies on Irisl's behalf for "evasive purposes."

Acena

The Hong Kong company is the registered owner of a previously Irisl-owned ship called
the Alameda (aka the Iran Dolphin). To manage and operate the ship, it uses Soroush
Sarzamin Asatir SSA, which is located in the same Tehran building as the Irisl Maritime
Training Institute. In addition, the directors of Advance Novel Ltd., according to its
Hong Kong incorporation records, are Mill Dene Limited, a company on the Isle of Man,
and Fernside Ltd., incorporated in Samoa. Isle of Man corporate records filed in March
2010 show that one of the two directors of Mill Dene is Nigel Howard Malpass, who is
also a director in the following Irisl-linked companies, all of which own previously Irislowned ships and have as co-director an Irisl official, Ahmad Sarkandi: Tongham
Shipping Company Ltd., Uppercourt Shipping Company Ltd., Vobster Shipping
Company Ltd., Kerman Shipping Company Ltd., Bushehr Shipping Company Limited.
In an interview, Mr. Malpass acknowledged setting up companies for Irisl, but added
that he has since "disassociated" himself.

Alameda

The Hong Kong company is the registered owner of a previously Irisl-owned ship called
the Alias (aka the Devotee). To operate and manage the vessel, it use two companies
linked to Irisl Sapid Shipping and Soroush Sarzamin Asatire SSA. Sapid is located in
Irisl's Tehran headquarters building, while Soroush is located in the same building as
the Irisl Maritime Training Institute. In addition, the directors of Alpha Effort Ltd.,
according to its Hong Kong incorporation records, are Mill Dene Ltd., a company on the
Isle of Man and Fernside Ltd., incorporated in Samoa. Isle of Man corporate records
filed in March 2010 show that one of the two directors of Mill Dene is Nigel Howard
Malpass, who is also a director in the following Irisl-linked companies, all of which own
previously Irisl-owned ships and have as co-director an Irisl official, Ahmad Sarkandi:
Tongham Shipping Company Ltd., Uppercourt Shipping Company Ltd., Vobster

The Malta company is the registered owner of a previously Irisl-owned ship called the
Silver Zone (aka the Iran Bushehr) which is operated and managed by Hafiz Darya
Shipping Lines. Hafiz Darya could not be found at the Tehran address listed by IHS
Fairplay, the ship-tracking service. The New York Times did, however, find Hafiz Darya
operating out of the third floor of Irisl's main headquarters at the Aseman Tower in
Tehran. Malta corporate records show that Irisl is the sole shareholder in Bushehr, and
one of the company's directors is Ahmed Sarkandi, an Irisl official who among other
things was accused by the Commerce Department of attempting to facilitate the illegal
re-exportation of a powerboat for use by the Iranian Navy and forming shell companies
on Irisl's behalf for "evasive purposes." The other is Nigel Howard Malpass, a British
shipping consultant who served on the board of other Irisl-linked companies. In an
interview, Mr. Malpass acknowledged setting up companies for Irisl, but added that he
has since "disassociated" himself. The authorized representative of Bushehr is Mansour
Eslami, a director of Irisl Malta. The company listed as responsible for the ship's
documents is Soroush Sarzamin Asatir SSA, located in the same Tehran building as the
Irisl Maritime Institute.

SilverZone

The Isle of Man company is the last known registered owner of a previously Irisl-owned
ship named the Iran Zanjan. The Iran Zanjan, now known as the Visea, is operated and
managed by Irisl, according to the shipping information service IHS Fairplay. Isle of
Man corporate records show that Irisl is Byfleet's only shareholder. One of its directors
is listed as Nigel Howard Malpass, a director in other Irisl-linked companies. In an
interview, Mr. Malpass acknowledged setting up companies for Irisl, but added that he
has since "disassociated" himself.

Visea

The Isle of Man company is the registered owner of a previously Irisl-owned ship called
the Sewak (aka the Iran Fars). The shipping information service IHS Fairplay lists its
address as care of Irisl headquarters in Tehran. Isle of Man corporate records show that
Irisl is Cobham's only shareholder. One of its directors is listed as Nigel Howard
Malpass, a director in other Irisl-linked companies. In an interview, Mr. Malpass
acknowledged setting up companies for Irisl, but added that he has since "disassociated"
himself.

Sewak

The Hong Kong company owns two previously Irisl-owned ships the Marigold (aka the
Iran Brightness) and the Agile (aka the Iran Decorous). To operate and manage them, it
uses two companies linked to Irisl Sapid Shipping and Soroush Sarzamin Asatir SSA.
Sapid is located on the third floor of Irisl's Tehran headquarters. Soroush is located in
the same Tehran building as the Irisl Maritime Training Institute. In addition, the
directors of Concept Giant Ltd., according to Hong Kong corporation records, are Mill
Dene Ltd., a company on the Isle of Man, and Fernside Ltd., incorporated in Samoa. Isle

The German company is the registered owner of the Daffodil (aka the Iran Hormozgan
and the Eleventh Ocean). German corporate records show it operates out of the same
building in Hamburg as Irisl Europe and is run by Mohamad Talai, an authorized
representative of Irisl Europe since 2010 and director of several other Irisl-linked
companies. The address listed by IHS Fairplay for the company is care of Irisl
headquarters in Tehran.

Daffodil

The Isle of Man company is the registered owner of a previously Irisl-owned ship called
the Sepanta (aka the Iran Ardebil.) IHS Fairplay lists its address as care of Irisl
headquarters. Isle of Man corporate records show that Irisl is Farnham's only
shareholder. One of its directors is listed as Nigel Howard Malpass, a director in other
Irisl-linked companies. In an interview, Mr. Malpass acknowledged setting up
companies for Irisl, but added that he has since "disassociated" himself.

Sepanta

The German company is a subsidiary of Irisl, according to IHS Fairplay. It is the


registered owner of the Iran Tuchal, a previously Irisl-owned ship, and operates out of
the same building in Hamburg as Irisl Europe. German corporate records show that it is
run by Mohamad Talai, an authorized representative of Irisl Europe since 2010 and
director of several other Irisl-linked companies.

Tuchal

The German company is the registered owner of a previously Irisl-owned ship called the
Decker (aka the Iran Atrak and aka the Fifth Ocean). German corporate records show
that Fifth Ocean G.m.b.H. and Co. operates out of the same building in Hamburg as Irisl
Europe and is run by Mohamad Talai, an authorized representative of Irisl Europe since
2010 and director of several other Irisl-linked companies. It uses Hafiz Darya Shipping
to manage and operate the vessels, and IHS lists its address as care of Hafiz Darya,
which could not be found at the address in Tehran listed for it. The New York Times did,
however, find Hafiz Darya operating out of third floor of Irisl's main headquarters at the
Aseman Tower in Tehran, Iran. The company is not on the Treasury Department's
sanctions list, but the ship itself is.
Fourteenth Ocean G.m.b.H. and Co. is the registered owner of the previously Irislowned Sabalan (aka the Iran Sabalan). It is a subsidiary of Irisl, according to IHS
Fairplay. The German company operates out of the same building in Hamburg as Irisl
Europe. German corporate records show that it is run by Mohamad Talai, an authorized
representative of Irisl Europe since 2010 and director of several other Irisl-linked
companies.

Sabalan

The Isle of Man company is the registered owner of a previously Irisl-owned ship called
the Bluebell (aka the Iran Gilan). It uses Iran-based Sapid Shipping to operate the vessel
and Soroush Sarzamin Asatir SSA to manage it. Sapid is located on the third floor of
Irisl's headquarters in Tehran. Soroush is located in the same building as the Irisl
Maritime Training Institute. According to incorporation records in the Isle of Man,
Gomshall's only shareholder is Irisl. Directors include Nigel Howard Malpass, a director
in other Irisl-linked companies, Alireza Semnanipour, who works in the commercial
directorate of Irisl, according to Irisl's Web site, and Ahmad Sarkandi, an Irisl official
who among other things was accused by the Commerce Department of attempting to

Hafiz Darya Shipping Lines (H.D.S.) took over much of Irisl's container business, it was
announced in 2009. Irisl officials have provided no details on what has been reported to
be a murky deal in the shipping trade press, but have said that H.D.S. is a separate
entity. At the address Hafiz Darya Shipping Lines (HDS) gave to IHS Fairplay, there was
no sign of the company at all. Instead, it was home to the "Irisl Club," a fairly large
closed-off compound of gardens, reception halls and restaurants for Irisl company use.
The New York Times did, however, find H.D.S. operating out of third floor of Irisl's main
headquarters at the Aseman Tower in Tehran. Some of the senior managers of Irisl and
H.D.S. are the same. In a phone call to H.D.S., for instance, Mr. Akbar Malekfar was
identified as the head of H.D.S.'s Asia Middle East container division. Mr. Malekfar, who
referred questions to a nonexistent public relations number, is also one of the general
managers of Irisl. A number of H.D.S.'s agents around the world are also related to Irisl.
According to Hafiz Darya Shipping Co.'s agent contact list, for instance, Dr. Naser
Bateni, head of Irisl Europe since 2009, and Mr. Mohamad Talai, an authorized
representative of Irisl Europe since 2010 and director of several other Irisl-linked
companies, are agents for H.D.S. Lines in Germany. H.D.S.'s Web domain also links the
company to Irisl; Arash Afshinfar, who in his LinkedIn profile says he works for SCSCO,
an Irisl affliate, and is the registrant of SCSCO's Web site, is also the registrant and
contact person for the Web site of H.D.S. Lines. Finally, many of H.D.S.'s routes are the
same as the routes previously run by Irisl, right down to the ships and timetables,
according to information gleaned from both companies' Web sites.

Hanseatic Trade Trust and Shipping was formed in 2009 and is listed as the Document
of Compliance (D.O.C.) company in charge of ensuring that a ship previously owned by
Irisl called the Dandle (aka the Iran Isfahan and the Twelfth Ocean) is in full compliance
with an international marine safety code. The C.E.O. of Hanseatic Trade Trust and
Shipping, Naser Bateni, has been the director of Irisl Europe G.m.b.H. since 2009.
German corporate records show the company shares the same address in Hamburg as
several other Irisl-related companies, including Darya Capital Administration G.m.b.H.
That company is run by Mohammad Talai, according to German corporate records, and
Irisl is a limited partner. Mr. Talai is also an authorized representative of Irisl Europe
G.m.b.H., which is located in the building next door to Hanseatic Trade Trust and
Shipping. Mr. Talai is also in charge of Kara Shipping, whose limited partner is Irisl.
The Malta company owns the Valili (aka the Iran Arak). It uses Hafiz Darya Shipping to
operate and manage the vessel. Hafiz Darya could not be found at the address listed at
IHS Fairplay. The New York Times did, however, find it operating out of third floor of
Irisl's main headquarters at the Aseman Tower in Tehran. Heliotrope's original board of
directors was Ahmad Sarkandi and Capt. Mansour Eslami, Malta corporate records
show. Mr. Sarkandi was an Irisl official who, among other things, was accused by the
Commerce Department of facilitating the re-exportation of a powerboat for use by the
Iranian Navy. Captain Eslami is IRISL's Malta representative. In December of 2009,
they resigned from the board and were replaced by a single director, Ebrahim
Mohammadnabi of Tehran. Mr. Mohammadnabi is a senior Irisl official. Heliotrope
papers show that Mr. Sarkandi, a director in another company Malta records show was
wholly-owned by Irisl called Marble Shipping Ltd., also transferred all the shares of that
company to Mr. Mohammadnabi, Hassan Djalilzadeh and a third Iranian. Mr.
Djalilzadeh is a senior official at Irisl.

Valili

The Isle of Man company owns the Horsham (aka the Iran Bam). It uses Iran-based
Sapid Shipping to operate the vessel and Soroush Sarzamin Asatir SSA to manage it.
Sapid is located on the third floor of Irisl's headquarters. Soroush is located in the same
building as the Irisl Maritime Training Institute. Horsham Shiping Company's only
shareholder is Irisl, according to Isle of Man corporate records. Directors include Nigel
Malpass, a director in other Irisl-linked companies, and Alireza Semnanipour, who
works in the commercial directorate of Irisl, according to Irisl's Web site, and Ahmad
Sarkandi, an Irisl official who among other things was accused by the Commerce

In April 2009, the Commerce Department placed Starry Shine International Ltd., Top
Glacier Company Ltd., Top Prestige Trading Ltd. and Ideal Success Investments Ltd. on
a list of entities or persons denied export privileges, based on Commerce's
determination that they were related to Irisl and had been formed and used for "evasive
purposes" by Ahmad Sarkandi and Ghasaem Nabipour, both Irisl officials and both
listed in Hong Kong corporate records as directors of Ideal Success Investment.

The company is listed as the registered owner of the Chastity (aka the Iran Shaafi). It
uses Iran-based Sapid Shipping to operate the vessel and Soroush Sarzamin Asatir SSA
to manage it. Sapid is located on the third floor of Irisl's headquarters. Soroush is
located in the same building as the Irisl Maritime Training Institute. Malta records show
that two of Ifold's three shareholders, who together hold two-thirds of the stock, are
Ebrahim Mohammadnabi and Hassan Djalilzadeh. Mr. Mohammadnabi is a senior Irisl
official, and Mr. Djalilzadeh is a senior official at Irisl.

Chastity

According to IHS Fairplay, Imir is a subsidiary of IranoHind, which was designated in


September 2008 by the United States Treasury Department as an entity affilated with
Irisl and subject to sanctions. It owned the Mir Damad and Mir Emad, two ships
previously owned by IranoHind, until November 2009, when according to IHS Fairplay,
the new registered owners of the ships became Bai Handelas and Bai Lal.

Shipping to operate the vessel and Soroush Sarzamin Asatir SSA to manage it. Sapid is
located on the third floor of Irisl's headquarters. Soroush is located in the same building

Logistics (Modafl). The United Kingdom levied its own sanctions against Irisl in 2009.
"Not only does Irisl facilitate the transport of cargo for U.N. designated proliferators, it
also falsifies documents and uses deceptive schemes to shroud its involvement in illicit
commerce," Stuart A. Levey, under secretary for terrorism and financial intelligence,
said at the time. "IRISL's actions are part of a broader pattern of deception and
fabrication that Iran uses to advance its nuclear and missile programs. That conduct
should give pause to any financial institution or business still choosing to deal with
Iran." Today, Irisl and its American-sanctioned subsidiaries are the registered owners of
only 46 of the 123 ships that were sanctioned by the United States. Almost all the rest
have been transferred to shell companies that are not on any sanctions list, but that
records show have links to Irisl.

of Irisl's headquarters. Soroush is located in the same building as the Irisl Maritime
Training Institute. Malta records show that two of Ifold's three shareholders, who
together hold two-thirds of the stock, are Ebrahim Mohammadnabi and Hassan
Djalilzadeh. Mr. Mohammadnabi is a senior Irisl official, and Djalilzadeh is a senior
official at Irisl.

Chimes

The company is the registered owner of a previously Irisl-owned ship named the Silver
Craft (aka the Iran Kerman). It uses Hafiz Darya Shipping to operate and manage the
vessel. Hafiz Darya could not be found at the address listed at IHS Fairplay. The New
York Times did, however, find it operating out of third floor of Irisl's main headquarters
at the Aseman Tower in Tehran. In addition, Malta corporate records show that Irisl
holds 100 percent of the shares in the company. One of the the directors of Kerman is
Ahmad Sarkandi, an Irisl official who among other things was accused by the Commerce
Department of attempting to facilitate the illegal reexportation of a powerboat for use by
the Iranian Navy and forming shell companies on Irisl's behalf for "evasive purposes."
The other is Nigel Howard Malpass, a British shipping consultant who served on the
board of other Irisl-linked companies, records show. In an interview, Mr. Malpass

IHS Fairplay for Sapid Shiping Co. is incomplete, and there was no trace of Sapid
Shipping there. The New York Times did, however, find Sapid Shipping operating out of
Irisl's headquarters in Tehran; inside the entrance there is a sign for Sapid next to the
sign for Hafiz Darya Shipping, another new company managing and operating
previously Irisl-owned ships that has ties to Irisl. In a phone call, the company
confirmed that its address was indeed Irisl headquarters and named Gholamhossein
Golparvar as its managing director. Mr. Golparvar is also a longtime top-ranking Irisl

The German company is the registered owner of the previously Irisl-owned Sahand, aka
the Iran Sahand. It is a subsidiary of Irisl, according to IHS Fairplay. German corporate
records show that it is located in the same buliding as Irisl Europe and run by Mohamad
Talai, an authorized representative of Irisl Europe since 2010 and director of several
other Irisl-linked companies.

The Malta company is the registered owner of the previously Irisl-owned Tongham (aka
the Iran Birjand). It uses Iran-based Sapid Shipping to operate the vessel and Soroush
Sarzamin Asatir SSA to manage it. Sapid is located on the third floor of Irisl's

Over the last year, the Iranian company has come to manage a sizable chunk of what was
formerly the Irisl fleet, overseeing 39 bulk carrier and general cargo ships and one
container ship in all. In all but one case, records show the registered owners of the Hong
Kong, Isle of Man and Malta companies that own these 40 ships have corporate links to
Irisl. In addition, the ships are operated by Sapid Shipping, which is located on the third
floor of Irisl's Tehran headquarters and is run by a man who was a top Irisl official.
Soroush, for its part, is located in the same building as the Irisl Maritime Training
Institute. The company's sign appears to be new.

board, according to Woking January 2010 filing. In an interview, Mr. Malpass
acknowledged setting up companies for IRISL, but added that he has since
