EXCLUSIVE DISTRIBUTION AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Agreement made and entered into by and between:
JDEENA TRADERS a business entity duly organized and existing
under Philippines laws, with principal address at AFC Compound,
General Santos City, represented herein by its owner, Juvy Deena K.
Amadeo, hereinafter referred to as the SUPPLIER;
AND
_______________________________, a company duly organized and
existing under the laws of the Philippines, with principal address at
_______________________,
represented
herein
by
its
owner,______________________________, hereinafter referred to as the
DISTRIBUTOR.

WITNESSETH:
WHEREAS, the SUPPLIER is the proprietor of Ace Cement Products imported
to Philippines from Vietnam;
WHEREAS, the DISTRIBUTOR desires to secure from SUPPLIER and SUPPLIER
is willing to grant to DISTRIBUTOR, the exclusive right to sell and distribute Ace
Cement within the agreed territory/ies.
WHEREAS, the DISTRIBUTOR possesses the capability to handle, store and
distribute Ace Cement to the clients/dealers in the area.
WHEREAS, the DISTRIBUTOR agrees to purchase 200,000 40-kg Ace Cement
bags within one (1) month and the SUPPLIER guarantees to no longer grant other
distributorship rights within the agreed territory.
WHEREAS, the DISTRIBUTOR agrees to (a) exercise its best efforts to
promote the sale of and obtain orders for Ace Cement in the territory; (b) abide by
Suppliers policies and procedures with regard to the purchase, sales and support of
the SUPPLIER and (c) conduct its business in a manner that reflects favorably at all
times on Ace Cement and the good name, goodwill and reputation of the SUPPLIER.
NOW THEREFORE, for and in consideration of the foregoing, BOTH PARTIES
hereby agree on the following terms and conditions:
SECTION 1. DEALERSHIP - The SUPPLIER hereby grants to the
DISTRIBUTOR the rights to market and sell ACE Cement Products in the provinces of
__________________________.
SECTION 2. PURCHASE GUARANTEE AND TERMS OF PAYMENT The
DISTRIBUTOR hereby warrants and guaranties that every month from the moment
this agreement, takes effect, he shall purchase from the SUPPLIER not less than
TWO HUNDRED THOUSAND (200,000) bags of 40 kg Ace Cement Products within a
month. The DISTRIBUTOR shall secure a Holdout Agreement from the SUPPLIERs
nominated bank (Eastwest Bank) not later than ten (10) working days from issuance
of Purchase Order by the DISTRIBUTOR and bank charges is free of charge.
SECTION 3. PRODUCTS AND PRICE. The term PRODUCTS in this
agreement shall mean the cement products from Vietnam supplied by the SUPPLIER
related to any of the following Ace Cement:
1. Quality

2. Specifications
3. Certification of Approval to market and sell in the Philippines
4. Packaging

The term PRICE in this agreement means the price per bag of 40kg Ace Cement
product which shall be determined on per order basis. See latest Purchase
Agreement.
SECTION 4. UNLOADING & LOADING unloading, loading and other
operational expenses from vessel to DISTRIBUTORS truck shall be for the account
and responsibility of the SUPPLIER.
SECTION 5. TERM OF SALE All sales of the SUPPLIER to the DISTRIBUTOR
shall be made in accordance to this Agreement. Any modification or amendments to
this agreement shall be made in writing and signed by both parties.
SECTION 8. VENUE OF ACTIONS it is understood that all legal action that
maybe brought on virtue of this agreement shall be in the proper courts of General
Santos City, to the exclusion of all other venues.
