AGREEMENT WITH UNDERTAKING

KNOW ALL MEN BY THESE PRESENTS:


This agreement made me and entered into this March , 2016, by and between DELMO DELA
CRUZ DELGADO of legal age, married, Filipino and with residence at Tondo, Manila authorized
representative of the Registered Co-Owners by virtue of a substitution of Attorney-In-Fact, dated July 2,
2015 and entered into the Notarial Register of Atty. Cris T. Palulanan entered as documents no. 1236,
page no. 50, book no.VI and series of 2015 hereafter referred to as the owner.
-andRICHARD E. VILLANUEVA, MARIBEL F. LLAMAS, ELIZABETH V. DELGADO, EFREN
JIMENEZ, MALOU FIKO AND GERALDINE BANAYO, legal age, Filipinos and residents of
Sariaya,Quezon and San Pablo, Laguna respectively, hereafter referred to as the AGENTS, attest and
witnesseth.
That the subject matter of this agreement pertains to the power to offer and negotiate the sale of
the undivided portion, in particular, the Four Hundred Seven Hectares (407 HA) owned and registered in
the names of the owner IGNACIO CONRADO and which property is covered by Original Certificate of
Title (OCT) No. 4136, consisting of 407 hectares and located in Botolan, Zambales.
That the Agents were authorized commissioned and hired to find, identify and broker the said
property (portion) to prospective or interested buyers, under the agreement that the Agents shall be
entitled and shall receive form the owner the amount equivalent to (5%) five percent of the gross selling
price for which they said property were sold by the owners, and which shall be paid by the owner up to
the Agents upon the payment by the Buyer of the said property.
That the owner hereby confirms that the Agents had already pursued and facilitated the offer and
negotiation to have the said property sold, and the owner hereby recognized that the agents have first
registered and attend to the Buyer, its affiliates first among any Agents which may have placed any
interest on the property.
That the owner fixed the price of the property at the minimum price Fifty Pesos (P50.00) per
Square Meter (SQ.M.) net. By had expressly allowed the Agents to over it at a higher price or margin in
which events to over price shall belong to the Agents in addition to the five percent (5%) commission
computed from the price Fifty Pesos (P50.00) per Square Meter fixed.
That in the event that a consent to sell was executed by the Owner and the Buyer, the Owner shall
release and pay the Agents the corresponding total amount computed on the first or partial payment made
by the Buyer, and the same process shall be observed. For any term payments to be made by the Buyer to
the Owner until the full payment of the purchase price has been made.
That the parties have fully understand the terms and tenor of this contract and have covenanted to
be strictly bound by the same.
