1.JurisdictionisproperunderTitle28,U.S.C.,1339and1346,as
hereinaftermorefullyappears.

2.VenueisproperintheWesternDistrictofVirginia,astheparties
enteredintoacontractfortheleaseofrealpropertylocatedin
MadisonCounty,Virginia.PlaintiffasksthisCourttoenjoin
Defendant'sactionsinMadisonCounty.

3.OnJanuary5,1998,Plaintiff,TIMOTHYD.ROBINSON(hereinafter
"Robinson")enteredintoaleaseagreement[*2](attachedas"Exhibit
A")withDefendant,UNITEDSTATESPOSTALSERVICE(hereinafter"USPS").
Undertheagreement,RobinsonleasedtoUSPSabuildinginrural
MadisonCounty,Virginia,tobeknownastheLeonPostOffice.The
agreementprovidedforatenyearfixedtermlease,withtwofiveyear
renewaloptions.Defendantexercisedthefirstfiveyearoptionon
February3,2006("ExhibitB").Theoptioniscurrentlysettoexpire
onFebruary2,2011.

4.OnJanuary30,2008,DefendantUNITEDSTATESPOSTALSERVICE,
throughitsagent,RufusHambright,RealEstateSpecialist,Eastern
FSO,informedPlaintiffsinaletter(attachedas"ExhibitC")thatit
haddecidedtoclosetheLeonPostOffice,effectiveApril30,2008.

5.OnFebruary27,2008,Plaintiffs,bycounsel,informedDefendantin

leaseunilaterallyandthatitwouldbeinbreachoftheleaseifit

6.OnMarch11,2008,Defendantsentalettertothecustomersofthe
LeonPostOffice(attachedas"ExhibitE").Theletternotifiedpostal
customersthatitwassuspending[*3]servicesattheLeonPost
Office,effectiveApril11,2008.Defendantstatedthat"the
lease...isbeingterminatedduetothelessornotifyingus[USPS]that
hedoesnotintendtocomplywiththetermsofthelease."

7.IfthisCourtdoesnotenjoinDefendantfromclosingitsofficein
LeononApril11,Plaintiffswilllikelysufferirreparableharm.

8.PlaintiffsareengagedintherestorationanddevelopmentofJames
City,anareaneighboringandservedbytheLeonPostOffice.

9.TheLeonPostOfficeisanintegralpartofthesurrounding
community.Withoutitsexistence,thecommunity'sidentitywould
sufferirreparableharm.Thesurroundingcommunity'sidentityis
importanttoPlaintiffs'businesses.AtemporaryclosingoftheLeon
PostOfficewoulddrivepostalcustomerstootherplacesandharm
commercialinterestsintheareasurroundingtheLeonPostOffice.

10.Plaintiffsarelikelytosucceedonthemeritsoftheunderlying
case.ByclosingtheLeonPostOffice,Defendantisinviolationof
federallaw,federalregulations,anditscontractualobligationto
Plaintiffs.

11.ThebalanceofhardshipsweighsdecidedlyinPlaintiffs'favor.
Thereis[*4]potentiallysignificant,irreversibleharmto
PlaintiffsifDefendantisnotenjoinedfromclosingtheLeonPost
Office.Conversely,ifthisCourtpreventsDefendantfromclosingthe
LeonPostOffice,itwouldmerelymaintainthestatusquoanduphold
Defendanttoanexistingcontractualobligation.

12.Finally,thepublicinterestfavorsenjoiningtheDefendantsfrom
closingtheLeonPostOffice.Itisinthepublicinteresttouphold
theUnitedStatesPostalServicetoitsobligationsunderfederal
laws,regulations,andcontractsenteredintowithprivateparties.It
isinthepublicinteresttoensureswift,regular,uninterruptedmail
servicetoruralareasservedbythePostalService.

Fortheforegoingreasons,PlaintiffsrespectfullyrequestthatthisCourtgrant
PlaintiffsatendaytemporaryrestrainingorderenjoiningtheDefendantfrom
closingitsoperationsattheLeonPostOffice,andthatitgrantPlaintiffs
hearingsassoonaspossiblesothatthisCourtmaygrantatemporaryinjunction
andpermanentinjunctionpreventingDefendantfromclosingtheLeonPostOffice.

PlaintiffsofferthefollowingMemorandumofLaw:
STATEMENTOFFACTS
OnJanuary5,1998,Plaintiffs,TIMOTHYD.ROBINSON(hereinafter"Robinson")
andROCKSEDGE,INC.,nowknownasHEARTLAND,INC.,enteredintoalease
agreementwithDefendant,UNITEDSTATESPOSTALSERVICE(hereinafter"USPS").
Undertheagreement,RobinsonleasedtoUSPSabuildinginruralMadisonCounty,
Virginia,tobeknownastheLeonPostOffice.Theagreementprovidedforaten
yearfixedtermlease,withtwofiveyearrenewaloptions.Defendantexercised
thefirstfiveyearoptiononFebruary3,2006.Theoptioniscurrentlysetto
expireonFebruary2,2011.
OnJanuary30,2008,DefendantUNITEDSTATESPOSTALSERVICE,throughits
agent,RufusHambright,RealEstateSpecialist,[*6]EasternFSO,informed
PlaintiffsthatithaddecidedtoclosetheLeonPostOffice,effectiveApril
30,2008.OnFebruary27,2008,Plaintiffs,bycounsel,informedDefendantin
writingviaitsagent,Mr.Hambright,thatitdidnothavetherightto
terminatetheleaseunilaterallyandthatitwouldbeinbreachoftheleaseif
itchosetodoso.Nevertheless,onMarch11,2008,Defendantsentaletterto
thecustomersoftheLeonPostOffice.Theletternotifiedpostalcustomersthat
itwassuspendingservicesattheLeonPostOffice,effectiveApril11,2008.
Defendantstatedthat"thelease...isbeingterminatedduetothelessor
notifyingus[USPS]thathedoesnotintendtocomplywiththetermsofthe
lease."
Defendantindicatedthatitwaselecting"toexercisetheOptiontoTerminate
available"undertheAddendumoftheleasedatedJan.5,1998.Theleaseentered
intobetweenPlaintiffsandDefendantdoesnotgivetheDefendantapowerto
terminatethelease.The"Addendum"totheleasestates,infull,
"Notwithstandinganythinghereincontainedtothecontrary,therightofthe
USPStoterminatethisleasewithninety(90)dayswrittennoticetotheLessor
shallnotbe[*7]effectiveinthefirstfive(5)yearsofthefixedtermof
thislease."Thatclausedoesnotgranteitherpartyapowertoterminatethe
lease;nootherclauseorsectionoftheleasegrantseitherpartyanypowersto
terminatethelease,withorwithoutnotice.

PlaintiffsareengagedintherestorationanddevelopmentofJamesCity,an
areaneighboringandservedbytheLeonPostOffice.TheLeonPostOfficeisan
integralpartofthesurroundingcommunity.Withoutitsexistence,the
community'sidentitywouldsufferirreparableharm.Thesurroundingcommunity's
identityisimportanttoPlaintiffs'businesses.AtemporaryclosingoftheLeon
PostOfficewoulddrivepostalcustomerstootherplacesandharmcommercial
interestsintheareasurroundingtheLeonPostOffice.Plaintiffsregularlyuse
theLeonPostOfficeforsendingmail,receivingmail,andpurchasingpostal
supplies.WithouttheLeonPostOffice,Plaintiffswouldsufferconsiderable
increasesincostsandotherexpenses.
DISCUSSION
AsstatedinalineofcasesbeginningwithBlackwelderFurnitureCo.of
Statesvillev.SeiligManufacturingCo.,550F.2d189(4thCir.1977),acourt
istoconsider[*8]fourfactorsinrulingonarequestforapreliminary
injunctionortemporaryrestrainingorder:(1)theplaintiff'slikelihoodof
successonthemerits;(2)thelikelihoodofirreparableinjurytotheplaintiff
iftheinjunctionisdenied;(3)theinjurytothedefendantiftheinjunction
isgranted;and(4)thepublicinterest.

(1)Plaintiffs'LikelihoodofSuccessontheMerits
Plaintiffshaveastronglikelihoodofsuccessonthemeritsinthe
underlyingsuitforapermanentinjunctionstoppingthepostofficefromclosing
theLeonPostOffice.Defendant'sdecisiontoclosetheLeonPostOffice,
effectiveApril11,2008,isinviolationoffederallaw,federalregulations,
andthecontractitenteredintowithPlaintiffs.
Defendant'sdecisiontoclosetheLeonPostOfficeonApril11isin
violationofseveralfederallaws.Pursuantto39U.S.C.404(b)(1),Defendant
mustprovideadequatenoticeofitsintentiontocloseorconsolidateapost
officeatleastsixtydayspriortotheproposeddateofsuchclosingor
consolidationtopersonsservedbythepostofficetoensuretheywillhavethe
opportunitytopresenttheirviews.Defendanthasnot[*9]providedadequate
noticeofitsintentiontoclosetheLeonPostOfficetopersonsservedbythe
postoffice.OnMarch11,2008,Defendantprovideditsfirstnoticetopostal
customersthatitintendedtoclosetheLeonPostOffice.Defendantintendsto
closethepostofficeonApril11,2008,anoticeofthirtydays,notthe
requiredsixtydaynotice.
Pursuantto39U.S.C.404(b)(2)(A),inmakingitsdecisiontocloseor
consolidateapostoffice,Defendantmustconsidertheeffectofsuchclosingon
thecommunityservedbythepostofficeandwhethersuchclosingisconsistent
withfederalpolicytoprovideamaximumdegreeofeffectiveandregularpostal
servicestoruralareas,communities,andsmalltownswherepostofficesarenot
selfsustaining.Defendanthasnotprovidedanyevidencethatithasconsidered
anyofthefactorsrequiredby39U.S.C.404(b)(2)(A).
Pursuantto39U.S.C.404(b)(3),Defendant'sdeterminationtocloseor
consolidateapostofficemustbeinwritingandincludeDefendant'sfindings
withrespecttotheconsiderationsreferencedintheaboveparagraph.Defendant
maynottake[*10]anyactiontocloseorconsolidateapostofficeuntilsixty
daysafteritswrittendeterminationismadeavailabletothepersonsservedby
suchpostoffice.Defendanthasnotmadeanywrittenfindingsregardingits
considerationofthefactorsrequiredby39U.S.C.404(b)(2)(A).Defendanthas

notprovidedthoseservedbythepostofficesixtydaystorespondtoany
writtenfindings.
Inadditiontoitsviolationsoffederallaw,Defendantisalsoinviolation
offederalregulations.39C.F.R.241.3(a)(2)requiresthatanydecisionto
closeapostofficebebasedoncertaincriteria,includingcompliancewith
governmentpolicyestablishedbylawthatthePostalServicemustprovidea
maximumdegreeofeffectiveandregularpostalservicestoruralareas,
communities,andsmalltownswherepostofficesarenotselfsustaining.The
PostalServicemustfollowamandatoryprocedurethatgivesthepublicsixty
daysnoticeofaproposedactiontoenablepersonsservedbyapostofficeto
evaluatetheproposalandprovidecomments.Defendanthasnotprovideda
proposal,asrequiredbyfederalregulations,norhasitallowedthepublica
[*11]chancetoevaluatetheproposalandprovidecomments.
39C.F.R.241.3(c)(4)requirespreparationofawrittenproposaltoclosea
postoffice;thedistrictmanager,CustomerServiceandSales,mustgatherand
preservefortherecordalldocumentationusedtoassesstheproposedchange.
Defendanthasnotprovidedanydocumentationitusedtoassesstheproposed
closingoftheLeonPostOffice.
DefendantisalsoinviolationofacontractenteredintowithPlaintiffs.
Defendantindicatedthatitwaselecting"toexercisetheOptiontoTerminate
available"undertheAddendumoftheleasedatedJan.5,1998.Theleaseentered
intobetweenPlaintiffsandDefendantdoesnotgivetheDefendantapowerto
terminatethelease.The"Addendum"totheleasestates,infull,
"Notwithstandinganythinghereincontainedtothecontrary,therightofthe
USPStoterminatethisleasewithninety(90)dayswrittennoticetotheLessor
shallnotbeeffectiveinthefirstfive(5)yearsofthefixedtermofthis
lease."Thatclausedoesnotgranteitherpartyapowertoterminatethelease;
nootherclauseorsectionoftheleasegrantseitherpartyanypowersto
terminate[*12]thelease,withorwithoutnotice.Plaintiffshavefulfilled
alloftheirdutiestoDefendantunderthelease.

(2)LikelihoodofIrreparableInjurytoPlaintiffs
Defendant'sunlawfulclosingoftheLeonPostOfficewouldcauseirreparable
injuriestoPlaintiffs.TheLeonPostOfficeisanintegralpartofthe
communitysurroundingit.Plaintiffs,andothermembersofthecommunitywhouse
thepostoffice,relyonitforsendingandreceivingmail.Deprivingcommunity
membersofaccesstoapostofficedeprivesthemofthebenefitsofthePostal
Service'schieffunction,namely,"tobindtheNationtogetherthroughthe
personal,educational,literary,andbusinesscorrespondenceofthepeople."39
U.S.C.101(a).AsmembersofthecommunitysurroundingtheLeonPostOffice,
Plaintiffswouldbedeprivedofaccesstoinformationbindingthemtogetherwith
otherareasofthecountry.
Additionally,theclosureofthePostOfficewouldadverselyaffectthe
identityofthecommunityofwhichPlaintiffsareapart.Plaintiffs'business
reliesonthepresenceofasuccessfulcommunityintheareasurroundingthe
LeonPostOffice.Additionally,Plaintiffsare[*13]engagedintherestoration
anddevelopmentofJamesCity,aneighboringareaoftheLeonPostOffice.The
presenceofanearbypostofficeisimportanttothesuccessfuldevelopmentof
JamesCity.Theclosureofthepostoffice,eventemporarily,wouldhavelong
lastingnegativeeffectsonthedevelopmentofJamesCityandtheareas

surroundingtheLeonPostOffice.Currentmembersofthecommunitywouldbemore
likelytorelocatetootherareasservedbyapostoffice;outsidepartieswould
belesslikelytomovetoJamesCityorparticipateincommerceinJamesCity.

(3)LikelihoodofInjurytotheDefendantiftheInjunctionIsGranted
ThelikelihoodofinjurytoDefendantifthiscourtissuesaninjunctionor
restrainingorderisslight.Issuinganinjunctionwouldmerelycontinuethe
statusquo;DefendantcurrentlyoperatestheLeonPostOfficeandis
contractuallyboundtodosountilFebruary2,2011.Issuingtheinjunction
wouldalsogiveDefendanttheopportunitytoupholditsobligationsunder
federallawsandfederalregulations.

(4)PublicInterest
ThepublicintereststronglyfavorsenjoiningtheDefendantsfromclosingthe
LeonPostOffice.Itisin[*14]thepublicinteresttoupholdtheUnited
StatesPostalServicetoitsobligationsunderfederallaws,regulations,and
contractsenteredintowithprivateparties.Also,itisinthepublicinterest
toensureswift,regular,uninterruptedmailservicetoruralareasservedby
thePostalService.
CONCLUSION
Fortheprecedingreasons,PlaintiffsrespectfullyrequestthatthisCourt
grantatemporaryrestrainingorderandpreliminaryinjunctionenjoining
DefendantfromclosingtheLeonPostOfficeuntilPlaintiffsmaybeheardonthe
meritsoftheirComplaintforapermanentinjunction.
