NON-EXCLUSIVE (LEASE) RIGHTS

LICENSE AGREEMENT

BY ACQUIRING THROUGH PURCHASING, DOWNLOADING, AND/OR PROMOTIONALLY

RECEIVING A BEAT/INSTRUMENTAL FROM THE LICENSOR WHO IS PRODUCER AND CREATOR,
THE LICENSEE, WHO HAS PURCHASED, DOWNLOADED, AND/OR PROMOTIONALLY RECEIVED
THE BEAT/INSTRUMENTAL, AGREES TO ABIDE BY THE FOLLOWING TERMS AND
CONDITIONS OF USE CONCERNING A NON-EXCLUSIVE (LEASE) RIGHTS LICENSE:

I - The non-exclusive (lease) license is provided to the Licensee of the Beat/Instrumental non-exclusively and all
masters shall remain the property of the producer/creator which is BNYX.

I.I - BNYX maintains 100% copyright and ownership of the original Beat/Instrumental composition
purchased on non-exclusive (lease) terms.
I.II - It is not allowed to use any parts, melodies, instruments, sounds, drum arrangements, etc. of the
original Beat/Instrumental composition for other compositions.

I.III - This license is granted for the length of the copyright term (the author's
life).

II - By acquiring a non-exclusive (lease) license for a Beat/Instrumental, the Licensee is given non-exclusive
(lease) rights to the Beat/Instrumental while BNYX still has ownership and shall continue to reserve the right to
re-lease the Beat/Instrumental non-exclusively or sell the Beat/Instrumental exclusively.

II.I - Upon receipt of payment confirmation, the Licensee will receive an untagged zip file containing a
a high quality WAV formatted Track Out of purchased Beat/Instrumental.

II.II - In the event that someone buys the exclusive rights to the Beat/Instrumental you have leased, your
lease rights shall stand per your lease license agreement.

III - This non-exclusive (lease) license gives the Licensee rights to use the Beat/Instrumental created by BNYX
for one (1) profitable commercial recording on any medium (Album, EP or Mix tape) with a limit of up to two
thousand (2,000) copies and/or for unlimited non-profit use and unlimited non-profitable live performances.

III.I - If this limit of sale is reached and further sales are desired, a new lease or exclusive rights need to
be obtained (if the Beat/Instrumental has not yet been sold with exclusive rights and is still available). If
the Beat/Instrumental is no more available for leasing, no more sales can be made after the sales limit is
reached.

III.II - The Licensee is not allowed to get profitable radio, video or television-airplay or to perform
the song on commercial/profitable shows with a non-exclusive (lease) license. For this purpose Licensee
must own exclusive rights to the beat. Only Non-profitable performances are allowed.

IV - The Beat/Instrumental must be combined with lyrics and used as a song and not solely as an
instrumental.

IV.I - Use of BNYXs Beat/Instrumental composition in isolation (without synchronization of vocal

performance) is not permitted without obtaining a special Multimedia license directly from BNYX. If
you are interested in using the Producers compositions for Radio Broadcast, Commercial
Advertisement, Television Broadcast, Video Games, Internet, On-hold & In House Background Music,
or film Soundtracks you must contact BNYX directly in order to be granted such license.

V - Any acquired Beat/Instrumental created by BNYX must be credited on any projects and/or
productions and media as follows: Produced by BNYX, Prod. By BNYX or Beat/Instrumental by

 BNYX. This includes but is not limited to physical productions, digital productions, physical media,
digital media, live or recorded, etc.

V.I - Any acquired Beat/Instrumental created by BNYX and used for any projects and/or productions
without giving proper credit is not permitted under this license.

VI - This non-exclusive (lease) license forbids the Licensee to resale or distribute any Beat/Instrumental
created by BNYX in any form outside of what is stated within the terms of use, either as they exist or
any modification included but not limited to remixing or rearranging.

VI.I - The Licensee shall not sell, loan, rent, assign, or lease any Beat/Instrumental created by
BNYX or give away rights of any Beat/Instrumental created by BNYX to another user or party (artists,
record labels, production companies, producers, media, etc.) or for use in any competitive
product outside of the terms of use without the prior written consent of BNYX.

VI.II - Licensee also agrees to refrain from editing the Beat/Instrumental that is being licensed in this
agreement, by changing the arrangement of the Beat/Instrumental or by removing any melodies,
instruments, drum programming or sounds that are contained within the Beat/Instrumental.

VI.III - Licensee may edit/alter the length of a Beat/Instrumental as he/she sees fit, as long as he/she
owns a license to the Beat/Instrumental and do not change the sound-structure of the Beat/Instrumental
itself. No changes to a Beat/Instrumental are allowed, except of length changes.

VII - If a beat contains sampled material, the sample-clearing of itself needs to be done by the Licensee, not by
"BNYX". The Licensee understands that they are responsible for clearing all samples that they choose to use
and that the Licensor cannot and will not be held liable for the misuse of any sampled material that the Licensee
uses in conjunction with the original Beat/Instrumental composition that is being licensed in this agreement. The
Licensee understands and accepts that he only paid for the production work of the producer. The Licensor does
not claim to have any rights on any sampled material.

VIII - The Licensor will not receive a royalty from the sale of records or
downloads.

IX - By acquiring any non-exclusive (lease) licensed Beat/Instrumental from the creator BNYX, it is agreed that
this non-exclusive (lease) license serves as the standing agreement between the Licensee and BNYX unless
otherwise agreed to and specified in writing by BNYX.

IX.I - BNYX shall not be held legally, financially, or morally responsible for any third party claims or
any claims that may arise from the Licensees use of the Beat/Instrumental.

IX.II - The views and opinions of the artist/musician or expressed through the lyrics used on
the
Beat/Instrumental do not reflect the views and opinions of BNYX.

X - Anybody abusing or disrespecting the listed terms and conditions will likely face a law suit.

BY SIGNING BELOW, YOU CERTIFY THAT YOU HAVE READ THIS AGREEMENT, THAT
YOU KNOW AND UNDERSTAND THE MEANING AND INTENT OF THIS AGREEMENT
AND THAT YOU ARE ENTERING THIS AGREEMENT KNOWINGLY AND VOLUNTARILY.
