LEASE DEED

This deed of lease is executed on ________ Day of _________ _________

2) R.RAJNARAYANAN S/o. R.Ragu

both are residing at no.127/128, Natesan Nagar, 3 rd Main Road,


Virugambakkam, Chennai 600092 ( Herein after called LESSORS, which
expression shall unless

Repugnant to the context mean and include the said lessors Heirs, Legal
representatives executors, administrators and assigns of the One part.

Cumbum Valley Winery Pvt. Ltd., (A company registered under the


companys Act-1956 represented by R.RAJ NARAYANAN S/O R.RAGU for
Cumbum Valley Winery (P) Ltd Cumbum., Utthamapalayam Taluk, Theni
District, ( hereinafter called the lessee of the other part)

Whereas the Lessors is the absolute owner of the Land, situated at


Chinnaovalapuram Village, Utthamapalayam Taluk morefully and particularly
described in the schedule hereunder and herein after called the demised
premises.

And whereas at the request of the Lessee the Lessor has agreed to give on
lease of the demised premises morefully and particularly described in the
schedule hereto for the purpose of running the Factory on terms and
conditions hereinafter I hereinafter contained.

NOW THIS DEED WITNESS AS FOLLOWS:

1. The Lessors has agreed to the LESSEE all that premises described in
the Schedule hereto the Hold the same to the Lessee from 25.092009
to 24.09.2034 for the term of 25 years by paying during the said term
a yearly rent of Rs.1,000/- ( Rupees One Thousand only) Payable on
April month of each year.

The LESSEE hereby convenants with the lessor as follows

2. a) That the LESSEE will during the term hereby granted, pay to the
LESSORS the yearly rent hereby reserved on the day herein before
appointed

b)That the LESSEE will pay consumption charges Electricity and Water.

c) That the LESSEE will at the expiration of the said term of sooner
determination thereof peaceably and quietly surrender to the lessor
the said premises.

3. Lessor hereby covenants with the Lessee as followed:

a) That they will allow making full use of the land for the purpose of
factory as per the Govt. Order
b) that at the end of the lessee period, if agreed by both, for the
reasonable consideration will enter into sale agreement for the
same land

4. Provable always that whenever any part of the rent hereby reserved
shall be in arrears for one month the Lessor may re-enter on the
demised land and determine this lease.

5. Interpretation clause:- That wherever such an interpretation would be


necessary order to give the fullest scope and effect legally possible to
any convenant or contract herein contained the expression The
Lessor herein before used shall Include the owner for the time being
of the Lessors Interest in the demised premises and the expression
The Lessee herein before used shall include. Its Board of Directors,
Management, executors, administrators and permitted assign.

That the LESSEE shall use the premises exclusively for the purpose of
running a factors only.

6. The LESSEE shall not sublet the premises without the written
permission of the LESSOR.

7. The LESSEE shall pay tax for the building proposed to be constructed in
the demised premises.

8. The Lessee shall agree to pay E.B Charges and other charges for the
building proposed to be constructed in the demised premises.

9. The Lessor hereby covenants with the LESSEE as follows,

a) That the Lessor will provide the electricity service for the demised
premises before the Lessee is put in possession of the premises.

b) The Lessor shall agree the lessee to construct the building in the
demised premises on the cost of lessee

c) That the LESEE paying the rent hereby reserves an performing all
the covenants by the lessee herein contained may hold any enjoy
the demised premises, in case the lessor fails to made the payment
on demand the Lessee will pay the same and deduct it from the
monthly rent.

d) That the lessor will during the said term pay the land revenue
cesses and surcharge now payable of thereafter to become payable
in respect of the demised premises, incase the lessor fails to made
the payment on demand the lessee will pay the same and deduct it
from the monthly rent.

10. The tenancy hereby created shall be determinable at the option of the
Lessee by giving to the lessor there calendar months notice in writing.

11. That notwithstanding anything contained in the provisions of the Rent


Control act. Transfer of properties act etc. with regard to fixation of rent in
respect of the premises that tare taken on lease the properties hereby agree
that during currency of the lease, mutually agreed as herein above, they
shall not invoke the provision of the said statues either to render any term of
this agreement as void or illegal or to claim higher rent of fair rent.
