It is intended for the following -budget to'be a Guaranteed Maximum Price (GIVIP). GTS will be
required to demonstrate competitive pricing, tendering of major suppliers, equipment vendors and
subtrades and costs in an "open book" process. The GMP is based upon issuance of design
drawings and specifications. It is understood these design drawings will be updated and adjusted on
final snow and wind loads from the modeling report as prepared by RWDI by end of April 2008 and
final design information will be issued in May 2008.

It is GTS' responsibility to identify any long lead delivery items and provide competitive pricing
results from three vendors and applicable detailed backup for submission to DFC. Once pricing
results are tabulated for a complete price including duties, freight, PST tax, GTS will be required to
submit this information for "requisition to purchase" as recommended by DFC and approved by
Pavco This procurement process is intended to be an "open book" and transparent process.

Other items will be considered to be work self performed directly by GTS' In-house resources such
as project management, shop drawings and construction engineering, erection labour, temporary
bracing, GTS.in-house fabrication, at rates, mutually agreed (GTS to submit schedule .of. rates, for.
approvak-These rates are to exclude overhead and fee. Costs will be. substantiated-by GTS costs,
reports in an open book process.
Pavco .and DFC reserve the right to competitively tender parts of the work at their own discretion..
This work may include but not necessarily limited to cat walks platforms and railings,-portal frame
steel upgrades, temporary shoring steel.
We request that you expedite procurement of all long delivery items, and commence with the shop
drawing process as soon as design information is made available (in accordance with the project

need to wait for the "Finished Design", before we know what we are building, and
Ordering steel for.
And I know waiting is not the option, you want us to take, but I don't- see any other

.The integrated team (Team), comprised of Pavco/ Stantec/Hightex/. SBP/ Geiger/Tensys/ George
# Third/ Genivar/ DFC has been working closely with HIGHTEX and their consulting engineers over
the past two months for the Project. The Team has been utilizing HIGHTEX* and their consulting
engineer's unique expertise for cable supported, retractable roof systems expertise and resources
for preplanning, budgeting, scheduling and constructabiiity reviews to prepare and facilitate the
Work. This "Design - Build" methodology allows, the Team to work in a collaborative basis-to
optimize staei. design, function-;..integration with the existing building, systemssand construction -
solutions with the objectives of completing the Project on time and on budget. Pre-planning for
construction concurrently during the design is critical due to the limited time constraints. The Project
must be completed before the 2010 Olympics, specifically in time for the VANOC overlay work
commencing in November 2009. Time is of the essence.
This integrated; process will transition into a construction contract and will supersede the
Professional Consulting Services Agreement. This MOU will confirm that HIGHTEX is committed in
working cooperatively with Pavco-and DFC in good faith to finalize a construction contract.
Parties to The Agreement:
All Work shall be carried out in accordance with the Contract Documents. The contract agreement
shall be a Design - Build Stipulated Price Contract, CCA 14, 2000 complete with Supplemental
Conditions between HIGHTEX and Pavco. The supplemental conditions will be modified to

Once the requisition has been made from HIGHTEX on the purchase of the item and approved, the

Other items will be considered to be work self performed directly by HIGHTEX' in-house resources
such as project management, shop drawings and construction engineering, erection labour
temporary bracing. HIGHTEX in-house fabrication at rates mutually agreed (HGHTEX:to submit
schedule of rates for approval. These rates are to exclude overhead and fee. Costs w.ll be
substantiated by HIGHTEX costs reports in an open book process.
Pavco and DFC reserve the right to competitively tender parts of the work at their own discretion,

21. The Design-Builder must ensure their foreman on site has a mobile phone.

grinding, welding, and any spark-generating task. Tasks under Hot Works permits require fire-
watch.
23. The Design-Builder is responsible to ensure protection of surrounding areas prior to starting
work.
The following information shall be included in your invoice: (Submit breakdown and invoicing format
for the Project Manager's review prior to your first billing). '-!. ^_. .>.**&

T. Schedule of Values aggregating total contract price.
2. Schedule of Values for all pending or potential costs anticipated including unexecuted changes,
claims etc. to formulate project contract value.

6. HIGHTEX to provide a waiver from the Canada Revenue Agency (CRA) for corporate income
tax on the component of the contract that would be subject to CRA income tax. If this waiver is
. not received, the applicable portion of HIGHTEX invoices will be subject to a 15% withholding
tax that the Owner will be obliged to deduct from HIGHTEX billings.
7. Dominion's main office must receive the original invoice by no later than the 25th of each month
- for work up to and including the 25th of the month. Invoices will be processed by the end of the -
following month. Any invoices received after the 25th shall be included in the following month's
draw. Submit invoices by courier. Faxed copies will be accepted for prerapprova| only but
not processed for payment. Invoices should be addressed as follows:

Within seven days oTtheTs'suahceWtfiis Memorandum of Understanding and before any personnel
or materials are moved onto the jobsite, the Design-Builder shall provide Dominion with a Certificate
of Insurance evidencing coverage as required by the Contract for the following:

1. Comprehensive General Liability insurance with a minimum limit of $2,000,000.00.
2. Automotive Liability Insurance on all licensed vehicles owned by or leased to the Design--
Builder, protecting the Design-Builder, against damages arising from bodily injury* (including
death) and from claims for property damage arising but of their use in the operations of the
Design-Builder, its servants, agents or employees under the Contract Documents. Such
insurance shall be for an adequate amount acceptable to the Owner and shall in any event be
not.less than two million dollars ($2,000,000.00) inclusive of any one occurrence.
3. Design-Builder's Equipment Insurance covering all tools and equipment owned or rented by the
Design-Builder,

3. Erection procedures, crane layout diagrams, site set up plans.
4. Submittal of Operations/Maintenance Manual information and all other required
submissions/Shop Drawings in accordance with consultant's specifications must be received
upon completion of the shop drawing approval process.
_5. Manufacturer's scheduled delivery dates forspecial equipment, fixtures, etc. .._ _.;.,
6. Submit Performance Bond and Labour and Material Payment Bonds within seven (7) working
days of award and prior to commencement of Work.
7. A Performance Bond and a Labour and Material Payment Bond each in the amount of FIFTY
PERCENT (50%) of the CONTRACT PRICE (Only for contracts in excess of $1,000,000.
including GST) must be provided with seven (7) working days of the date of this tetter and must
be maintained in good standing until the fulfillment of the Contract including the requirements of
the Warranty provided for in GC 12.2 - Warranty and the payment of all obligations arising
under the Contract. ,

8. All such bonds shall be issued on a form approved by the Surety Association of Canada and
issued by a Surety acceptable to the Owner. The obligee on the bonds must be the Design-

Hightex. I haved also provided the SBP summary of preliminary elements/ quantities that

The new snow load code numbers they are using now must be the problem
For example the box beams use to be a combination of 30 mm and 70 mm plate the are now 75
mm and 75 mm plate, and are larger in size.

from 1500 to-1000,-and have full length stiffeners welded on 4 sides inside the tapered
box sections.

While I believe you are - comparing to original weights from SBP preliminary quantities ie
Upper Ring 1900 / 36 sections = avg" 53 tons and masts 1400/ 36 masts = avg 39 tons. ..
You really should be making the comparison to the weights you calculated and re-issued for
pricing as per GTS shop drawings dated Feb 27th. believe you indicated that these
details were prepared during your initial workshop meeting with Hightex and SBP on
February 22nd. Were you aware of the increased, weights discussed at the workshop as
reflected in these details of the compression ring? If so, wouldn't the schedule be
jeopardized at that time?
Based on GTS shop drawings on the compression ring for example, what did these shop
drawings represent in weight, and erection methods? ._
You did you own calculations on-the size and weights of the compression ring and mast
sections based on GTS shop drawing #100. dated March 13th Rev. (C) . This illustrated that
the compression ring was intended to be, split, in two sections and the weight calculated
from this drawing. I haven't calculated myself, but I do not believe translate into a .50%
increase in steel weight. I presume, if you knew that the compression ring would be split

Are these really the new dimensions and thicknesses? These new steel, member weights are
now so heavy (50%) that we will have to completely start oyer on our manufacturing,
shipping, and erection engineering schemes and methodology.
Even if these material lists are inflated with a 25% design buffer, the steel members are
too heavy for our current erection scheme.
Masts are heavier and stockier than previous design. They were 39 tonnes, now closer to 78
tonnes so they now require 4, (maybe 5) splices to be. erected.
mpression Ring Box Beams are heavier and fatter than previous design. They were average
53 tonnes, (heaviest 80 tonnes). The average is now 100 tonnes and the heaviest now 115
tonnes each. This again will require added splices for erection lift capacity.
Previous pin connections at the bases of the masts are now Bridge Slide bearings and they
are a-5 to 6 month delivery items. Full length stiffeners are being added to the masts
that, are-.a tremendous labor addition where we have identified that there is barely-enough
time to fabricate the steel as per-previous design criteria., ...
Using these, take offs and design parameters the schedule is unattainable.
I fear GTS are spinning our wheels'here trying make this work when it's probably not even
c l o s e t o w h a t w e w i l l fi n a l l y b u i l d .
We need to wait for the "Finished Design", before we know what we are building, and
ordering steel for. . -
And I know waiting is not the option you want us to take, but I don't see any other

One thing that I would like you to discuss with Arif and Christomorrow is access to the BC Pavilion Site. We need
to get working on the temporary works that will be required on this property. GTS/KWH will quite possibly have to
construct a Barge Unloading Facility at the existing bulkhead that was installed during the construction of BC
Pavilion. We will also have to install fencing, trailers, and identify areas that can be utilized for storage of heavy
structural steel, roof cabling and fabric, other trade materials and construction personnel parking.

Pavilion Corporation a Provincial Crown Corporation for the Province of British Columbia (Owner or PROJECT MANAGEMENT

SPECIAL PROJECTS
Until such time when the formal Design - Build Contract agreement can be fully executed between
PavCo and HIGHTEX, this Memorandum of Understanding (MOU) serves as an outline of the
contract requirements and inter* of the agreement. This MOU establishes the understanding that
HIGHTEX is committed in working cooperatively with PavCo and DFC in good faith for the purpose
of finalizing an acceptable contract process that is transparent, fair and meets the Owners
objectives on function, budget and schedule. This MOU is Intended to supple men t the
memorandum of understanding as prepared by HIGHTEX (HIGHTEX MOU) and HIGHTEX
Proposal submitted April 11, 2008.
All Work shall be in accordance with the contract documents, conditions and .clarifications as
mutually agreed. >
The Project:
The BC Place Roof Replacement Project (Project) will cover the replacement of the existing air
supported roof with a retractable roof system; a non-air-supported fabric covered.cabled structure.
The retractable, roof system is suspended by a steel structure of 36 pylons masts, beams,
outriggers, inriggers, compression ring and tension ring elements. The Projecfw.ll ^"de upgrades
of the existinq concrete structure below the new roof as well as associated mechanical and elec ncal
svstems for the roof. It is understood by HIGHTEX that construction will be "Fast Tracked as
design information will be issued sequentially by HIGHTEX to allow critical materials to be ordered
and construction to proceed before the design is fully completed. HIGHTEX understands the Design
- Build'responsibilities of the project and they will be working under conditions where it will be
necessary to proceed with shop drawings and fabrication based on design information that may not
be fully developed into "working drawings" as well as providing design information in time to allow,

critical path construction activities to proceed and critical path procurement of long lead materials
and equipment for the Work. They also understand it will be required to work within the Guaranteed CONSTRUCTION LTD.

track record in working in tight schedule conditions, delivering on time/ on budget^ working with
cooperative/ collaborative contract arrangements. Through this process, HIGHTEX has a good
understanding of the extent of the Work, general requirements, temporary works, scheduling,

procurement, means and methodology for the Work and has established a Guaranteed Maximum
Price (GMP) for the Work.
The integrated team (Team), comprised of PavCo/ Stantec/Hightex/ SBP/ Geigerflensys/ George
Third/ Genivar/ DFC has been working closely with HIGHTEX and their "World Class'consu ting
enqineers over the past two months for the Project. The Team has been utilizing HIGHTEX and their
-.consulting engineer's unique eXDBTtise for cabl-supported, retraGtafeiejreef.'S^tera^^eitise and
resources for preplanning, budgeting, scheduling and .constructabiiity reviews to prepare and
facilitate the Work. This "Design - Build" methodology allows the Team to work in a co laborative
basis to optimize steel design, function, integration with the existing building systems and
construction solutions with the objectives of completing the Project on time and on budget. Pre
planning for construction concurrently during the design is critical due to the limited tjme ronstraints.
The Project must be* completed before the 2010 Olympics, specifically in time for the VANOC
overlay work commencing in November 2009. Time is of the essence.
This integrated process will transition into a construction .contract/and will supersede the
Professional Consulting Sen/ices Agreement. This MOU will confirm that HIGHTEX is committed in
working cooperatively with PavCo and DFC in good faith to finalize a construction contract.
HIGHTEX has submitted a comprehensive proposal on April 11, 2008 and the contents contained
therein in no way r.elieves.HIGHTEX of their responsibility as the Design - Builder, to provide PavCo
with a complete "Turn Key" operational retractable roof system, that meet the intent of this
agreement.
Parties to The Agreement:
All Work shall be carried out in accordance with the Contract Documents. The contract agreement.
shall be a Design - Build Stipulated Price Contract, CCA 14, 2000 complete with Supplemental /
Conditions between HIGHTEX and PavCo. The supplemental conditions will be modified to .
incorporate the Role of the Construction Manager.

Other items will be considered to be work self performed directly by HIGHTEX' in-house resources
such as project management, shop drawings and construction engineering erection labour
temporary bracing. HJGHTEX in-house fabrication at rates mutually agreed (HIGHTEX to submit
schedule of rates for approval. These, rates are to exclude overhead and fee. Costs will be
substantiated by HIGHTEX costs reports in an open book process.
PavCo and DFC reserve the right to competitively tender parts of the work at their own discretion.

Change Orders:
Change Order mark up will be limited to 10% Overhead (including Home Office^overheads, shop
-overheadsrfwejeet management, site supervision and site general conditions)-and 5 k"Profit onw
cost of the change. Mark up will not be applicable on Charge Out rates and equipment rates when
provided by the Design-Builder. It is intended that only scope changes that.do not meet the intent of
this MOU will be subject to a change order.
It is understood that non-scope change will not impact the GMP and that the GMP. will allow for
completion of the design to meet the intended design requirements for engineering, aesthetcs
functionality, durability, quality etc. Refinements in the design,, if not covered by the budgets within
the GMP will be covered by the contingency included in the GMP. These unforeseen changes may
be neces'sai-y to address the design intent and other requirements for the completion of the design
that were not budgeted. Unforeseen costs related lo site conditions, minor requirements variance
in tender results, unbudgeted items, variance in actual costs and minor design requirements that are
necessary to satisfy final engineering will be covered by the contingency included in the GMP.
Non-discretionary changes resulting from design errors and omissions by the Design - Builder will
not be covered by the contingency.
Contingency:
A construction contingency in the amount of $4,980,067.25 is included to cover the variance in
estimated and actual costs as the (GMP).is based on. schematic and incomplete design drawings.
This contingency is integral to the contract as it allows HIGHTEX to guarantee the pnce based on
incomplete design information and reflects the inherent risk HIGHTEX will assume ,n delivering this
project based on fixing a price early in the design process. Upon completion ofthe Project, if aM
allowable expenditures including HIGHTEX construction fee arejess than the (GMP , this difference
effectively is the totafunused contingency; and the total unused contingency amount will revert back
* to the owner.
A construction contingency has been included to cover the variance in tender results as well as the
potential variance between final actual costs/and budgets estimated to establish the GMP- The
construction contingency is not intended to cover scope changes that impact the GMP. The.GMP
will allow for minor variances that can be expected during design development, provided they do not
add. scope changes to the project and are required to meet the intent of the outline specifications
and drawings.
Contingency is intended to cover price escalation and the variances between tendered and budget
items The contingency is a fixed value and not intended to be a Cash Allowance. If it is fully
expended HIGHTEX will be responsible for any budget overruns. Contingency expenditures will be
permitted only upon prior approval from PavCo and DFC. If the contingency is not fully expended,
any unused balances will revert back to the Owner.

Cast Steel: The cast steel especially the tension ring nodes is the most critical item in the schedule.
At the moment we have 8.5 months for the fabrication of the castings. We expect to be involved in 2
weeks of technical, commercial, lead time negotiations with the supplier. Before we enter into
negotiations and eventually finalising the order, we need to approach various suppliers in the-world
market There are a number of reputable suppliers in Europe, North America and Asia which will
need to be visited as soon as the RFP's aire sent out In our experience, the RFP will not be handled
with priority if the suppliers are not visited. We expect this phase to take approx. 4 weeks which
more.or less means that we need the go-ahead to approach the various-suopliers-irhmefsiatelyiThe *
cast steel market is booming at the moment and most suppliers have their books full. We need to act
swiftly so as to reserve materials In order tp make sure we can deliver on time. If the castings are not
delivered on time, the cable net cannot go up as planned.
Cables: The fully locked cables are also extremely important The moaLcritical items are the larger
diameters; The largest diameter Is the back stay cable and we have_W>f these. Without the upper
back stays, the steel structure cannot be installed, without the steel, the tension ring cannot be
installed, without the tension ring the main cable net cannot be installed and last but not least,
without the cable net, the fabric cannot be installed. In contrast to the castings, there is a very small
circle of cable manufacturers in a position not only to produce the cables but also able to check the
cables. Also the cable end terminals are also cast steel (see item 1) with some 900kg eachl, As per
item 1 above, we need to scour the market and reserve materials. The wires have to be reserved in
the approximate quantities. Negotiations with preferred suppliers need to start mid. May (May 15) and
here we also need 4 weeks lead time to source the market, meet the suppliers and explain our
needs. - .
Bearings: We have estimated the bearings to take approx/^months to produce. As.we are not
allowed to speak to any suppliers, this is only an estimate based on past experience. With the
current market situation in the steel sector where the market Is dictating not only price but also
delivery times. We see the bearing less critical as the cast steel and the cables but the steel
contractor needs to have enough time to approach suppliers in order to reduce the risk of longer lead
times.
Jacking Equipment: The process of shipping the jacking equipment to the site is not the issue but
looking at the current situation on the world market moves must be made now to assure availability
of the equipment. At the moment, we are seeing a boom in stadium construction and a large
proportion involve heavy lifting. Currently, the budgeting has been done based on historical data. As
soon as we are allowed(to approach the various companies, only then can we narrow the budget
bandwidth.

$6,100,000 + GST.
Cost to paint the roof liner is $700,000 + GST and is included in the above amount.
Order of Magnitude of Phase 2: Do we include structural upgrades for high importance factor. What is the scope
in this case? This" is not a straightforward budget.
