TERMS OF REFERENCE FOR PROJECT IMPLEMENTATION CONSULTANT


Background:

The Government of Pakistan has initiated major reforms of the power sector in order to eliminate
significant and long-term problems within the sector. One important issue is the need to increase the
financial viability and reliability of the power distribution system, which would lead to cost savings
for DISCOs and power consumers and to an improvement of consumers quality of life and the
overall economic activity.

In this context, the Government of Pakistan (GoP) is starting a major-scale programme to introduce
the use of Advanced Metering Infrastructure (AMI) in Pakistani DISCOs funded by ADB. The
investment programme will be implemented in different phases, with the goal of achieving significant
AMI coverage across Pakistans major cities and hubs of industrial activity. In that sense, the first
stage (Tranche 1) of the project aims to cover 1.8 Million consumers in three circles and new Modern
Billing System for the Entire Company in LESCO.

The programme of investment includes financial resources sufficient to cover the costs of electricity
metering infrastructure, as well as the necessary communication and CIS and Billing System. In total,
funds have been allocated for the costs of purchasing and installing the technologies and the
necessary supporting infrastructure.
LESCO as organization is responsible for provision of electricity to about 4.2 million customers of
different categories i-e domestic, commercial, industrial, agriculture, bulk supply etc. To deliver daily
business, LESCO has implemented Oracle ERP Business Suit 12.1 in the areas of Human Resource,
Material Management and Finance Directorates. Following are modules Implemented and operational
since 2009.
LESCOs present billing system is custom build application being run on Oracle 11G and the
front end application is built in Java. The overall AMI project implementation scope covers
the seamless integration of processes initiated from meters to head end system, MDM and
Customer Information and Billing system with the already implanted ERP modules. In
addition, scalability under performance parameters has also to be ensured.

Objective of the Assignment:

The objective of the assignment is to hire Professional Consultant experienced in the field of
Project implementation of Advanced Metering Infrastructure including all the related
components i-e meters, communication, head end systems, MDM, Customer Information
and Billing system, integration with existing technologies, arrangement of trainings,
preparation / vetting of operational procedures etc for ensuring the implementations made
by the contractor in accordance with the defined terms of contract with the contractor. The
Place of Assignment/Project will be the City of Lahore covering three circles of LESCO in
Pakistan.

Place of Assignment

Lahore City (the Capital of Punjab Province): Northern, Central and Southern circles of
LESCO.

Scope of Services, Tasks (Components) and expected Deliverables

The scope of work for this assignment covers three phases of the project

(I) Procurement process and preparatory phase


(II) Supervision of Supply and installation phase;
(III) Post installation phase.

The consultant shall carry out all the following activities, among others, required to support
the LESCO:

Phase I
Procurement Process and Preparatory Phase

Verification and Testify proof of concept and recommend LESCO PMU for its acceptance/
rejection or any other measures along with submission of POC Analysis Report.
Finalizing the contract procedures.
Preparation of a training and Social information program.

Phase II
Supervision of Supply and Installation

Technical monitoring and supervision of the installation of the smart meters, concentrators,
communications systems, Head End System, Meter data management system, field
equipment etc. for installation of smart meters to be reflected in Monthly Reports. System
Implementation and Integration Report that Project is ready for Commissioning is required to
be provided for the subject project.
Implementation of a training and Social information program.
Assessment of Expected Risks and to identify their remedial measures to avoid delays during
implementation of project. The Risks Mitigation Reports be submitted time to time during the
course of Project.
Analysis of the Existing System to be made by the Consultant and the documents required
(Theft Detection Manual, Meter Inspection and Testing Manual, Updated Commercial
Procedure, Safety Manual for Installation Process, Instruction Manuals for Installation
Procedures and Project Design Documents (PDD) ) will be drafted and delivered.
Analyse the network/ areas pointed out by the contractor where installation of meters through
PLC communication is not feasible, interpreting and recommending measures. The
Communication System Recommendation Report should be submitted for each such area.
Measurement and Verification of Contractor's invoices/ claims submitted for certain payment
Milestones.
Submission of Variation and extension of time proposals with suggestions and
recommendations.
Reconciliation of the equipment/ material consumed and balances to be returned to store.

Phase III
Post Installation

Witnessing of Pre commissioning testing of the project constituents and submission of Pre-
commissioning Test Reports.
Implementation of a training and Social information program
Preparation of a project completion report.
Submission of Project PC-IV.

Phase I: Procurement Process& Preparatory Phase
The consultant will be responsible in consultation with and on behalf of the LESCO with
respect to:
Verify and Testify proof of concept as defined in bidding document and recommend
LESCO PMU for its acceptance/ rejection or any other measures along with
submission of POC Analysis Report.
Participate and assist LESCO in the negotiation of the contracts.
Finalization of Contract Document and Contract Signing Event.
The Consultant shall have no authority to amend the Contract and will support
LESCO to issue all necessary addenda
Organizing, a foreign Study Tour comprising of 5 to 10 clients technical experts for in
depth understanding of the technology to be procured.

Consultants Duties and Authority

6. Any action under Liquidated Damages for Delay.
7. Issuance of Operational Acceptance.
8. Instructing and issuing a Variation Order under change in the contract elements
or change in the facilities.
9. Fixing rates or prices and valuation of variations.
10. Extra payment as a result of Contractors claims.
11. Issuance of Final Payment Certificate.
12. The Consultant has no authority to relieve either Party of any duties, obligations
or responsibilities under the Contract;

The consultant shall develop the proposal for modifications in the Commercial Procedures
(CP), including but not limited to the following activities:
Familiarization with the existing Commercial Procedure.
Mapping of the changes that the Smart Meter shall introduce
Preliminary discussion and presentation with LESCO and the Regulator about the
changes that may be necessary.
Preparation of Updated Commercial Procedures considering induction of smart
meters and data management system in line with the existing Commercial
Procedure.
Analysis of the Existing System be made by the Consultant and the following
documents are required be drafted and delivered duly ratified with the newly installed
system by the contractor
Theft Detection Manual
Meter Inspection and Testing Manual
Instruction Manuals for Installation Procedures.
Project Design Documents (PDD).

The Consultant shall also develop a model for the determination of the demand threshold
for every consumer based on the existing generation capacity allocated to the area. In this
regard, the model must:
Comprise an algorithm that:
o Consider the available capability
o Allocate the existing capability by customers category based on an
economical maximization approach and taking into account historical data.
The model shall:
Assign a threshold to each of the customer.
Be defined in an excel sheet

Provide technical advisory support to LESCO on integration of AMI with ERP of the
company.

Phase II: Supervision of Supply & Installation Phase


This phase comprises the following activities:

a) Component 1: Smart Meters


This component includes supervision of supply, installation, and commissioning of
(i) Smart Meters for all customers in the area selected by LESCO, and bulk Smart
Meters to be installed on the low voltage side of the distribution transformers together
with the required current transformers;
(ii) Data concentrators, and communication systems among various sub-systems, the
centralized management system in LESCOs IT Centre or designated place; and
(iii) Hardware and software of AMI data management (HES) systems.

b) Component 2: Meter Data management System (MDMS)/Billing/Database System.

This component includes supervision of:

(i) Supply, installation and commissioning of the hardware and software, as well as
training and after-sale services of a Meter Data management System (MDMS)
/Billing/Database System and its applications for the correspondent divisions; and
(ii) Migration of all the existing billing data to the databases of the new MDMS/CIS and
Billing System.
The specific tasks of the consultancy services are the following:
The Consultant may exercise the authority attributable to the Consultant as specified
in or necessarily to be implied from the Contract. The Consultant is required to obtain
the approval of the Implementing Agency before exercising a specified authority.

Supervision of installation of Meters, Head End System, Meter data management


system, billing system, customer information system, data management system,
communication systems field equipment etc. System Implementation and Integration
Report that project is ready for Commissioning is required to be provided for the
subject project.
Provide project supervision functions, including inspecting and accepting goods and
services related to hardware/software for HES, MDMS, Billing and Database
systems, confirming that the supplied goods and services conform to specifications,
recommending appropriate corrective actions when quality of deliverables does not
meet the specifications etc.,
On behalf of LESCO, carry out pre-shipment inspection/testing of Smart Meters,
HES, MDMS, DCUs, IHD, meter boxes etc along with LESCO nominated
representative.
Inspection and testing of Billing system.
Monitor project progress against plan, report on progress and propose remedial
measures as necessary. Monitor and prepare progress reports of the installation of
the HES, MDMS, Billing and Database systems.
Supervise field acceptance tests and certify functionalities of the equipment and the
systems,
Specify and supervise any remedial works to be carried out and recommend upon
completion before the issuance of the certificate of substantial/Final completion and
Operational acceptance. The inspection will be carried out along with representatives
of LESCO.
Undertake site supervision to countercheck project quality, adherence to time
schedule as reported by the contractor,
Prepare a project monitoring scheme (which will include technical, physical and
financial details), and finalize formats for reporting progress of Supply and installation
works and procedures for following up, supplying materials and software for
installation in accordance with the technical specifications. Moreover, the consultant
will also assist PMU in preparing and implementing a project performance monitoring
system (PPMS) to evaluate effectiveness of the project. The PPMS will measure
project performance against the parameters as set out in the design and monitoring

framework (DMF) of the ADB's Report and Recommendation of the president. The
PPMS will establish baseline data and benchmarks, collect necessary information,
monitor progress, identity benefits and evaluate social impact.
Assess the adequacy of all inputs such as materials and labours provided by the
contractor and his/her methods of work in relation to the required progress, and when
required, take appropriate action in order to rectify and to expedite progress. Keep
and regularly update a list of the contractors commitments in his bid.
Furnish timely assistance and direction to the contractors in all matters related to
interpretation of the contract documents, testing and other matters related to contract
compliance and progress of the project.
Discuss with the contractors and PMU the work program for implementation of the
project and reporting procedures.
Monitor and provide inputs to the Functional and Technical training sessions to be
provided by Contractors to LESCO staff in:

Creating customer meter database and


Operation of HES, MDMS, Billing and Database systems

Assist LESCO on a full time basis, in quality assurance fulfilling the required
international applicable standards and Quality control of contractors supply and
installation.
Assist LESCO in development of communication strategy which is to be launched in
advance of installation of meters
Advice on detailed design drawings and provide recommendations to the PMU
aiming to amend the technical solutions if necessary,
Assist LESCO in initiating action on slow implementation progress or deliverable
delays or violation of the contractors obligations, if any, as per contract conditions.
Recommend and verify LESCO for payment of invoices received from the Contractor
which are based on completion of contractual milestones.
Provide assistance to LESCO in approving variation orders invoices(Along with rate
analysis if the items of the variation order are not included in the contract) submitted
by the contractor and recommend payments to be made thereafter,
Assist to the PMU in settling any disputes arising during the implementation,
Inform LESCO on problems or potential problems which may arise in connection with
the implementation of the contract and make recommendations to LESCO for
possible solutions, Update top management on project status on periodic basis as
well as when required.
Review and submit all Contractors working drawings and perform verification of all
works.
Check and approve as built drawings, ensuring that all changes encountered in the
field during construction have been incorporated. Moreover, the Consultant will also
ensure the provision of Project Design Documents (PDD) including as built drawings
etc by the Contractor in shape of a folder.
Monitor and ensure the old meters recycling process and cleanliness of the cables
and waste due to the installation process,

Assessment of Expected Risks (Technical, Financially, commercially and social Risk
both internal and external) and to identify its remedial measure to avoid delays during
implementation of project. The Risks Mitigation Reports be submitted time to time
during the course of Project.
Provide assistance to LESCO during the inspection of material and equipment at the
manufacturers works as per approved drawings and technical specifications as per
the Contract agreement.
Controlling cost overrun, quality and schedule of contractors works and deliverables
in consultation and with approval of LESCO, consultant will be responsible for
reviewing and recommending change to percentage of PLC meters during the
implementation of the project. For this purpose, consultant will set up mechanism to
check under what circumstances the contractor will be allowed to utilize GPRS based
meters instead of PLC based meters for domestic and commercial customers and
how such approvals will be processed. The Communication System
Recommendation Report should be submitted for each such area.
Upon notice of completion received from the Contractors, inspect the works and
inform contractor and LESCO, in writing, items needs rectification for completion,

of Pre-commissioning Test Reports. Review and confirm with PMU the
commissioning test reports submitted by the contractors, establish the list of
deficiencies [if any] after commissioning, and prepare a time frame for the contractor
to remedy the deficiencies.
Maintain detail records of documenting information supplied by the local Smart
Meters specialists, relevant events and activities, drawings and documents, decisions
made at meetings, financial records, and any deviations from or changes to the
contract plans with an additional copy in the PMU master record.
Preparing monthly project progress reports as per agreed format, frequency and
contents developed in consultation with LESCO PIU.
Define an installation safety process manual for the meters that follow all
International and local regulations, standards and best practices, monitoring and
supervision of implementation of safety process manual during the project execution
by the contractor. (Baseline: Existing WAPDA Safety Code)
The Consultant shall provide Instruction Manuals for Installation Procedures.
Establishing reporting formats, procedures and setting standards for regular
monitoring of information generated by the meters.
Develop and recommend necessary procedures for assurance of adequate control of
production, testing at the manufacturer site, supply and delivery of materials and
equipment.
Prepare and submit to LESCO the detailed monthly and quarterly progress reports
and any other reports according to LESCOs requirements for the works. These
reports shall:
Describe work progress, the contractors performance, quality of work, delays,
deficiencies, constraints, and the projects financial status, forecasts, and
giving recommendations for action;

Mention any authorized changes in the original design and specifications;
Reconciliation of the equipment/ material consumed and balance to be returned to
store.
Carry out final inspection at the conclusion of the supply and installation contract.
The Consultant will advise on requirements and availability of necessary human
resources for installation, operation and maintenance of the system which must be a
part of Final Project Completion Report.
Prepare Certificate of Completion, stating date, or dates from which the defect liability
period of supply and installation / IT work shall commence.
Compile systematic records of the contractors site activities, prepare and maintain
inspection and engineering report and records to adequately document the progress
and performance of the work.
Provide training in PLC noise reduction.
Social Awareness about the project to Internal and External Customers with hard
copy of the information material in the form of booklet, brochure etc.
Training Needs Assessment of the project with schedule and conducting training of
LESCO staff.
Consider and ascertain technology transfer and provide on-the-job training to LESCO
staff involved in the project,

Phase III: Post Installation Phase (Defect Liability Period)


This phase will start after...
The Consultant shall
Ensure that all post-installation (as-built) drawings are furnished / submitted and bills
of quantities that may arise thereof has been duly paid and the Project Design
Documents (PDD) in the form of a book/folder has been prepared.
Facilitate decisions on all claims and accounts, all questions, disputes and
differences which may arise between the Client and Contractor and which under the
terms of the contracts are left for the Arbitrators settlement and decisions,
Assist and advise the Client with regard to any matter that may be subject to
adjudication, arbitration, inquiry or litigation up to delivery certificate of completion,
Maintain detail records of relevant events & activities, drawings & documents,
minutes of meetings, lessons learnt.
Submit to LESCO the Project completion report,
Assist LESCO on the eventually works defects and issue the final acceptance
certificates.

Social Information Program


At this stage, one of the most important aspects to develop is the communication program.
Customers must be aware of the next steps the company shall take in order to understand
the reasons for the massive change of meters and the targets and benefits they shall get
with this new technology.

Likewise, customers must learn how to benefit from the new AMI system so that they
consider the project as an improvement for their lives. In this regard, the following aspects
must be comprised in the communication program:
Explanation of the new system and its benefits (for the country and for them)
Explanation of the installation process. How they may be affected and what to do in
case of an issue.

Explanation of how to report a problem or complaint once the installation has been
fulfilled.
Capacity building in the use of the new elements (in particular the IHD)

Capacity building in how to benefit from the system

Expected Deliverables

Training
The project shall require the capacity building of the staff in order to:
a) Understand the capabilities of the AMI system and further benefits that can be
achieved;
b) Acquire necessary skills for the implementation; and,
c) Acquire necessary skills for the operation after implementation.
In this regard, training sessions at Headquarters level and a Division level shall be required
to cover all the aspects in the project. The Trainings shall be conducted in No. of groups,
having a reasonable No. of participants proposed & assessed by the consultant as per
Project Needs. The tables below provides the necessary training sessions.

Trainings by the Contractor


The consultant will Monitor and provide inputs to the Functional and Technical training
sessions to be provided by Contractors to LESCO staff according to LESCO needs in the
following.
Creating customer meter database.
Installation of meters and other equipment.
Operation of HES, MDMS, Billing and Database systems.
Safety procedures for installation of meter and equipment.
Seamless integration of the System with existing implemented technologies
Consider and ascertain technology transfer and provide on-the-job training, to LESCO staff
involved in the project.

Team Composition &Qualification Requirements for the Key


Experts
Profile of the Consultant
The consultant shall build a team of international and national experts with extensive
experience in the design and implementation of smart metering (preferably focused on
revenue protection) and commercial management of public services utilities (electricity,
water and sanitation, piped gas) in developing countries.

The Clients expectations of the Consultants key staff and requirements are the following:-

Key Staff
a. Team Leader /Advanced electricity metering specialist (1 International, 18 Man-
months Intermittent with the exception of phase-I and planning phase of the
project)

Team Leader will be responsible for the overall coordination of the Consultants services to
ensure the satisfactory fulfilment of the requirements of the Terms of Reference. The Team
Leader should be an electrical engineer/ advanced electricity metering specialist and should
have an international professional experience not less than 15 years in power sector and 10
years of experience in project management. The project related experience will be at least
in one or more projects in similar nature, implemented in the transmission and distribution or
revenue meter installation or advanced electricity metering, communication technologies
and commercial management systems. He or she has an experience in managing
international supply and installation contracts for International Financial Institutions (IFI)
funded power sector projects.
The Team Leader should have good communication skills in the English language, both
written and oral, and a high sense of organization and responsibility.

The Team Leader should have strong project management skills and experience in similar
project coordination and previous experience in Central and West Asia or other developing
countries. The team leader/advanced electricity metering specialist should be permanent
staff of the firm, or if the entity is an association or joint venture, of the lead firm or lead
partner.

b. Deputy Team Leader/ Advanced electricity metering specialist (1 National, 36


Man-months Intermittent)

Deputy Team Leader will be responsible to assist Team Leader for supervision of the
project. The Deputy team leader should be an Electrical engineer/ advanced electricity
metering specialist with national/ international experience not less than 12 years in power
sector and 05 years of experience in project management. The project relatedexperience in
at least one project of similar nature, in transmission and distribution or revenue meter
installation or advanced electricity metering, communication technologies, and commercial
management systems. Experience in managing international supply and installation
contracts for IFI-funded power sector projects. Good oral and written communication skills in
the English language. High sense of team work, organization and responsibility. Strong
project management skills and experience in similar project coordination. Experience of
working in Asian, or other developing countries. The Deputy Team Leader be stationed at
Local Office at least for the duration of contract or more as required by the project.

c. Smart Metering Specialist (2 International, 30 Man- months Intermittent)


The Specialists should be a professional electrical or electronic engineer with international
experience of not less than 10 years in engineering and developing information technology
relevant to electricity utility metering and billing. The job requires understanding in
specifications for hardware/software systems for AMI systems, including meter data
management system for interval metering and automated billing and receiving systems. Up-
to date knowledge of commercially available AMI technologies and electricity tariff
structure(s) is also required.
The project related experience would be at least in two or more projects implemented in the
energy sector. Also, other relevant education/experience is recommendable. He/ She
should have previous experience in one or more projects in Central and West Asia or other
developing countries will be considered. He/ She should be fluent in English.

d. AMI Systems Specialist (1 International, 15 Man- months Intermittent)


The specialists should be an Engineer (Advanced electricity metering specialist). He / She
possess at least ten (10) years of direct international experience in commercial
management of public services utilities (electricity, water and sanitation, piped gas) in
developing countries, including direct participation in the design, implementation and
operation of a HES, MDMS, Billing and Database systems. He or She has knowledge in
specifications for hardware/ software systems for HES, MDMS, Billing and Database
systems.
The project related experience would be at least in two or more projects implemented in the
energy sector. Also, other relevant education/experience is recommendable. He/ She

should have previous experience in one or more projects in Central and West Asia or other
developing countries will be considered. He/ She should be fluent in English.

e. Telecommunication Specialist (1 International, 8 Man- months Intermittent)


The Specialist should have a postgraduate or higher degree in electronics/ electrical/
telecom and at least 10 years of relevant international experience in installation of
communication devices of similar nature especially in the field of Power Line Carrier, RF
and microwave links. He or She should be fluent in English.

f. Telecommunication Specialist (1 national, 15 Man- months Intermittent)


The Specialist should have a postgraduate or higher degree in electronics/ electrical/
telecom and at least 15 years of relevant national experience in installation of
communication devices of similar nature especially in the field of Power Line Carrier, RF
and microwave links. He or She should be fluent in English.

g. Public Relations Specialist (1 National, 08 Man-months Intermittent)

The Specialist will have a university or higher degree in communication or equivalent, and
at least 3 years of relevant experience in as a public relations expert for public sector utilities

k. Meter Data Management (MDM) Specialist (1 International, 10 Man-months

implementations of the project. For this purpose
consultant will setup mechanism to check under what
