MHI will offer all shareholders of the Corporation rights to subscribe to common shares of stock
to be issued from the Corporations unissued capital stocks subject to the registration or
exemption requirements, whichever may be applicable, of the Securities and Exchange
Commission.

thrusts to develop more integrated communities in the burgeoning market outside of the
countrys capital proved to be successful and had strengthened its position in this particular
housing segment.

Growth rate of population- The Group estimates the useful lives of property, plant and
equipment based on the period over which the assets are expected to be available for use. The
estimated useful lives of property, plant and equipment are reviewed periodically and are
updated if expectations differ from previous estimates based on factors that include asset
utilization, internal technical evaluation, technological changes, environmental and anticipated
use of the assets tempered by related industry benchmark information. It is possible, however,
that future results of operations could be materially affected by changes in estimates brought
about by changes in factors .

resources. To help them, ARC has put in place schemes like a delivery tricycle loan package
(called Ariskels) as well as special dealer assistance that encourages them to possess a secure and
sufficient space instead of investing heavily on large warehouses, computing systems or
uniforms. To sweeten the deal further, partners are also given volume discounts based on a
bracket system. RC also assigns a company employee to partner with the dealers to help further
develop their target market or sell additional and/or new products.To further promote partnership
and camaraderie, ARC also visits dealers regularly to see how they are doing. This is usually
done unannounced, especially when the dealer is sick or celebrating a birthday. ARC makes it a
point to always bring a specially designed RC cake with greeting card to make the visit truly
memorable, just like what a true kapamilya would do for a loved one.
