DEED OF ABSOLUTE SALE OF MOTOR VEHICLE

WITH FRANCHISE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF SALE OF MOTOR VEHICLE WITH FRANCHISE, made and executed by
IRENE HOFEMANN, of legal age, Filipino citizen, and resident of Camp 3, Tuba, Benguet,
hereinafter called the VENDOR, in favor of EDUARDO E. SADAGA, JR.,, of legal age, Filipino
citizen, likewise a resident of Dungon, Sison, Pangasinan, and hereinafter referred to as the VENDEE.

WITNESSETH:

That the VENDOR brought from CARLITO BASTIAN, a copy of their Deed of Sale is hereto
attached and make part of this deed. Said motor vehicle that is more particularly described as follows:

With franchise bearing number CAR-05625 duly issued by the Land Transportation Franchising and
Regulatory Board, Regional Office, Baguio City to operate an UV Express Service for the
transportation of passengers and freight on the line: BAGUIO CITY ROSARIO, LA UNION AND
VICE VERSA;

That for and in consideration of the sum of ONE HUNDRED FIFTY THOUSAND PESOS
(Php150, 000.00), Philippine Currency, paid in hand by the VENDEE unto the VENDOR and the
receipt of which is hereby acknowledge by the latter to their entire satisfaction, the VENDOR by these
present, hereby SELL, TRANSFER AND CONVEY, absolutely and unconditionally, unto the
VENDEE or any of the latters heirs and assigns, the above described motor vehicle including
Franchise free from any lien and encumbrance;

IN WITNESS WHEREOF, the parties have hereunto signed this DEED OF ABSOLUTE
SALE OF MOTOR VEHICLE WITH FRANCHISE, today, September 9th , 2015 , in the City of
Baguio, Philippines.
