ARTICLE 7 : USE AND PROTECTION OF CONFIDENTIAL INFORMATION

7.01 General. Both during the Term and at all times thereafter, each Party shall keep in confidence
and not use or disclose any Confidential Information of the other Party except as required or
permitted under this Agreement. To this end, each Party shall only disclose such Confidential
Information only to those employees who require such information to ensure the due and proper
performance of such Partys obligations under this Agreement and only where such employees
have agreed to treat such Confidential Information in accordance with the terms of this
Agreement. No such Confidential Information shall be copied, in whole or in part, except when
necessary or permitted under this Agreement, and each such copy, including its storage media,
will be marked by the Party making the copy with appropriate confidential and proprietary notices
thereon. The provisions of this Section shall survive the termination or expiry of this Agreement
