DEED OF ASSIGNMENT

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Assignment, made and entered this 15th day of

November 2016, in Manila, Philippines, by and between:

SUPERSTEEL HARDWARE, a single proprietorship

registered under the name of JUAN DELA CRUZ, Jr. with
business address at 1111 Dapitan Street, Sampaloc, Manila,
hereinafter referred to as the ASSIGNOR,

-and-

TDT POWERSTEEL CORPORATION, a corporation duly

registered under existing laws of the Philippines, with
business address at 2222 Novaliches St., Makati City,
represented by its Corporate Secretary Ms. Angela Reyes
hereinafter referred to as the ASSIGNEE.

(Hereinafter collectively referred to as Parties.)

WITNESSETH:

WHEREAS, the ASSIGNOR is the owner and sole proprietor of

POWERSTEEL HARDWARE;

WHEREAS, the ASSIGNOR is willing to assign, and the ASSIGNEE

is willing to accept, all the assets and other properties of ASSIGNOR
including, but not limited to, all real and personal properties, contractual
rights, licenses, privileges, property rights, claims, bank deposits, stocks,
account receivables, credit lines, supplies, equipment, and such other
assets of ASSIGNOR;

NOW, THEREFORE, in exchange for 7,985 common shares of stock

with par value of PhP100.00 per share in the ASSIGNEE corporation, the
ASSIGNOR does hereby assign, cede, transfer and convey in a manner that
is absolute and irrevocable the said rights and obligations, assets and
properties unto the ASSIGNEE.

Any and all expenses incidental to the conveyance and registration

of the transfer from the name of the ASSIGNOR to the name of the
ASSIGNEE, such as documentary stamp tax, transfer fees, registration
expenses and the like, and capital gains tax, if any, shall be for the sole and
exclusive account of the ASSIGNEE.
