CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF LEASE made and executed by and between:

HEXAGON STEEL INDUSTRIES, INC., (formerly


HEXAGON STEEL CORPORATION), a corporation duly
registered and existing under and by virtue of the laws of the
Philippines, with principal office at SGS Foundation Bldg., No.
1335 G. Araneta Avenue, Quezon City, represented in this act
by its Corporate Secretary, Mr. Edward Joseph M. Vitug, and
hereinafter called the LESSOR;

- and -

DIGITEL MOBILE PHILS., INC., a corporation duly


registered and existing under and by virtue of the laws of the
Philippines, with principal business address at the Ground
Floor, Universal Tower Building, 1487 Quezon Avenue, West
Triangle, Quezon City, represented by its Property and
Facilities Management Head, Martin T. Rio, hereinafter called
the LESSEE.

WITNESSETH: - That

WHEREAS, the LESSOR is the absolute and registered owner of a certain


parcel of land together with all the improvements found thereon, covered by
Transfer Certificate of Title No. 235140 with total area of One Thousand Two
Hundred Sixty (1,260) square meters, located at No. 1335 G. Araneta Avenue,
Quezon City.

WHEREAS, the LESSOR hereby leases unto the LESSEE and the LESSEE
hereby accepts from the LESSOR a portion of the rooftop of the above-described
property, hereinafter referred to as the “LEASED PREMISES” for brevity.

NOW, THEREFORE, for and in consideration of the foregoing premises


and the mutual covenants and obligations hereinafter contained, the LESSOR by
these presents does hereby lease unto the LESSEE the Leased Premises and the
LESSEE hereby accepts the same by way of lease subject to the following terms
and conditions:

1. TERM – This lease shall be for a period of two (2) years commencing on
May 1, 2016 and ending on April 30, 2018, renewable two (2) years upon mutual
agreement by both parties, provided the LESSEE gives thirty (30) calendar days’
notice to the LESSOR of its intention to renew the lease of the subject premises.

2. RENTAL – The LESSEE shall pay the LESSOR for the use and occupancy
of the Leased Premises a monthly rental of FORTY SEVEN THOUSAND NINE
HUNDRED FIVE PESOS AND 11/100 (Php47,905.11) Philippine Currency,
inclusive of 12% Value Added Tax, payable in advance within the First Five (5)

calendar days of each month, at the office of the LESSOR or such other place that
the LESSOR may otherwise designate.

3. PURPOSE – The Leased Premises shall be used for communications tower


purposes only and for no other purpose without the written consent of the
LESSOR. The Leased Premises may not be subleased without the written
consent of the LESSOR.

4. IMPROVEMENTS – The LESSEE may make improvement(s) on the


Leased Premises. However, any improvement made and introduced by the
LESSEE shall, upon the termination of this Contract, automatically inure to the
benefit of the Leased Premises and becomes sole property of the LESSOR
without any obligation on the latter's part to pay or reimburse or refund its value
or cost to the LESSEE. The LESSEE may remove any improvement introduced
with the consent of the LESSOR provided such removal will not cause any
damage to the Leased Premises. Furthermore, if LESSOR consents and if the
removal of such improvement should cause damage or defacement to the
property or structure, the LESSEE shall fully compensate the LESSOR for such
damage. LESSEE shall restore the affected portion(s) of the Leased Premises to
their original undamaged and un-defaced condition at LESSEE's sole expense
upon termination of this Contract.

5. FACILITIES AND UTILITIES - The LESSEE shall pay or cause to be


paid, prior delinquency, all necessary and applicable charges of electricity and
other service or utilities, rendered or supplied in connection with the LESSEE'S
possession, use and maintenance of the leased premises.

6. PROHIBITIONS - The LESSEE is subject to the following prohibitions


and restrictions and any violation thereof entitles the LESSOR to rescind this
lease:

a. The LESSEE agrees that it will not do or permit to be done in or


about the leased premises anything, or any act which is illegal or unlawful, or
which will be dangerous to life, limb or property.

b. The LESSEE shall not bring into or store in the Leased Premises
anything highly inflammable or explosive in nature or any apparatus, machinery
or equipment which may cause obnoxious odors, tremors or noises, or which
may expose the leased premises to fire or increase the fire hazard of the building
or insurance rate or any other article which the LESSOR may reasonably
prohibit. It is understood that should the LESSEE do so, not only shall the
LESSEE be responsible for all damages which the said violation may cause to the
LESSOR and/or its tenants, but the LESSOR shall in addition thereto, have the
right to cancel this contract and immediately charge to the LESSEE for any
corresponding increase in the rate of the insurance premiums payable by the
LESSOR on the entire building due to the violation committed by the LESSEE.

7. SUBLEASE AND TRANSFER OF RIGHT - The LESSEE shall not


directly or indirectly assign, sublease, sell, transfer, convey, mortgage, or in any
manner dispose of or encumber its right under this contract in whole or in part
or any interest thereto be conferred to anyone; and the LESSEE shall not enter
directly or indirectly into any contract or agreement with any third persons,
association or corporations in joint venture, partnership or corporation, business
of any kind whatsoever whereby said third party will be allowed to occupy and
transact business in the premises under any capacity or guise whatsoever, and

that any such contract or agreement made in violation of this paragraph shall be
void on the part of the LESSOR and shall be a cause for termination of this
Contract. And the LESSEE hereby declares and acknowledges that it possesses
no goodwill, patronage or incentive rights over the premises, and that such
rights exclusively belong to the LESSOR and are inherent in the premises, and
such LESSEE has no right to sell, transfer, assign, encumber, or mortgage such
goodwill to another person.

8. RIGHT OF ENTRY - The LESSEE agrees to allow the LESSOR or its duly
representative to enter and inspect the premises at any reasonable time of the
day. In addition, the LESSOR or its representatives shall have the right to enter
the premises at all times in order to examine it, to show it to prospective tenants
or lessees, or to make such repairs, alteration, improvements or additions as the
LESSOR may deem necessary or desirable. The LESSOR shall be allowed to
take all materials into and upon the premises that may be required therefore.
During the sixty (60) days prior to the expiration of the term of this lease or any
renewal term thereof, if no notice by the LESSEE to the LESSOR of its intention
to renew the lease, the LESSOR may advertise that the premises is available for
lease. The LESSOR'S right of entry shall not be deemed to impose upon the
LESSOR any obligations, responsibility or liability for the care, supervision,
repair of the premises other than herein otherwise provided.

9. ABANDONMENT OF THE LEASED PREMISES - If the LESSEE shall


abandon, or vacate the premises, or if it remains unoccupied for a continuous
period of fifteen (15) days at any time during the term of this lease, without the
LESSOR’S prior written consent, the LESSOR may lease out the premises to
other persons or entities;

10. SEPARABILITY CLAUSE - Should any provision of this Contract be held


invalid by any competent court, the same shall apply only to the provisions
involved and the remainder hereof remains valid and enforceable.
