TENANCY AGREEMENT

THIS TENANCY AGREEMENT is made this day of 20


Between WORLDWIDE CLASSICAL FURNITUBE SDN BIID {Company No.969 110-X)
a private limited cornpany incorporaled in Malaysia under the Companies Act 1965 and having
its place of business at Lot 446, Section 67, Jalan Bukit Bintang, 55100 Kuala Lumpur, Kuala
Lumpur (hereinafter referred to as "the Main-Tenant') of the one part And ADNAN TEXTILE
SDN BI{D (Company No. 1191332-P} ofNo.LotM6, Section 67, Jalan Bukit Bintang, 55i00
Kuala Lumpur, Kuala Lumpur (hereina&er referred to as 'othe Sub-Tenant(sf) of the other part.

WHEREAS:

I The Main-Tenant is the beneficial owner of a Shophouse bearing postal address as Lot
446, Section 67, Jalar Bukit Bintang, 55100 Kuala f,rrrnprr; Kuala Lumpur
(hereinafter referred to as "the said Building")

II The Main-Tenant is desirous of letting and the Sub-Tenant of taking on let of a small
parcel measuring 1600 square feet in area together with a store measuring 10 feet by 10
feet on the third floor of the said Building (hereinafter referred to as "the said Demised
Premises') for a term of Two (2) years commencing from the 01s day of November 2016
and expiring on the:ift day of October 2018 with an option to renew as stated in Clause
12 and subject to the terms and conditions hereinafter contained.

IT IS IIEREBYAGREEI) TO between the parties as follows: -

1. The Main-Tenant lets a1d the Sub-Tenant takes on let the said Demised Premises for a
term of Two (2) years commencing from the 01*t day of November 2016 and expiring on
the 31tr day of October 2SlB at a monthly rental of Ringgit Malaysia Nine Thousand
(RM9r000-00) (not inclusive of Goods and Seruices Tax) only which rental is payable
in advance on or before the ?e d*y of each calendar month thereafter at the Main-
Tenant's address. The Sub-Tenant shall be liable to pay for the Goods and Sen ices Tax.

The Sub-Tenant(s) shall pay a fufiher deposit Ringgit Malaysia Nine Thousand
{RM9r00&00) only being deposit for water (hereina.fter referred to as "the Utilit"v
Deposit"); AND a sum of Ringgit Malaysia Eighteen Thousand (R}VI18$0G{X)) only
to the Main-Tenant being two (2) mcnths Rental upon the srecution of this Agreement
(hereinafter referred to as "the Rental Deposit").

3. The R.ental Deposit and the Utility Deposit shall be collectively referred to as "the Total
Deposit") and the same shall be maintained ar the sum referred to in Clause (1) and
Clause 2 above during the term hereb-v created and shall not without the previous consent
of the main-Tenant(s) be deemed to be or treated as payment of rent and/or electrici4, or

consent is given by the Main-Tenant(s) subject to such conditions as the Main-
Tenant(s) may deem fit to impose AND the approval of the appropriate
au&ority(ies) had been obtained, all costs arising from the said alterations,
extension and or renovation shall be solely bome by the Sub-Tenant(s);

(i) upon the termination or expiry of the tenancy hereby created peacefirlly and
quietly to deliver up to the Main-Tenant(s) vacant possession of the Demised
Premises to its original state in such good and tenantable repair and conditions as
aforesaid;

fi) To make good any damage caused to any part of the said Demise Premises aJ the
determination of this tenancy at his own cost before redelivery of the said
Demised Premises to the Main-Tenant(s).

(k) Not to do or permit cause or suffer to be done anything which shall or may
infringe any of the bye-laws, n:les or regulations made by the Govemment, Local
Council, or any other competent authorit-v in respect of or affecting the said
Demised Premises but to observe such law, bye-law, rules and regulation and to
indemni{, the Main-Tenant{s) against all claims actions penalties and demands in

(l) To permit the Main-Tenant(s) an#or any intending tenant an#or others with
authority from the Main-Tenant(s) to enter and view the premises after receiving
reasonable notice from the Main-Tenant(s) for the period of Seven (7) da,vs

renewed Tenancy.

(m) To keep both the interior and exterior of the said Demised Premises clean at all
tirnes;

(n) The Sub-Tenant(s) shall apply for and obtain before the commencement of the
Sub-Tenant(s)' Business all licences required or are necessary for the business of
the Sub-Tenant(s) and shall x all times comply with and adhere to the condition
of such permits and licences and shall observe and camply with all laws, bye-
law-s, rules and regulations goveming or affecting the business of the Sub-
Teriant(s).

(o) The Sub-Tenant(s) shall obtain all approval permits, licences and consents which
may be necessary for the use of the said Demised premises in connection with
such the Sub-Tenant's trade and business.

thereof explosive, highly inflammable or toxic substances or any material that

Main-Tenant(s) shatl thereupon refund to the Sub-Tenant free of interest the Total
Deposit.

(c) (i) In the event whereby fire through no fallt or negligence of the Sub-
Tenant(s) at all has caused damage to the said Demised Premises or any
part thereof, there shall be no obligation on the part of the Main-Tenant to
rebuild or repair the said Demised premises or any part thereof

(ii) The rental payable to the Main-Tenant(s) shall in such event aforesaid be
reduced in proportion to the damaged caused by fire on the said Demised
Premises, subject to the provision in Clause 7 (c) (iii):

(iii) In the event Claus e 7 (c) (i) occurs and the Main-Tenant has not
comrnenced the necessary repairs within One (1) month, then &e Sub-
Tenant(s) can elect to terminate this Agreement without penalty by giving
Fourteen (i4) days notice in writing to the Main-Tenant(s) whereupon the
Total deposit free interest shall be refunded to the sub,Tenant

8. The parties frrther agree that in the event thal the Govemment acquired any part of the
said Premiseslland for whatscever purpose" the Sub-Tenant shail have an'option to
terminate this Tenancy and Main-Tenant shall not be liable to pay damages to the Sub-
Tenant but from the relevant authority.

9. Knowledge or acquiescence by either part-y or any breach by the other party of any
conditions or covenants herein contained shall not operate as or be deemedlo be rvarver
of such conditions or covenants on any of them and notwithstanding such knowledge or
acquiescence the aggrieved parly shall be entitled to exercise its rights under
this
Agreement and to require strict performance by the defaulting parrl, of the terms
conditions and stipulations herein contained unless such w-aiver stratf trave been reduced
to writing and specifically agreed to by both &e parties to this Agreement but such waiver
shall not affect or impair any power, privilege or remedy of the aggrieved parfy in respect
ofother or subsequent breaches.

10. The cost of and incidental to the preparing of this Agreement and the stamp duty thereof
shall be bome and paid by the Sub-Tenant.

unlarvful or unenforceable in any respect under any applicable law, the validity, legality
and enforceability of the remaining provisions containid herein shall not in any **v U"
affected or impaired.

12. On the written request of the Sub-Tenant(s) made Two (2) Calendar months before the

and conditions of this Agreement, the Landlord(s) may at the expenses of the Sub-
Tenant(s) grant to them a further tenancy for a further Two (2) Term of f*,g (2) years

13. Any notice required to be served hereunder shall be sufficiently served on the Sub-Tenant
ifsent by prepaid registered post addressed to them and shall be sufficiently served on the
Landlord if sent by prepaid registered post addressed to them at their address stated
herein or at his last known address in Malaysia. Any notice shall be deemed to have been
received by the addressee on the day on which it ought in due course of post to have been
delivered.

15. Time whenever mentioned shall be of the essence ofthis Agreement.

16. Words importing the masculine gender shall include the feminine and neuter gender
words importing the singular shall include the plural and vice versa

17. This Agreement shall be binding upon the parties hereto, their successors-in-
permitted assigns and personal representatives respectively.
