GUEST  AGREEMENT  
 
This  agreement  is  made  effective  as  of  the  date  of  August  10,  2015  between  AVC  
CONVENTIONS  LLC  ;͚WƌŽŵŽƚĞƌ͛ͿĂŶĚALYSON  LEIGH  ROSENFELD  ;͚'ƵĞƐƚ͛Ϳ͘dŚĞĨŽůůŽǁŝŶŐƚĞƌŵƐ
and  conditions  have  been  agreed  upon:    
 
As  it  is  agreed  that  it  would  be  harmful  to  Promoter  for  Guest  to  appear  at  a  competing  
celebrity  event  too  near  this  venue,  Guest  agrees  not  to  appear  at  any  other  celebrity  event  
within  30  days  in  either  direction  of  event  dates,  within  a  250  mile  radius  of  event.  
 
1.  SERVICES  RENDERED  
 
Guest  agrees  to  appear  for  the  Promoter  at  JXN  CON,  DECEMBER  12TH,  2015,  in  JACKSON,  MS.  
Guest  will  perform  the  following  services:  meeting  fans,  signing  autographs  for  attendees,  
photo  opportunities,  and  panel/workshop  participation  as  scheduled.  Guest  will  provide  his/her  
own  photos  and/or  merchandise  to  sign.  Promoter  will  provide  one  (1)  table  and  two  (2)  chairs  
for  Guest  to  sign  for  attendees  and  display  photos/merchandise.  Promoter  also  agrees  to  
provide  Guest  with  a  responsible,  reliable  handler  available  during  show  hours,  if  needed.  
 
2.  TERMS  OF  PAYMENT  
 
Guest  agrees  to  appear  during  the  show  and  attend  outlined  events  (see  SERVICES  RENDERED).  
Guest  will  determine  his/her  own  price  points  for  autographs/merchandise.  Guest  retains  all  
monies  earned  from  selling  autographs/merchandise  throughout  the  duration  of  the  event.  A  
Guarantee  of  $500  USD  has  been  made  for  this  event.  If  the  Guest  does  not  receive  $500  USD  
by  7:00  PM  on  Saturday  December  12,  2015,  the  Promoter  agrees  to  pay  the  difference.  PER  
DIEM  of  $50  PER  DAY,  including  travel  days,  will  be  included.    
 
3.  TRANSPORTATION/LODGING  
 
Promoter  agrees  to  provide  Guest  with  a  ROUND  TRIP  ECONOMY  TICKET  from  NEW  YORK,  NY  
to  JACKSON,  MS.  Ground  transportation  in  JACKSON,  MS,  including  to/from  the  airport,  will  be  
provided  by  the  Promoter.  Any  additional  transportation  costs  are  the  responsibility  of  the  
Guest.  Promoter  agrees  to  provide  Guest  with  a  hotel  room  for  the  event,  not  to  exceed  two  (2)  
nights.  Any  additional  days  are  the  responsibility  of  the  Guest.

4.  PROMOTION  
 
The  Guest  hereby  grants  to  the  Promoter  the  limited,  non-­‐exclusive  rights  to  use  the  Guest͛Ɛ
name  and  likeness  in  the  promotion  of  the  Event.  The  Promoter  acknowledges  and  agrees  that  
Promoter  will  not  use  Guest͛ƐŶĂŵĞ͕ǀŽŝĐĞ͕ƉŚŽƚŽŐƌĂƉŚ͕ůŝŬĞŶĞƐƐĂŶĚͬŽƌďŝŽŐƌĂƉŚLJor  edit  the  
footage,  photographs,  film  and/or  tapes  in  which  Guest  appears  in  any  manner  which  would  
defame  or  be  derogatory  or  misrepresent  Guest.  In  addition,  Promoter  shall  not  have  the  right  
to  sell,  use  and/or  exploit  any  photographs,  film,  film  clips,  tapes,  pictures,  autographs,  
interviews  and/or  any  other  services  rendered  by  Guest  in  connection  herewith  separate  and  
apart  from  the  Event.    This  right  shall  be  limited  to  advertisement  of  the  Event  for  single  
occurrence  of  the  Event  covered  by  this  agreement  and  such  right  shall  terminate  thereafter.  
The  Guest  also  agrees  to  participate  in  a  limited  amount  of  mutually  agreed  upon  press  before  
and  during  the  event,  if  applicable.  
 
5.  CANCELLATION  
 
In  the  event  that  Guest  has  to  cancel  based  on  personal  or  professional  reasons,  Guest  agrees  
to  notify  promoter  as  soon  as  possible  so  that  a  replacement  can  be  found.  Guest  will  be  
notified  immediately  if  event  is  cancelled  for  any  reason.  No  penalties  are  involved  should  the  
event  be  cancelled.  Should  the  Event  be  cancelled  by  an  Act  of  God,  the  parties  will  attempt  to  
reschedule  the  Event  at  a  mutually  convenient  date,  and  if  not,  any  advance  payment  shall  be  
returned  to  the  Promoter.    
 
6.  SECURITY  
 
Guest  is  responsible  for  securing  valuables  and  monies  before,  during,  and  after  the  event.  AVC  
CONVENTIONS  LLC  is  not  responsible  for  lost  or  stolen  merchandise.  
 
7.  LEGAL  CONSTRUCTION  
 
In  the  event  that  any  one  or  more  of  the  provisions  contained  in  the  Agreement  shall  for  any  
reason  be  held  invalid,  illegal,  or  unenforceable  in  any  respect,  the  invalidity,  illegality,  or  
unenforceability  shall  not  affect  any  other  provision.  This  Agreement  shall  be  construed  as  if  
the  invalid,  illegal,  or  unenforceable  provision  had  never  been  contained  in  it.    
 
8.  FORCE  MAJEURE

within  the  reasonable  control  of  the  Party  affected,  but  only  if  and  to  the  extent  (i)  such  
circumstance,  despite  the  exercise  of  reasonable  diligence  and  the  observance  of  Good  Utility  
Practice,  cannot  be,  or  be  caused  to  be,  prevented,  avoided  or  removed  by  such  Party,  and  (ii)  
such  circumstance  materially  and  adversely  affects  the  ability  of  the  Party  to  perform  its  
obligations  under  this  Agreement,  and  such  Party  has  taken  all  reasonable  precautions,  due  
care,  and  reasonable  alternative  measures  in  order  to  avoid  the  effect  of  such  event  on  the

inability  to  perform,  accident,  failure  or  delay  of  means  of  transportation,  Acts  of  God,  riots,  
strikes,  labor  difficulties,  epidemics,  any  act  of  public  authority  or  any  other  cause  similar  or  
ĚŝƐƐŝŵŝůĂƌ͕ďĞLJŽŶĚ'ƵĞƐƚ͛ƐĐŽŶƚƌŽů͘ŝƚŚĞƌƉĂƌƚLJƐŚĂůůďĞĞdžĐƵƐĞĚĨƌŽŵƉĞƌĨŽƌŵĂŶĐĞĂŶĚƐŚĂůů
not  be  in  default  in  respect  of  any  obligation  hereunder  to  the  extent  that  the  failure  to  
perform  such  obligation  is  due  to  a  Natural  Force  Majeure  Event.    
 
9.  AMENDMENTS  
 
This  Agreement  may  be  amended  by  either  Guest  or  Promoter  at  anytime  but  only  by  written,  
mutual  agreement.    
 
10.  GOVERNING  LAW  
 
This  Agreement  will  be  governed  by  the  laws  of  the  State  of  Mississippi.  Any  arguments  arising  
from  the  Agreement  will  be  settled  by  arbitration.  If  any  action  at  law  or  in  equity  is  brought  to  
enforce  or  interpret  the  provisions  of  this  Agreement,  the  prevailing  party  will  be  entitled  to  
ƌĞĂƐŽŶĂďůĞĂƚƚŽƌŶĞLJ͛ƐĨĞĞƐŝŶĂddition  to  any  other  relief  to  which  that  party  might  be  entitled.  
 
11.  CONFIDENTIALITY  
 
Both  the  Promoter  and  Guest  agree  to  remain  silent  regarding  the  whole  contractual  
arrangement,  in  particular  about  payment  and  any  other  provisions  included  in  said  Agreement.  
 
The  parties  undersigned  acknowledge  that  they  have  read  the  above  terms  and  conditions  and  
agree  that  they  will  be  adhered  to  in  detail.
