Re: XTO Energy Inc.
Fort Worth Office

Dear Texas Workforce Commission,

XTO Energy Inc. plans to relocate its business activities and implement a planned closure of its
Fort Worth Office located in downtown Fort Worth at mailing address 810 Houston Street. The
Company will begin to migrate its Fort Worth Office business activities to other Company
locations, primarily Houston, Texas beginning on June 1, 2018 and concluding on July l, 2018.
As such, work relocations and related employment separations will occur beginning June 1, 2018,
with the majority of the employment separations occurring effective July 1, 2018.

There are approximately 950 MPT (Management, Professional, or Technical) employees located
at the offices impacted by this move. All satisfactorily-performing MPT employees may continue
employment with the Company by relocating to other Company locations. Relocation benefits will
be provided by the Company to assist in this effort. We anticipate that while some will relocate,
others will elect to resign or retire.

There are approximately 250 Non-MPT (Management, Professional, or Technical) employees

based at the ofiices impacted by the move. Non-MPT employees that are not offered local
positions or that do not accept offers to self-relocate outside of the local area will be offered a
Special Program of Severance Allowances to assist with their separation and transition.

A list of the job positions and number of individuals who will be affected by the layoffs along with
the anticipated schedule for job losses is maintained on site and is readily accessible if requested.

Please note that layoffs as a result of the Fort Worth Office closure are expected to be pennanent.
In addition, there is no Company policy which gives employees the right to take another
employee's job ("bumping") or be transferred as a matter of right to another facility. Furthermore,
all employees at the Fort Worth Office are non-union.

Tf you have any questions or want additional information concerning this matter, please contact
Erik VanDuivendyk, XTO Energy Inc. HR Operations Manager, at (817) 885-2812.
