EMPLOYMENT AGREEMENT

FOR RANK & FILE EMPLOYEES

Dear MS. SALONGA:

We are pleased to confirm your employment as CSR - TELLER at OFFICE OF NORTH METRO MANILA AREA III
effective May 16, 2016 under the following terms and conditions:

1. PROBATIONARY PERIOD: Your probationary employment shall be for a period of six (6) months beginning on the
effective date of your employment where you will complete the appropriate on-boarding orientation program.

2. COMPENSATION: You shall receive a monthly compensation of P13,300.00 which will be payable in two (2) equal
installments every 12th and 27th of the month.

3. FRINGE BENEFITS: During the Probationary Period, you are not entitled to any benefit that is or may hereafter be granted to
a regular employee, except those provided by law and those which the bank, as a matter of policy and upon its discretion, extends
to all employees regardless of employment status.

4. WORK DAYS: Regular working days are generally Monday to Friday, Saturday as non-working day and Sunday as rest day.
If you are assigned to a branch/unit with Saturday and/or Sunday banking, other days of the week will be designated as your non-
working day and rest day. If you are required to work on days which are considered as regular working days, any absence from
this branch/unit working days shall be considered as absence during regular working days. The bank reserves the right to change
your work schedule to meet business exigencies.

5. RULES AND REGULATIONS: You recognize that the bank is engaged in a business that is imbued with public interest and
thus highly-regulated; that honest and professional conduct is called for to ensure that the bank maintains its unblemished
reputation for integrity and good service quality. You, therefore, bind yourself to always act and behave according to high
standards of professionalism and diligence in the discharge of your duties.

It is incumbent upon you to adequately acquaint yourself on a continuing basis with applicable laws, and policies of the Bank
already existing and those that may be enforced in the future. You undertake to write the Bank within 5 days from the date of
effectivity of your employment should rules and regulation, policies, terms and conditions affecting your employment be not
made known to you in a manner that you will understand them.

You bind yourself to observe strict compliance with and observance of said rules, regulations and policies, and recognize the
bank’s prerogative to impose disciplinary action for violations or infractions thereof. In the event the bank incurs losses, either
actual or potential, by reason of your negligence, incompetence, misconduct or deviation from rules, penalties may include
forfeiture of benefits, salary deduction arising from monetary loss, and offsetting with fund contributions and/or other benefits,
whenever deemed proper and commensurate by the appropriate body or committee of the bank.

6. CONFIDENTIAL INFORMATION: You recognize the fiduciary nature of the relationship between the bank and its clients,
and will protect and ensure at all times the confidentiality of information regarding deposits, accounts, investments and/or any
information considered secret or confidential, save under the exceptions provided by law and with prior written clearance from the
bank. You further bind yourself to observe prudence at all times with respect to any and all information, transactions, records,
files, data (whether in hard copy or electronic form), database and such other properties, tangible or intangible, that would come
your knowledge, custody or control, and shall at all times preserve its confidential nature. You shall not discuss, divulge, or
disclose any message, note, document, report, account, or any pertinent information to anyone, without the prior written consent
of the bank. This undertaking shall extend even beyond severance of your employment with the bank.

7. EMPLOYEE’S ACCOUNTABILITY: You shall be responsible and accountable for all funds, monies or properties entrusted
to you or which otherwise may come into your possession by reason of your functions, and shall return any excess or restore any
shortage or deficiency upon determination and demand by the bank or any of its appropriate body or committee. All records,
documents, or properties of the bank or any of its clients which may come into your custody, use or safekeeping by virtue of your
functions shall be immediately and voluntarily surrendered to the bank upon demand at any time during your employment period
and/or upon your resignation, retirement or in the event of termination of employment.

For this purpose, you hereby expressly agree to the imposition by the Bank’s management of the appropriate sanctions of
restitution, forfeiture or withholding of wages, benefits and other properties belonging to you and within the possession or control
of the Bank. Further, you hereby authorize the Bank to deduct from your wages, benefits and other properties in the Bank’s
possession or control so much thereof as may be necessary to pay for shortage, deficiency or damages sustained by the Bank as a
consequence of your act or omission. Forfeiture and/or withholding of these wages, benefits and properties are likewise expressly
authorized as may be deemed necessary to pay for whatever loss or damages sustained and/or claimed by its client as a result of
the aforesaid act or omission.

8. TRANSFER AND RE-ASSIGNMENT: Management reserves its right to transfer and re-assign you from time to time in
order to quickly respond to business expediency, operational requirements, or pursuant to policies on control, check and balance.

9. CONFLICT OF INTEREST: You shall avoid any situation or engagement which may lead to conflict of interest and shall
refrain from engaging in any other business, transaction or activity which will be prejudicial to the interest of the bank or which
may compete with the bank for time, resources, revenue and attention, whether within or outside the bank’s office hours. You
may not accept any other employment, position, appointment or engagement during the period of your employment without prior
written approval from management.

10. MEDICAL TESTS: You shall agree to undergo medical and psychological tests, including drug test, in such frequency and
under such other terms and conditions as may be determined by the bank and hereby further authorize the bank to obtain and use
the results thereof for whatever purposes it may deem relevant and necessary.

11. BACKGROUND INVESTIGATION: You recognize the bank’s right to conduct a background check and obtain
information from persons or documents which in its best judgment are sound and reliable sources of information. You hereby
waive your right to the confidentiality of the information that will be obtained as a result of the said background check and
inquiries since the disclosure of said information is necessary for the ascertainment of your qualification or non-qualification for
the position.

You recognize that the entire process of checking your background may not be fully completed at the time you were hired and/or
have commenced employment, and you expressly acknowledge that the Bank may terminate your employment even after you
have been hired or have commenced employment if it later on receives information, material or otherwise, as part of its
background check on you that may have affected its decision to hire you if the said information was known to the Bank at the time
of your hiring.

12. TRAINING: You shall undergo the training requisites in preparation for the effective discharge of your job. Your passing the
training is one of the conditions for your appointment as a regular employee. Failure to pass the training is a ground for
termination of your employment. You also agree to undergo and pass all training requirements as a condition to your continued
employment in the event that the Bank later on decides for operational and business considerations that the same is necessary for
you to effectively continue your employment with the Bank.

13. CONDITIONS FOR HIRING: Your employment may be terminated should: (a) your performance fall short of the standards
set forth by the bank which were made known to you at the time of your engagement; this shall include but not limited to, passing
any and all examinations and evaluations; (b) you fail to submit any or all of the pre-employment requirements enumerated in the
checklist of the Pre-Employment Documents Submission Agreement; and/or (c) you fail to completely and/or faithfully disclose
information required by the Bank such as, but not limited to, past employment history, academic performance, previous criminal
and/or derogatory records, criminal and/or civil litigation in which you are an accused/defendant, or any medical condition that
renders you unfit for work.

14. TERMINATION OF EMPLOYMENT: Your employment with the bank may be terminated any time for just cause as
provided by laws, on grounds for disqualification under the Manual of Regulations for Banks of the Bangko Sentral ng Pilipinas,
for violation of any of the aforementioned conditions for hiring in Item number 13 and of this Agreement, and for violation of
company rules and regulations, without prejudice to any civil or criminal case when appropriate, subject however to the
observance by the bank of due process requirements.

15. RESIGNATION: Should you decide to resign at any time during your employment, you shall give the bank at least one (1)
month prior written notice, unless management allows a shorter notice.

16. UNDERTAKING: By signing this Agreement, you acknowledge that you fully understand this agreement and the effects of
any breach of its terms.

You bind yourself to hold the bank and/or its officers, directors, stockholders, or agents free and harmless of any liability arising
from any disciplinary matter and/or exercise of prerogatives as the employer, and further bind yourself liable for damages for any
breach of the above undertaking.
