1. All existing as well as future rules and regulations issued by the Employer
from time to time are hereby deemed incorporated with this Contract. The Employee
acknowledges that it is his/her duty to be aware of the Employer's rules and regulations
regarding his/her employment and to fully comply with them in good faith. The Employee
hereby agrees to be bound by all such rules and regulations, which the Employer may
issue from time to time.

2. Disciplinary Measures. Employee hereby recognizes the Employer's right to


impose disciplinary measures of sanctions, which may include, but are not limited to,
termination of employment, suspensions, fines, salary deductions, withdrawal of benefits,
loss of privileges, for any and all infractions, act or omission, irrespective of whether such
infraction, act or omission constitutes a ground for termination.

3. Medical/Drug Tests. Employee hereby consents and agrees to, upon


request of the Corporation, undergo medical/drug tests at the expense of the Employee.
This is to be carried out for the purpose of determining the Employee's physical and
mental fitness to perform the functions of his job.

4. Termination of Employment. Aside from the just and authorized causes for
the termination of employment under the Labor Code, the following acts and/or omissions
of the Employee shall, without limitation, shall be grounds for termination of employment
by the Employer:

a) Intentional or unintentional violation of the Employer's policies, rules and regulations as


embodied in the Code of Discipline;
b) Commission of an act which results in the loss of trust and confidence reposed on the
Employee;
c) Commission of any act or omission tending to cause any loss or damage to the
Company's properties or business reputation;
d) Failure of the Employee to pass two (2) consecutive evaluations of his/her work
performance and
e) Failure of the Employee to pass the Employer's standards for regularization; and
f) Other similar acts, omissions and/or event.

The Employee may terminate his contract of employment for any reason, provided he/she
gives the Employer at least thirty (30) days prior written notice.

5. Confidentiality. Employee acknowledges and recognizes that in the course


of his/her employment with the Employer, he/she will have access to and will acquire
knowledge of confidential and proprietary information of the Employer. This information
includes, without limitation: marketing and strategies, customer names, needs and other
information, client potential, products, machines and consumables and their specifications
and their manuals, and other types of information which would place the company at a
competitive disadvantage if used by the Employee for himself/herself and/or known by or
revealed to competitors, customers or any third party. In this regard, Employee hereby
undertakes: (1) to preserve and maintain in utmost confidence all confidential information
of Employer; (2) to use the confidential information only for the purpose of performing his
duties and responsibilities as an employee of Employer; (3) not to use the Confidential
Information for its own or for other's purposes and/or benefit; and (4) not to disclose in any
manner whatsoever, the Confidential Information without the prior written consent and
approval of Employer.

Violation of the foregoing confidentiality and non-disclosure clause shall subject the
employee to damages in an amount equivalent to her annual gross salary, whether or not
such amount is actually received.

6. Separability Clause. If any provision of this contract is declared void by the


applicable provisions of Philippine laws, the other provisions shall remain valid and
effective.
