04. Payment terms :
- 60% of the final invoice before the Vessel's departure from the Yard
- 40% of the final invoice within 30 days after the Vessel's departure from the Yard
05. Performance period: 9 running days, including approximately 7 days in the dock (providing a
good weather conditions and no substantial changes in the scope of work)
- first day of works is the first working day after the date of the Vessel’s delivery to the Yard
- performance: within normal working hours
- 1st, 2nd and 3rd May 2013 excluded
06. Drydock availability : from 11th week 2013
Drydock availability according to early decision and separate confirmation
07. Late redelivery penalties : - maximum 10000 USD per day (daily rate), limited up to 7% (maximum
Yard’s liability for late redelivery of the Vessel) of the final invoice

 General Conditions of the SSR GRYFIA JSC Offer:

01. Classification fees : Client's expenses

02. Final invoice : - final invoice shall be fully agreed and approved before the Vessel’s redelivery to the Client
03. Additional works : subject of separate Offer and Agreement
04. Yard's liability : - maximum Yard’s liability is limited according to the Yard’s insurance policy
- the Yard under any circumstances shall not be liable for any damages of operating losses, any losses
of time, any losses of hire or any other indirect losses (consequential damages)
05. Client's insurance : during the Vessel’s staying in the Yard, the Vessel must be insured by the Client
(on His own responsibility) against all damages which may occur on the Vessel (excluding
only damages being a result of Yard’s fault or/and negligence)
06. Client's obligement : Client shall inform the Yard in writing of any danger (risk, threat, hazard) which may
appear on the Vessel in connection to any works and activities to be performed by the Yard
07. Guarantee period : 90 days
08. Client's claims : in case of any guarantee based reasons, the Client shall complain in writing
the time terms of guarantee;
- all installments and all financial obligations towards the Yard will have to be paid by the Owner
irrespective of any Owner’s claims against the Yard or any other reasons
09. Fuel restrictions : - according to Polish Governmental Regulations the Vessel should arrive to the Yard
with a minimum amount of fuel whereat a total fuel amount should not exceed capacity of one service tank and
one bunker tank for each kind of fuel, however in general total fuel amount should not exceed capacity of
two service tanks and two bunker tanks at all
10. Law and judgement : - any amicably undetermined by the Client and the Yard disputes arising out of or
in connection with the interpretation and fulfillment of the Offer and/or the Contract, shall be referred to
arbitration in the polish civil court in Szczecin according to the polish law
11. Contract's base : - BIMCO Standard Ship Repair Contract (REPAIRCON)
- in case of any discrepancies between presented hereinto General Conditions of SSR GRYFIA SA
Offer and BIMCO Standard (REPAIRCON), the conditions hereinto presented are valid before (prior
than) the conditions of BIMCO Standard (REPAIRCON)
12. Other : Client is obliged, during His staying in the Yard’s territory, to strictly obey all rules
and regulations which are valid commonly on the polish state territory, maritime territory of
the Republic of Poland and particularly in the Yard, as well as to respect all official orders and
requests issued to the Client by the respective authorized Yard’s personnel
