OUR PROPOSAL

Subject: Proposal Morjana Night Club

1. Rent, we would like to propose AED 1.5 Million per annum.

The first 02 years will have the agreed rent, however after the lease is renewed for another 02 years
there will be a fixed 5% increase on the current rent
We would like to request 3 month leeway period on rent, to fit out the outlet to reopen.

2. The First 2 years will be a non breakable contract and renewable for another 2 years on mutually
agreed terms. Should the Owner decides to sell the place the first priority should be the current
management(BB) if the BB decides to not go further to purchase the place, owner then sell it to
third party however the management contract will complete its contract regardless any change of
the ownership
3. The alcohol percentage to be 15%, this is way over the Dubai average amount.
We want to succeed in this market place, for both parties to do well together and for us to be
competitive in the market place. Plus we will deal directly arrange deals MMI and A&E. they will
deliver through Hotel.
4. No percentage on top of the staff visa and entertainment licenses (plus how many visas? And will
there need to be a deposit per member of staff?
5. Key money: AED 800,000 would be paid in 2 cheques. First cheque of AED 400,000 would be
payable upfront at successful signing of the agreement and the second cheque of AED 400,000
would be payable after 6 months of the signing of the agreement.
6. We would also like to request restricted access from hotel employees as especially when we are
closed, unless without our knowledge etc.
7. If possible access to your maintenance staff, if there is a problem in the outlet?
8. We would like a full list of the equipment in the outlet, not including the broken items
9. The Percentage to be shared with owner would be 20% to the owner and 80% to us as a
management company from the net income.
OUR PROPOSAL
10. All the charges such as Utilities, Rent, Staff salaries, Staff Accommodation, Staff Transportation, Staff
Visas, Artist Costs, Alcohol Percentage, Marketing and all the other charges to be covered from the
gross revenue.
11. All the parties involved i.e. BB, Hotel and the Owners are not liable to break the lease in any case
whatsoever, during the first contract period. If any party breaks the contract before the first year
lease term, the discontinuing party needs to give a 03 months’ notice to the other parties and the
terms can then be mutually agreed upon.
12. The owner can NOT sell off the outlet as long as the outlet is under the current lease. However, if
the situation arises, it can be mutually agreed upon.
13.

This offer is subject to satisfactory of the terms and conditions agreed by both the parties.
Should the terms and conditions are not agreed by any of the parties then no one is liable to Pay any
amount of money to the other party.
