MEMORANDUM OF AGREEMENT

OVER PARCELS OF LAND

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT, made and executed by


and between:

HEIRS OF ROBERTO CAM, namely: PETER FRANCISCO


CAM, ROGELIO F. CAM, MARINA F. CAM, and BERNADITO C.
ZARATE, all of legal ages, Filipino citizen, and with residence and
postal address at Halapitan, San Fernando, Bukidnon, hereinafter
called the SELLERS;

-And-

RODYLEN AINAS VILLASISTA, likewise of legal age, Filipino


citizen, married to ANSON Z. CHENTAN and with residence and
postal address at Kapitan Juan, Malaybalay City, Bukidnon,
hereinafter called the BUYER;

- WITNESSETH –

That the SELLERS are the absolute owners of a parcel of land


situated at Halapitan, San Fernando, Bukidnon, and more particularly
described as follows, to wit:

That the SELLERS hereby AGREE to SELL, TRANSFER and


CONVEY the above-described parcel of land in favor to the BUYER
subject to the following terms and conditions:

1. That the total consideration of the sale of the subject land shall
be TWO MILLION EIGHT HUNDRED THOUSAND PESOS
(Php 2,800,000.00);

2. That the BUYER shall pay PhP 100,000.00 as down payment


upon the execution of this instrument to form part as payment
of consideration and earnest for the sale;

3. That the SELLERS shall execute a Deed of Absolute Sale in


favor to the BUYER and upon signing of the said Deed of
Absolute Sale, the BUYER shall pay PhP 1,350,000.00 to the
SELLER;

4. That upon signing of the Deed of Absolute Sale and payment


of PhP 1,350,000.00, the BUYER shall occupy the subject
property and can construct any building or structure thereon;

5. That the SELLERS shall take charge for the transfer of title
in favor to the BUYER as well as all the payment of transfer,
such as but not limited to Real Property Tax, Tax Clearance,
Notarial Fee and transfer taxes in the BIR and payables in the
Registry of Deeds;

6. That upon presentation and delivery of the new title in favor


to the BUYER, the BUYER shall pay the remaining balance of

the consideration in the amount of PhP 1,350,000.00 as full
payment;

7. That the seller hereby undertakes to give any amounts due to


the broker/s who facilitated this sale, if any;

8. That the SELLERS hereby warrant the peaceful possession


and occupation of the BUYER over the parcel of land, free from
all liens and encumbrances as well as the claim of any third
party.

NOW THEREFORE, for and in consideration of the foregoing, the


PARTIES bind themselves to fulfill their respective obligations in the
terms and conditions herein-above stipulated.
