OPEN INTERNATIONAL

DEVELOPMENT CONCEPT DESIGN
COMPETITION RULES
1. INTRODUCTION

1.1 The Open International Competition for Standard Housing and


Residential Development Concept Design (the “Competition”)
is held by the Organizers (as defined in clause 2 of these
Competition rules (the “Rules”)) assisted by the Operator (as defined
in clause 2 of the Rules).

1.2 The Competition is held to comply with the instructions of the


Chairman of the Government of the Russian Federation, Dmitry
Medvedev, pursuant to article 4 of the minutes No. ДМ-П9-55пр

dated 11 August 2017.

1.3 The purpose of the Competition is to create innovative, sustainable

housing that meets modern requirements for providing comfort and


security of the living environment completed with the use of advanced
construction technologies. The Participants (as defined below) have the
task of creating optimal planning solutions that will be easily adapted
to the urban context and climatic conditions, as well as to the changes
introduced during the project implementation phase.

1.4 During the Competition each Participant (as defined below) shall
develop residential houses projects (the “Concept Design”) in
accordance with the typology provided in the Brief for the selected
urban environment target model (low-rise residential, mid-rise
1 residential or central) (the “Target Model”).

1.5 The Competition is open for all Participants, who meet the
requirements specified in clause 4 hereof. As a result of the
Competition, the Finalists, Winners and Awardees (as defined below)

shall be chosen, and the Organizers and / or the Operator shall have
the right to enter into the Revised Design Agreement (as defined
below) with such Finalists, Winners and / or Awardees.

1.6 A time schedule of the Competition is specified in Schedule 1 hereto


and may be published on https://dom-competition.ru
(the “Website”).

2. ORGANIZERS AND OPERATOR

2.1 The organizers of the Competition (collectively, the “Organizers”)


are as follows:
2.1.1 the Government of the Russian Federation;

2.1.2 the Russian Federation Ministry of Construction Industry, Housing and


Utilities Sector (Minstroy of Russia); and

2.1.3 Unified Development Institution in the Housing Sector / DOM.RF – a non-


commercial organization organized by the Agency for Housing Mortgage
Lending.
2.2 KB Strelka Limited Liability Company, organized and existing under
the laws of the Russian Federation with its main state registration
number 1137746792974 and having its registered office at building 3,
6 Bersenevskaya embankment, Moscow, 119072 is the operator of the
Competition (the “Operator”).

2.3 The Operator shall provide all the functions required for the
Competition, including, but not limited to, the publication of the
Competition information, receiving of messages, information and
documents from the Participants, provision of the clarifications
regarding the Rules and the Competition to the Participants,

organization of the Jury meetings and do all other things required for
proper organization of the Competition.

3. COMPETITION DOCUMENTATION

3.1 The Competition documentation shall include the following


sections, each of which shall make its integral part (collectively, the
“Competition Documentation”):
›› the invitation;
›› the brief of the Competition (the “Brief”); and
›› the Rules.
2 The Operator shall publish the Competition Documentation on the Website.

4. REQUIREMENTS

4.1 To participate in the Competition, any legal entity or a sole proprietor


(the “Participant”) shall comply with the following requirements:
4.1.1 such a person is duly organized and existing in accordance with the laws of
the Russian Federation or any other country;

4.1.2 such a person has the necessary legal capacity;

4.1.3 no bankruptcy case is declared or pending, and no legal procedure is


declared or pending in connection with the insolvency or insufficiency of
assets, with respect to such a person; and

4.1.4 no reorganization or winding-up procedures are announced or pending in


respect of such a person in accordance with the applicable laws.

4.2 The capable individual is also entitled to be the Participant, providing


that such individual is registered as a sole proprietor prior to the
Second Stage of the Competition. For avoidance of doubt, the
individual is not obliged to be registered as a sole proprietor to
participate in the First Stage of the Competition.
4.3 To participate in the Competition, the person, who meets the
requirements specified in clause 4.1, or an individual specified
in clause 4.2, shall register on the Website until 6 pm (UTC+3) 25
December 2017 by selecting the Target Model and specifying the
requested information (the “Application”). Applications shall be
submitted in digital form on the Website.

4.4 The submitted Application shall mean the consent of the Participant
to participate in the Competition on the terms and conditions
specified in the Competition Documentation.

4.5 While submitting the Application, the Participant is able to file


a Competition proposal (the “Competition Proposal”) in accordance
with the requirements specified in the Brief, as may be published

on the Website.

4.6 For the purposes of the Second Stage of the Competition, all the
foreign legal entities and sole proprietors shall join the consortium
along with a Russian company having an architectural activity
experience. For avoidance of any doubt, the said persons shall
not join the consortium to participate in the First Stage of the
Competition.

5. COMPETITION

5.1 The Competition is held in two stages (the “First Stage” and the
“Second Stage”, respectively):

5.1.1 First Stage - within the First Stage of the Competition the Operator receives
the Applications and the Competition Proposal from the Participants, which
are evaluated by the Jury (as defined below), and then the Jury shall select
20 (twenty) finalists (the “Finalists”), who will be entitled to participate in the
Second Stage of the Competition; and

5.1.2 Second Stage - within the Second Stage of the Competition the Finalists
shall enter into the Revised Design Agreements, receive the Honorarium,
revise the Concept Designs in accordance with the recommendations of the
experts, the technical report is to be drafted by the Operator, and the Jury
shall select the winners of the Competition (the “Winners”) and the awardees,
who take the second and the third places (the “Awardees”), and the payment
of the Honorarium in favor of the Winners and the Awardees is to be made.

5.2 The selection of the Finalists, Winners and Awardees is made by the
Jury in accordance with clause 6 hereof.

6. SELECTION OF FINALISTS, WINNERS AND AWARDEES

6.1 The selection of the Finalists, Winners and Awardees shall be carried
out via the Jury meetings to be held by the Operator.

6.2 The Jury shall consider the Competition Proposal taking into account
the Competition criteria specified in Schedule 2 hereto and in the Brief.
6.3 For the purposes of fair and impartial voting, the selection of the
Concept Designs within the First Stage of the Competition shall be
based on anonymity. In particular, all the Competition Proposals
received from the Participants will be assigned with a code and the
Competition Proposals shall be evaluated impersonal during the Jury
meeting under the First Stage of the Competition.

6.4 The selection of the Finalists, Winners and Awardees shall be


based on the rating voting conducting in one or several rounds. The
procedure and number of rounds shall be determined by the Jury
basing on the number and scope of the filed Competition Proposals.

6.5 The Finalists are the Participants, who have the highest number
of votes of the Jury members within the Jury meeting in the First

Stage of the Competition.

6.6 The Winners are the Finalists, who have the highest number of votes
of the Jury members within the Jury meeting in the Second Stage of
the Competition. The Jury is entitled to select no more than 5 (five)
Winners.

6.7 The Awardees are the Finalists, who have the highest number of
votes of the Jury members within the Jury meeting in the Second
Stage of the Competition. The Jury is entitled to select no more than
5 (five) Awardees, who take the second places, and no more than 10
(ten) Awardees, who take the third places.

6.8 In case of a tie while selecting the Finalists, Winners or Awardees,
the Chairman (as defined below) has a casting vote.

6.9 Notice of the Finalists, Winners and Awardees shall be published

on the Website within 3 (three) business days from the date of the
relevant decision of the Jury.

6.10 The Organizers and the Operator are entitled to introduce additional
nominations and to determine the time, place and procedure of the
Jury meeting.

7. JURY

7.1 The Jury shall be composed of the representatives of Minstroy


of Russia and Unified Development Institution in the Housing Sector,
as well as leading Russian and foreign architects and experts
of residential development. A full list of the Jury members shall
be published on the Website not later than on 15 January 2018.

7.2 The jury of the Competition is composed of at least 7 (seven) members


(the “Jury”).

7.3 The Jury meeting has a quorum, if it is attended by at least half


of the Jury members.
7.4 If a quorum is not present at the meeting, the Jury members present
shall adjourn the Jury meeting to the same place and time 3 (three)
business days after the original date. The adjourned Jury meeting has
a quorum, if it is attended by at least half of the Jury members.

7.5 The chairman of the Jury (the “Chairman”) shall be elected from the
Jury members presented at the meeting by a simple majority
of votes of the Jury members presented at the meeting.

7.6 The Jury members act at their personal capacity and not as
representatives of the organizations, at which such Jury members

hold the managing position or are employed. The Jury members shall
not follow or request any instructions from any person regarding the
decisions made within the Jury competence.

7.7 If deemed appropriate, the Organizers, the Operator or the Chairman


may invite other persons and experts to attend the Jury meetings
as observers and consultants, i.e. without the right to vote and to
intervene in the deliberations of the Jury.

7.8 The decisions of the Jury and the Competition results shall be final
and shall not be subject to any revision.

8. HONORARIUM

8.1 The Finalists, Winners and Awardees shall be selected by the
decision of the Jury in accordance with the Rules.

8.2 The Competitions involves the selection of 20 (twenty) Finalists,


no more than 5 (five) Winners, no more than 5 (five) Awardees who
take the second place and no more than 10 (ten) Awardees who take
the third place.

8.3 The total prize pool is 40,254,237.29 (forty million two hundred fifty
four thousand two hundred thirty seven, 29/100) Russian rubles
(excluding VAT) and includes the honorariums of the Finalists,
Winners and Awardees (the “Honorarium”) and shall be distributed
as follows:
8.3.1 each Finalist shall be entitled to the Honorarium of 847,457.63 (eight hundred
forty seven thousand four hundred fifty seven, 63/100) Russian rubles
(excluding VAT);

8.3.2 each Winner shall be entitled to the Honorarium of 1,694,915.25 (one million
six hundred ninety four thousand nine hundred fifteen, 25/100) Russian
rubles (excluding VAT);

8.3.3 each Awardee, who take the second place, shall be entitled to the
Honorarium of 1,271,186.44 (one million two hundred seventy one thousand
one hundred eighty six, 44/100) Russian rubles (excluding VAT); and

8.3.4 each Awardee, who take the third place, shall be entitled to the Honorarium
of 847,457.63 (eight hundred forty seven thousand four hundred fifty seven,
63/100) Russian rubles (excluding VAT).
8.4 The Operator shall pay the Honorarium within 30 (thirty) calendar
days from the date of the relevant decision of the Jury on selection
of the Finalists, Winners and Awardees, providing that the Finalists
enter into the relevant Revised Design Agreement and the Winners
and Awardees enter into the relevant agreement on the Honorarium
payment.

8.5 For the purposes of payment of the Honorarium, the Operator


is entitled to request any additional documents and/or information
from the Finalists, and/or Winners and/or Awardees, as well as
to send any notifications required for making a payment of the

Honorarium.

The payment of the Honorarium shall be made in Russian rubles via

a wireless transfer in accordance with the bank details of the


Finalists, and/or Winners and/or Awardees. The obligation of the
Operator to pay the Honorarium shall be deemed fulfilled since the
relevant amount was debited from the Operator’s bank account.

8.6 The Honorarium includes and covers all the costs and expenses
of the Finalists, and/or Winners and/or Awardees related to the
Competition.

9. EXCLUSIVE RIGHTSА

9.1 Once the Application is submitted, each Participant provides the
Organizers and the Operator with the rights to use the Concept
Design, photos of the Participant, answers, interview and other

materials received from the Participant (or involving the Participant)


within the Competition in the following ways:
9.1.1 reproduction;

9.1.2 public display;

9.1.3 communication on the air;

9.1.4 communication by cable;

9.1.5 translation; and

9.1.6 communication to the public.

9.2 The Organizers and the Operator shall have the discretion to specify
or not specify the name and/or nickname of the Participant while
using any materials, received from the Participant (or involving the
Participant). The Organizers and the Operator shall also have the
discretion to use the name, full name, photos, personal images of
the Participant and other data provided by the Participant, including
the promotional purposes, and, as specified above, without any
further consent of the Participant. By taking part in the Competition,
the Participant provides the Organizers and the Operator with its
consent to use any personal and other data at the discretion of the
Organizers and the Operator, specifying or not specifying the name
and/or nickname of the Participant, and in accordance with the
Russian laws.

9.3 The rights specified in clause 9.1 shall be owned by the Organizers and
the Operator from the moment of the provision of the relevant materials
and with the right to use in the territory of the Russian Federation and
worldwide within the whole term of protection of such rights.

10. REVISED DESIGN AGREEMENT

10.1 As a result of the First Stage of the Competition, the Finalists shall

enter into the agreement to revise the provided Concept Design (the
“Revised Design Agreement”) on the terms and conditions proposed
by the Operator.

10.2 In accordance with the Revised Design Agreement, the Finalists


shall revise and amend the relevant Design Concept pursuant to the
wishes and suggestions of the Organizers and/or the Operator.

10.3 In accordance with the Revised Design Agreement, the Honorarium


shall be paid in the amount specified in clause 8 hereof.

11. FURTHER DEVELOPMENT STAGES

11.1 As a result of the Competition, the Organizers and / or the Operator


have the right (not the obligation) to involve the Winners and / or
Awardees in the further Concept Design development stages.

11.2 Upon the agreement with the Winners and / or Awardees, the one
of the following cooperation options may be determined:
11.2.1 design documentation development (the “Stage D”); or

11.2.2 Stage D architectural section development; or

11.2.3 architectural support for the development of the Stage D (as a consultant for
architectural support).

11.3 The consideration under the relevant agreement on project


implementation shall be calculated at the rate based on the enlarged
construction prices НЦС 81-02-01-20171:
11.3.1 11.3.1. Stage D development: 5% (for mid-rise and central models) to 7% (for
low-rise model) of the cost of construction and installation works; or

11.3.2 Stage D architectural section development: 40% of the cost of Stage D
development (in accordance with the selected model); or

11.3.3 architectural support for the development of the Stage D: 30% of the cost
of the Stage D architectural section development (in accordance with the
selected model).

11.4 The relevant agreements to be entered into by the Winners and /


or Awardees shall set forth the prohibition for the Winners and / or
Awardees to sell the Concept Design repeatedly (to customers other
than the Organizers and / or the Operator).

11.5 The relevant agreements on the Stage D (design) development to be


entered into by the Winners and / or Awardees shall set forth that
Concept Designs may be used repeatedly as multiple use projects.

12. CONFLICT OF INTEREST

12.1 For the purposes hereof, the conflict of interest is the possibility of
the Participant (directly or indirectly) to influence the results of the
Competition. The conflict of interest is in place with respect to the
Participant, in case such Participant is affiliated with the person
specified in clause 12.5 hereof.
8 12.2 For the purposes hereof, the term “affiliated” shall have the meaning
specified by the current applicable laws of the Russian Federation.

12.3 The presence of the conflict of interest with respect to the

Participant shall be determined by the Jury.

12.4 In case the conflict of interest is in place with respect to the


Participant, such Participant shall be deemed to have the conflict of
interest and shall be Disqualified (as defined below).

12.5 For the purposes hereof, the following persons shall be considered
as persons, who able to influence the results of the Competition:
12.5.1 each Organizer;

12.5.2 Operator;

12.5.3 the member of the management body of the Organizer;

12.5.4 the member of the management body of the Operator;

12.5.5 each member of the Jury; and

12.5.6 an individual, who is subordinate to the persons specified in clauses 12.5.3 –


12.5.5 hereof, according to the official position (providing that the individual
is not deemed subordinated to a certain person, if the labor function of such
individual involves the scientific, teaching or other creative activity only).
12.6 In case of a potential conflict of interest (including the affiliation in
accordance with clause 12.5 hereof), the Participant shall provide the
Operator with the relevant disclosure letter (the “Disclosure Letter”).
Depending on the time of occurrence of the relevant grounds, the
Disclosure Letter shall be provided by the Participant either (1) as
a part of the Competition Proposal (in case of the relevant grounds
as of the date of submission of the Competition Proposal), or (2)
immediately after the occurrence of such grounds in the future.

12.7 The Disclosure Letter shall be made in a free form and shall contain
the following information:

12.7.1 the information on the potential conflict of interest pursuant to clause


12.1 hereof;

12.7.2 the information on the affiliated person pursuant to clause 12.5 hereof;

12.7.3 the information on the ground for being affiliated with the relevant person;
and

12.7.4 any other information, which (in the Participant’s opinion) shall be considered
or may be necessary for the evaluation of the possibility of the Participant
to influence the results of the Competition.

12.8 The Fact of the submission and the content of the Disclosure Letter
shall be announced at the Jury meeting and the copies thereof shall
be provided to the Jury, who select the Finalists, Winners and Awardees.

9 12.9 The Fact of the submission and the content of the Disclosure Letter,
when it has to be submitted in accordance with clause 12.6 hereof, is the
unconditional basis for the Disqualification of such Participant.

13. DISQUALIFICATION

13.1 The Participant may be disqualified from further participation in the


Competition (the “Disqualification”) on the following grounds:
13.1.1 the Application and/or the Competition Proposal does not meet the
requirements of the Competition Documentation regarding its from or
content;

13.1.2 the Application and/or the Competition Proposal was filed with the violation
of the terms specified in the Competition Documentation; and/or

13.1.3 on the grounds specified in clause 12 hereof.

13.2 The decision on Disqualification is made by the Operator, save for


the decision on Disqualification on the grounds specified in clause 12
hereof, which is made by the Jury.

13.3 The decision on Disqualification shall be published on the Website.


14. TERMINATION OF THE COMPETITION

14.1 The Competition is declared terminated in the following cases:


14.1.1 less than 20 (twenty) Participants are registered for participation in the
Competition; or

14.1.2 as a result of the Disqualification, there are less than 20 (twenty)


Participants in the Competition.

14.2 The decision on termination of the Competition is made by the


Operator.

14.3 The decision on termination of the Competition shall be published


on the Website. The Competition shall be deemed terminated upon

publication of the relevant information on the Website.

15. EFFECT OF THE RULES

15.1 These Rules become binding on each Participant from the time
of submission by the Participant of the Application in an electronic
form in accordance with the Competition Documentation.

15.2 The Operator shall be entitled to make certain amendments to the


10 Rules not later than 3 (three) business days prior to the deadline of
filing of the Competition Proposals. All the amendments to the Rules
shall be published on the Website.

16. GENERAL PROVISIONS

16.1 Personal data


By takin part in the Competition, the Participant provides its consent
to proceeding of its personal data. All personal information, including
the full name, e-mail (if applicable) shall be used only for the purposes
of the Competition. Storage and proceeding (if applicable) of the
Participant’s personal data shall be carried out by the Organizer
in accordance with the legislation of the Russian Federation.

16.2 Website
The Website is the sole official source of information about the
Competition and the main means of communication between the
Operator and the Participants.

16.3 Address
Address for sending of the Applications (hard copy), Competition
Proposals and other requests: 3rd floor, building 3, 6 Bersenevskaya
embankment, Moscow, 119072.
16.4 Language
The official language of the Competition is Russian. For the purposes
of attracting of foreign participants, the Competition Documentation
shall also be provided in English. In case of any discrepancy between
the Russian and English texts, the Russian text shall prevail. Each
Participant shall provide the Application and the Competition
Proposal in one of the above languages.

16.5 Applicable law


The relations between the Organizers, the Operator and the Participants
(the Finalists, Winners and Awardees) related to the Competition

shall be governed and construed in accordance with Russian law. The


provisions of clause 447 and chapter 57 of the Russian Civil Code shall
not apply to the terms and conditions of the Competition.

16.6 Dispute resolution


All the disputes arising out of the relations of the Organizers, the
Operator and the participants (the Finalists, Winners and Awardees)
shall be settled by a mutual consent. Otherwise, the disputes shall be
resolved by Commercial (Arbitrazh) Court of Moscow in accordance with
the Russian law.

the Competition Documentation, unless otherwise explicitly specified herein.
