EXTENSION AGREEMENT AND MODIFICATION THIS EXTENSION AGREEMENT AND MODIFICATION (“Extension Agreement”) is, entered into by and between THE UNIVERSITY OF IOWA (“University”) and HAWKEYE SPORTS PROPERTIES, LLC, a Missouri limited liability company qualified to do business in lowa and a wholly-owned subsidiary of LEARFIELD COMMUNICATIONS, INC., a Missouri corporation (collectively referred to as “Learfield”). BACKGROUND. A. Effective June 8, 2006, University and Learfield entered into a Multi-Media Rights Agreement (“Rights Agreement”), B. The Parties wish to modify the Rights Agreement to include, among other things, an extension of the Term to the period ending June 30, 2026 ("New Term”), the granting of additional exclusive rights to Learfield and an increase in the Guaranteed Rights Fee paid to University. C. This Extension Agreement is intended to set forth the terms and conditions of the Rights Agreement which will be applicable from the date of this Agreement to the end of the New Term. D. The Parties further wish to clarify certain terms in the Rights Agreement which were inadvertently misstated. E. Capitalized terms in the Rights Agreement shall have the same meaning in this Extension Agreement unless otherwise provided. NOW, THEREFORE, in consideration of the provisions set forth in the Background and the mutual promises contained in this Extension Agreement, the Parties intending to be legally bound hereby agree as follows: 1, Rights Granted. In addition to the rights granted in Section 2 of the Rights Agreement all of which rights shall remain in effect throughout the New Term, University hereby grants Learfield the following exclusive additional rights throughout the New Term, 1.01 Naming Rights to the Playing Surface of Carver-Hawkeve Arena (“Arena Court Floor Naming Rights”), Throughout the New Term, University exclusively delegates to Learfield the ability to negotiate Arena Court Floor (or playing surface) naming rights in recognition of a donor. Such naming rights are inclusive of all regular season volleyball, men's basketball, women's basketball, wrestling and other regular season intercollegiate athletics events staged in Carver-Hawkeye Arena and it is understood and agreed that, said rights shall be limited to said areas within the bowl of Carver-Hawkeye Arena. Such rights are subject to final approval by University, and furthermore, in accordance with Board of Regents, State of lowa naming policies for the Arena Court Floor (“Arena Floor"). The Arena Floor naming rights holder shall be recognized as a member of the 1.02 1.04 1.05 UI’s “Kinnick Society” and, as such, shall be afforded all benefits and recognition afforded other Kinnick Society members. Naming Rights for Outdoor Club at Kinnick Stadium (“Outdoor Club Naming Rights”). Throughout the New Term, University exclusively delegates to Learfield the ability to negotiate naming rights for the Outdoor Club of the Paul W. Brechler Press Box at Kinnick Stadium in recognition of a donor, subject to approval of University of any prospective naming rights donor, and furthermore, in aecordance with Board of Regents, State of lowa naming policies, for the Outdoor Club of the Paul W. Brechler Press Box at Kinnick Stadium (“Outdoor Club”). ‘The Outdoor Club naming rights holder shall be recognized as a member of the UIs “Kinnick Society” and, as such, shall be afforded all benefits and recognition afforded other Kinnick Society members Expenses Relating to Arena Court Floor Naming Rights and Outdoor Club Naming Rights. University is responsible for reasonable expenses associated with incorporating a donor name or corporate logo or otherwise connected to the Arena Floor naming rights and the Outdoor Club naming rights including, but not limited to all the other assets described in Sections 1.01 and 1.02. Should there be a change in the name and/or logo of the Arena Floor or Outdoor Club naming rights holder, previously approved by University, during the New Term or should there be a new Arena Floot or Outdoor Club naming rights holder during the New Term, University will pay reasonable expenses for up to one (1) logo/name change on all of the above mentioned assets during the New Term, Restrictions on Naming Rights Holder. Notwithstanding anything contained in Sections 1.01 and 1.02 of this Extension Agreement to the contrary, Learfield agrees to adhere to the same guidelines, including restrictions that are detailed in the Rights Agreement for the sale of all the assets described in this Extension Agreement. Additional Sponsorship Inventory. In addition to the exclusive rights granted by University to Learfield under Sections 1.01 and 1.02 above, University further grants Learfield the following additional exclusive sponsorship rights throughout the New Term: Carver-Hawkeye Arena © Miscellaneous. Goal pads (bottom area only), chair backs, kick plates, backside of video board/LEDs statistical sheets provided to club level, and courtside seat holders and interactive areas like, for example, high speed internet stations on the concourse level, club levels or other prominent high traffic areas in the Arena bowl. UI and HSP agree that the total size of corporate logo(s) should not exceed 30 percent of the total area available on the backside(s) of video board/LEDs referenced above, * Playing surface signage. Learfield will be allowed to place a corporate logo prominently displayed in no less than two (2) permanent locations on the playing surfuce(s). Size of logo to be no less than 4-feet square on the basketball court and in a similar ratio in size for the playing surfaces for a2 volleyball and wrestling. Color and design of logo to be mutually agreed upon. Hospitality. Eight (8) club seats with premium parking comparable to that provided at the Kinnick Society level; private hospitality to include game tickets and food and beverages for a specific number of persons to be mutually agreed upon by University and Learfield but in no case less than 50 persons before a minimum of two (2) Big Ten Conference games; four (4) tickets to the Big Ten Men’s Basketball Tournament and access for four (4) to the University of Iowa’s suite at the host site of the Big Ten Men's Basketball Tournament; one (1) trip with the University's men’s basketball team for no less than two (2) persons to a mutually agreed upon road game that is approved in advance by the University. It is further agreed upon that such trips are not to be used in sweepstakes or promotions open to the general public. University acknowledges and agrees that the additional tickets described above will not supplant Learfield’s four (4) existing courtside seats which are currently provided and will remain available to Learfield throughout the New Term (“Existing Courtside Seats”), but rather will supplement the Existing Courtside Seats, Access. Learfield will be provided the opportunity to have two (2) private events each year of the New Term on the floor of the Arena, University agrees to provide normal or expected set up services at no charge to Learfield or the Arena Floor naming rights holder with normal or expected services including, but not limited to, tables and chairs for the event, audio visual set up, ete. Extraordinary expenses associated with the set up of such private events are the financial responsibility of Learfield and/or the Arena Floor naming rights holder. Print/Miscellaneous. The logo of the Arena Floor naming rights holder shall be placed on the tickets produced for regular season intercollegiate athletics events staged in Carver-Hawkeye Arena by the University of Iowa. Said logo will also be incorporated into the napkins, cups and other printed items used in Carver-Hawkeye Arena’s concessions stands and club rooms ‘on event days/nights. A full-page mention highlighting the Arena Floor naming rights holder’s name and logo shall appear in the men’s basketball, women’s basketball, wrestling and volleyball media guides. The Arena Floor naming rights holder(s) shall have the opportunity to include a solicitation in the season ticket mailings of each of the aforementioned team sports upon review and approval of the content of the mailing by the University with such approval not unreasonably withheld. Key Inventory. The Arena Floor naming rights holder's logo shall be prominently displayed on appropriate way finding signage inside and outside of the Arena. The Arena Floor naming rights holder’s logo shall also be present on all podiums for applicable weekly, pre-event and post-event media conferences.
