CHA fowa City, lowa 52242-1602 Dear Gary ‘This Memorandum of Understanding (“MOU") will confirm our mutual agreement in connection with the capital subsidy payment of $1,500,000 ("Subsidy Amount”) to be made by Hawkeye Sports Properties; LLC ("HP") to the Athletic Department at the University of lowa (“University”) payable by HGP in ten (10) equal installments of $150,000 each beginning on August 31, 2014, and on each anniversary date thereafter for nine (9) additional years in exchange for the additional inventory, travel, and rights that University will grant HSP during the Athletic Years beginning July 1, 2014(unless earlier as stated below) through June 30, 2026, as more specifically described below: In consideration of the Subsidy Amount, the University agree as follows: © University will provide HSP with additional opportunities to have staff and/or guests travel to away football games beginning with the 2013-14 Athletics Year. The University and HSP will evaluate the team’s travel plans annually with the intention to arrive at a plan that provides a minimum of eight to 10 additional opportunities annually. ‘2 _HSP shall have the right to host at no charge to HSP during each Athletics Year of the term beginning with the July 1, 2013 Athletic Year not less than ten (10] client-specific events inside any or all of the following venues: (© In Kinnick Stadium (“Stadium”) at © The McCord Club ©The Mediacom Club © InCarver-Hawkeye Arena (“Arena”) at = The Feller Club = The Hadly Club = The atrium outside the Hansen Family Pavilion = The Transamerica Student-Athlete Training Center (indoor practice facility) ‘The dates, times and locations of the events are to be mutually agreed upon between the University and HSP. © _HSP shall have the right to consult with the University and provide input in order to value- ‘engineer the new scoreboard in the Stadium so as to develop inventory that will enhance ‘sponsorship capabilities, The new inventory available exclusively to HSP in the Stadium shall ‘consist of an increase in sponsorship availability on the south board; 90 percent of the Learfield Sports ‘ 2400 Dallas Parkway Suite 500 | Plano,TX 75083 469-241-9191 | 469-241-0110 sy LEARFIELD Al, Programmed inventory on the tunnel signs (four signs in total), new inventory on the north end video boards and the LED “ribbon” board. Revenue Share Hurd Subject to this MOU, the Revenue Share Hurdle Amounts shall be adjusted to the following amounts for the years noted: Revenue Share Contract Year Hurdle Amount 2014-15 $11,350,000 2015-16 $11,650,000 2016-17 $12,000,000 2017-18 $12,300,000 2018-19 $12,600,000 2019-20 $12,950,000 2020-21 $13,250,000 2021-22 $13,550,000 2022-23 $13,900,000 2023-24 $14,200,000 2024-25 $14,250,000 2025-26 $14,550,000 The provisions of this MOU shall be considered an amendment to the Multi-Media Rights Agreement between the University and HSP as amended by certain Extension Agreement and Modification (/MMRA”). HSP expressly agrees that any and all use of the University’s word marks, trademarks and/or logos in connection with the services and duties pursuant to the MMRA shall be limited to athletic word marks, trademarks and/or logos only and any such use by third parties must be approved in advance by the University Trademark Licensing Office and is subject to a separate Promotional Licensing Agreement. If there is any inconsistency between this MOU and the MMRA, this MOU will control. Hf the foregoing is consistent with our agreement, please sign and return a copy of this MOU to me.
