DEED OF ASSIGNMENT AND TRANSFER OF RIGHTS

KNOW ALL MEN BY THIS PRESENTS:

This deed is made and entered into this _____ day of _________, 2019 at the City of
Batangas, by and between:

BUENA GINA M. MENDOZA, Filipino Citizen, of legal age, with residence and
postal address at ___________________________, hereinafter referred to as the
"ASSIGNOR"
-and-
JULIE C. MALIWANAG, Filipino Citizen, of legal age, married, with residence
and postal address at ________________________, hereinafter referred to as the
"ASSIGNEE".

WITNESSETH that -

WHEREAS the ASSIGNOR is the legal wife of Mr. Simeon C. Mendoza (deceased) who
is regular member of Sorosoro Ibaba Development Cooperative (SIDC) who owns shares,
dividends, yearly incentives and other benefits as regular member of the Cooperative;

WHEREAS the ASSIGNOR is the representative of Mr. Simeon C. Mendoza and has a
vested rights to transfer, convey, and assign all rights and interest over the above rights;

WHEREAS the ASSIGNEE consented in good faith to the representation of the assignor
over the above rights and vested the ASSIGNOR the right to transfer, convey, and assign all rights
and interest over such rights;

WHEREAS, the ASSIGNOR has offered to assign allits rights and interest over the above
shares and benefits and the ASSIGNEE hereby accepts the assignment in accordance with the
terms herein set forth;

NOW, THEREFORE, the parties hereby agree as follows:

1. The ASSIGNOR hereby assigns, transfers and conveys to the ASSIGNEE all its rights,
claims and interests of the aforementioned rights, including all obligations attached
thereto and the ASSIGNEE by these presents hereby accepts the assignment;
2. No valuable consideration is received by the ASSIGNOR from the ASSIGNEE with
the execution of this Deed except to be absolved of any further liability to SIDC as a
result of the promise and commitment of the Assignee to be fully and solely
responsible, effective immediately upon the signing hereof, for the payment of the
Assigned Shares when payment is duly called or demanded by SIDC.
3. The ASSIGNOR authorizes the ASSIGNEE and the Board Secretary of the
Cooperative to record this assignment in the books of SIDC.
